Virginia corporation, the owner of that certain real property located in Albemarle County,

consents to, authorizes and directs Williams Mullen, and employees thereof, to execute any and
all documents related to the submittal of land use applications affecting the Property, including
an application to amend the existing Special Use Permit applicable to the Property.

THIS DEED, made this 1st day of June, 1966, by and between
Cornelius W. Middleton and Isabelle Hoxie Middleton, his wife, parties of the
first part, and Birdwood Estate, Inc., party of the second part,

That for and in consideration of the eum of $880,750.40 of which
$871414.08 is cash in hand paid, the receipt of which is hereby acknowledged,
and the balance of $793,336.32 is secured by a deferred purchase money deed
of trust to be recorded simultaneously herewith, which deed of trust and
this deed are a part of the same transaction, said parties of the first part
do hereby Grant, Bargain, Sell and Convey, with GENERAL WARRANTY OF TITLE, uha
said party of the second part all of that certain tract or parcel of land
situate in Albemarle County, Virginia, containing 550.469 acres, and designat
as Tract B on a plat of Birdwood Farms prepared by Amos R. Sweet dated Oeccmb
and July 20, 1966,
1965, and revised May 25, 1966,/attached hereto and made a part hereof; and
being a portion of the property known as Birdwood conveyed unto said Cornelius
W. Middleton by J. DeWitt Wilde and Bessie H. Wilde, husband and wife, by dee
dated November 6, 1940, Deed Book 248 page 265.
The property hereby conveyed is subject to an easement granted
the Virginia Public Service Company dated July 23, 1936, Deed Book 233 page 2
and to an easement granted to VEPCO dated September 2, 1947, Deed Book 276
page 179•

Development of that portion of the property herein conveyed
lying north of a :.Ina drawn 2400 feet south of and parallel to U. S. Highway !
jNo. 250 shall be subject to the approval of the said Cornelius W. Middleton.
Such development :shall be harmonious in design and development so as to blend

with existing structures and adjoining areas. Consistent with this end,
said Cornelius W. Middleton agrees that single family dwellings with at
least 1800 square feet of floor space above the ground will not require the
specific approval herein mentioned, and that approval will not be unreasonably,
jwithheld from motor hotels, apartment houses, office buildings and retail
j shops. However, any such commercial development will be so planned and
g located with respect to the Mansion House as to insure there will be no unscreened
j service entrances or othar unsightlyelaments visible from the Mansion House.
Further, approval will not be unreasonably withheld, subject to appropriate
design and location, for such uses as banks, radio and television studios
(but not any exterior tra.Rsmitting or receiving equipment), churches, schools,
medical clinics and convalescent homes.
The requirement of approval contained heroin, with respect to
uses and development of this portion of the property, shall be deemed satisfied
as to any requests for approval i.f the same has not been acted upon within
thirty days after submission. r
In the event of the death of incapacity of said Cornelius W. �I
Middleton, action on a request for approval of any particular usage may be
taken by Isabelle Roxie Middleton, or in the event of her death or incapacity,.
by RichardH. Middleton, under the same standards and qualifications herein I

set forth. In the avant of the death or Incapacity of all of Cornelius W.
Middleton, Isabella Hoxie Middleton and Richard H. Middleton, then the require, -

ment of approval of azay given usage is waived.
Subject to the easements and restrictions aforesaid, said
parties of the first part covenant that they are seized in fee simple Of the
land hereby conveyrd and have doog right to convey the same; that they have
done no act to encumber said land; that said party of the second part shall
