The Owner of the Property is Southwood Charlottesville L.L.C., a Virginia limited liability company (the
"Owner"). This Proffer Statement shall relate to the Code of Development for Southwood Phase 1(the
"Code of Development") approved as part of ZMA 2018-003 and to the Rezoning Application Plan
prepared by BRW, Waterstreet Studios, and Timmons Group entitled "Southwood Redevelopment
Phase 1," last revised January 07, 2019 (the "Application Plan").
The Owner hereby voluntarily proffers that if the Albemarle County Board of Supervisors acts to rezone
the Property as requested, the Owner shall develop the Property in accord with the following proffers
pursuant to Section 15.2-2303 of the Code of Virginia, 1950, as amended, and pursuant to Section
33.3 of the Albemarle County Zoning Ordinance.
1. Removal of Proffers and Amendment of Code of Development for Biscuit Run ZMA 2005-00017
included on Tax Map Parcel O9OA1-00_-00-0O1E0. The Project will remove all associated proffers,
Code of Development, and Application Plan associated with ZMA 2005-00017 for Tax Map Parcel
O9OA1-00-00-OOlEO such that this parcel (along with parcels 09000-00-00-OOlAO and 07600-
00-OO51AO) may comply with ZMA 2018-003, Neighborhood Model District with proffers, a Code
of Development, and Application Plan totally separate and apart from all restrictions and
regulations of ZMA 2005-00017.
2. Trails Parks, Civic Spaces.
a. Greenway Connections to Biscuit Run Park. At anytime upon written request by
Albemarle County, the Owner may dedicate to the County an easement, deed property to
the County, or enter into an agreement with the County to provide a public trail

connection between the Trail described in paragraph 2(b) below and any trail constructed
by the County on abutting County property. The land under easement, associated trail
connection, associated signage, and any associated structures shall be maintained in
perpetuity by Albemarle County and should serve as a connection between trails
maintained and owned by the Southwood Phase 1 Association and public trails on
Albemarle County land.
b. Trail Network. A trail network -("the Trail"), consistent with the County's design standards
for a Class B type 1 primitive nature trail, shall be established within the green space and
amenity area as described within the Code of Development. The general location of the
Trail is shown on the Application Plan; however exact trail locations shall be determined
by the Owner based on site conditions and in coordination with the County. Installation of
the Trail shall commence concurrently with the site work for Block A and the entire trail
shall be substantially completed prior to issuance of the one hundredth (1OOth) Permit for
a dwelling within Block A.
