The Grantor, for and in consideration of the sum of Ten and No/100 Dollars
($10.00), the issuance of molt than fifty (50%) percent of the beneficial ownership
interests in profits and surplus of Grantee,and other valuable consideration to it in band
paid by the Grantee,the receipt of which is hereby acknowledged,subject to the matters
listed in Exhibit B has bargained and sold,and by these presents does hereby bargain,
sell and convey unto the Grantee, its successors and assigns forever, WITH SPECIAL

claims of all persons churning by, under or thrnugh Grantor,its successors and assigns,
but none others.
Nothing in the foregoing paragraphs shall be construed to in any way limit the
obligations of Unisys Corporation, its successors or assigns under the Environmental
Indemnification Agreement between Unisys Corporation and Sperry marine, dated
December 26, 1990, recorded with the deed made by and between Unisys Corporation
and Sperry Marine, Inc., dated December 26, 1990 in Deed Book 1133 at Page 698,
which Agreement is for the benefit of and shall run with the land hereby conveyed.
This instrument is exempt from tax under §$8.1-811 A,10 of the Code of
