The approximate route of said right of way, and the conditions of this deed are as follows; beginning at a point on the property line of William miller and Blanche Truheart said point being 50 ft. more or less east of centerline of state highway #743 thence over and across lands of owner approximately parallel to state hgy #743 Eo a point on the property line of owner and W. .Beagle approx 30 ft. east of state hgy #743. l•otal distance over and across lands of Owner approx 1350. ft. The company shall also pay the owner for any damages done to crops, fences or buildings of the owner during the construction of said line, and to pay the owner for any damages done to crops, fences or buildings of the owner while making repairs to said line, and in the event of their inability inability to agree upon the amount of such damages, the same shall be arbitrated in the usual manner. This deed contains all agreements between the parties hereto relative to said right of way, to the compensation for the use thereof, and to the damages, if any, resulting from the use of the same. The company may inspect, maintain, patrol and keep in repair all poles, wires, fixtures, and appliances connected therewith on said land, and may remove the same from said premises whenever it may elect to do so. The parties of the first part covenant that they have the right to convey said right of way and that they will warrant and defend the same from the claims of all persons whomsoever. WITNESSETH, that WHEREAS,the Landowner is the owner of certain real property described as TMP-45-39A as recorded by deed in the land records of Albemarle (Albemarle County Tax Map/Parcel Identification Number) County, Virginia, Deed Book 2934 Page 637 , hereinafter called the "Property". WHEREAS, the Landowner is proceeding to build on and develop the property; and WHEREAS, the Site Plan/Subdivision Plan known as Lambert Point Subdivision (Name of Plan/Development) hereinafter called the "Plan",which is expressly made a part hereof, as approved or to be approved by the County,provides for detention of stormwater within the confines of the property; and WHEREAS, the County and the Landowner, its successors and assigns,including any homeowners association, agree that the health, safety, and welfare of the residents of Albemarle County, Virginia,require that on-site stormwater management/BMP facilities be constructed and maintained on the Property; and WHEREAS,the County requires that on-site stormwater managementBMP facilities as shown on the Plan be constructed and adequately maintained by the Landowner,its successors and assigns, including any homeowners association. NOW, THEREFORE, in consideration of the foregoing premises,the mutual covenants contained herein, and the following terms and conditions,the parties hereto agree as follows: 1. The on-site stormwater managementBMP facilities shall be constructed by the Landowner, its successors and assigns, in accordance with the plans and specifications identified in the Plan. 2. The Landowner, its successors and assigns,including any homeowners association, shall adequately maintain the stormwater managementBMP facilities. This includes all pipes and channels built to convey stormwater to the facility,as well as all structures, improvements, and vegetation provided to control the quantity and quality of the stormwater. Adequate maintenance is herein defined as good working condition so that these facilities are performing their design functions. The Landowner, its successors and assigns, shall inspect the stormwater management/BMP facility and submit an inspection report annually. The purpose of the inspection is to assure safe and proper functioning of the facilities. The inspection shall cover the entire facilities, berms,outlet structure, pond areas, access roads, etc. Deficiencies shall be noted in the inspection report. 4. The Landowner, its successors and assigns,hereby grant permission to the County, its authorized agents and employees, to enter upon the Property and to inspect the stormwater management/BMP facilities whenever the County deems necessary. The purpose of inspection is to follow-up on reported deficiencies and/or to respond to citizen complaints. The County shall provide the Landowner, its successors and assigns, copies of the inspection findings and a directive to commence with the repairs if necessary. 5. In the event the Landowner,its successors and assigns, fails to maintain the stormwater management/BMP facilities in good working condition acceptable to the County,the County may enter upon the Property and take whatever steps necessary to correct deficiencies identified in the inspection report and to charge the costs of such repairs to the Landowner, its successors and assigns. This provision shall not be construed to allow the County to erect any structure of permanent nature on the land of the Landowner outside of the easement for the stormwater management/BMP facilities. It is expressly understood and agreed that the County is under no obligation to routinely maintain or repair said facilities, and in no event shall this Agreement be construed to impose any such obligation on the County. 6. The Landowner, its successors and assigns,will perform the work necessary to keep these facilities in good working order as appropriate. In the event a maintenance schedule for the stormwater management/BMP facilities (including sediment removal) is outlined on the approved plans,the schedule will be followed. 7. In the event the County pursuant to this Agreement,performs work of any nature, or expends any funds in performance of said work for labor,use of equipment, supplies, materials, and the like,the Landowner, its successors and assigns, shall reimburse the County upon demand,within thirty(30) days of receipt thereof for all actual costs incurred by the County hereunder. 8. This Agreement imposes no liability of any kind whatsoever on the County and the Landowner agrees to hold the County harmless from any liability in the event the stormwater management/BMP facilities fail to operate properly. 9. RIW Date 3 t n Right of Way Agreement Approved THIS RIGHT OF WAY AGREEMENT, is made and entered into as of this 2nd day of August, 2005, by and between LAMBERT POINT, LLC ("GRANTOR") and VIRGINIA ELECTRIC AND POWER COMPANY, a Virginia public service corporation, doing business in Virginia as Dominion Virginia Power, with its principal office in Richmond, Virginia ("GRANTEE"). WITNESSETH : 1. That for and in consideration of the sum of One Dollar ($1.00) cash in hand paid and other good and valuable consideration, the receipt and sufficiency whereof is hereby acknowledged, GRANTOR grants and conveys unto GRANTEE, its successors and assigns, the perpetual right, privilege and easement over, under, through, upon and across the property described herein, for the purpose of transmitting and distributing electric power by one or more circuits; for Its own internal telephone and other internal communication purposes directly related to or incidental to the generation, distribution, and transmission of electricity, Including the wires and facilities of any other public service company in afd of or to effectuate such internal telephone or other Internal communication purposes; and for lighting purposes; including but not limited to the right: 1.1 to lay, construct, operate and maintain one or more lines of underground conduits and cables including, without limitation, one or more lighting supports and lighting fixtures as GRANTEE may from. time to time determine, and all wires, conduits, cables, transformers, transformer enclosures, concrete pads, manholes, handhoies, connection boxes, accessories and appurtenances desirable in connection therewith; the width of said easement shall extend fifteen (15) feet in width across the lands of GRANTOR; and Initials: This Document Prepared by Virginia Ele Power Company and should be returned to: Dominion Virginia Power, 1719 Hydraulic Road Charlottesville VA 22901. The easement granted herein shall extend across the lands of GRANTOR situated in Albemarle County„ Virginia, as more fully described on Plat(s) Numbered 81-05-0063, attached to and made a part of this Right of Way Agreement; the location of the boundaries of said easement being shown in broken lines on said Plat(s), ref erence being made thereto for a more particular description thereof. 3. All facilities constructed hereunder shall remain the property of GRANTEE. GRANTEE shall have the right to Inspect, reconstruct, remove, repair, improve, relocate on the easement, and make such changes, alterations, substitutions, additions to or extensions of its facilities as GRANTEE may from time to time deem advisable, 4. GRANTEE shall have the right to keep the easement clear of all buildings, structures, trees, roots, undergrowth and other obstructions which would interfere with its exercise of the rights granted hereunder, including, without limitation, the right to trim, top, retrim, retop, cut and keep clear any trees or brush Inside and outside the boundaries of the easement that may endanger the safe and proper operation of Its facilities. All trees and limbs cut by GRANTEE shall remain the property of GRANTOR. 5. For the purpose of exercising the right granted herein, GRANTEE shall have the right of ingress to and egress from this easement over such private roads as may now or hereafter exist on the property of GRANTOR. The right, however, Is reserved to GRANTOR to shift, relocate, close or abandon such private roads at any time, If there are no public or private roads reasonably convenient to the easement, GRANTEE shall have such right of ingress and egress over the lands of GRANTOR adjacent to the easement. GRANTEE shall exercise such rights in such manner as shall occasion the least practicable damage and inconvenience to GRANTOR. 6. GRANTEE shall repair damage to roads, fences, or other improvements (a) Inside the boundaries of the easement (subject, however, to GRANTEE's rights set forth in Paragraph 4 of this Right of Way Agreement) and (b) outside the boundaries of the easement and shall repair or pay GRANTOR, at GRANTEE's option, for other damage done to GRANTOR's property inside the boundaries of the easement (subject, however, to GRANTEE's rights set forth in Paragraph 4 of this Right of Way Agreement) and outside the boundaries of the easement caused by GRANTEE in the process of the construction, inspection, and maintenance of GRANTEE's facilities, or in the exercise of its right of ingress and egress; provided GRANTOR gives writte'notice thereof to GRANTEE within sixty (60) days after such damage occurs. GRANTOR, its successors and assigns, may use the easement for any reasonable purpose not inconsistent with the rights hereby granted, provided such use does not interfere with GRANTEE's exercise of any of its rights hereunder. GRANTOR shall not have the right to construct any building, structure, or other above ground obstruction on the easement; provided, however, GRANTOR may construct on the easement fences, landscaping (subject, however, to GRANTEE's rights In Paragraph 4 of this Right of Way Agreement), paving, sidewalks, curbing, gutters, street signs, and below ground obstructions as long as said fences, landscaping, paving, sidewalks, curbing, gutters, street signs, and below ground obstructions do not interfere with GRANTEE's exercise of any of its rights granted hereunder. In the event such use does interfere with GRANTEE's exercise of any of its rights granted hereunder, GRANTEE may, in its reasonable discretion, relocate such of its facilities as may be practicable to a new site designated by GRANTOR and acceptable to GRANTEE. In the event any such facilities are so relocated, GRANTOR shall reimburse GRANTEE for the cost thereof and convey to GRANTEE an equivalent easement at the new site. 8. GRANTEE shall have the right to assign or transfer, without limitation, to any public service company all or any part of the perpetual right, privilege and easement granted herein. 9. If there is an Exhibit A attached hereto, then the easement granted hereby shall additionally be subject to all terms and conditions contained therein provided said Exhibit A is executed by GRANTOR contemporaneously herewith and Is recorded with and as a part of this Right of Way Agreement. 10. Whenever the context of this Right of Way Agreement so requires, the singular number shall mean the plural and the plural the singular. WITNESSETH: WHEREAS,Declarant is the owner of Lots 1 through 5,Lambert Point, Albemarle County, Virginia as shown on a plat of survey made by Roger W. Ray& Assoc.,Inc. dated September 7,2004, and last revised May 13,2005, and attached hereto and made a part hereof; and WHEREAS,Declarant desires that the properties shown on said survey be and shall be held,transferred,sold, conveyed,given,donated, leased, occupied and used subject to these covenants and conditions. The provisions as set forth therein shall run with the land. ARTICLE I. DEFINITIONS a) "Declarant"shall mean and refer to the current owner and/or its assigns, together with any successor to all and any portion of the business of developing the Properties, b) "Properties"shall mean and refer to only the real property shown and described on the attached survey. c) "Lot" shall mean and refer to any one of the plots of land designated as a "Lot"on the attached survey. d) "Architectural Control Board"shall mean and refer to the board established in Article II herein for the purpose of controlling and regulating the development and the external design,appearance,landscaping,grading and use of the lots and the structures and other improvements thereon. ARTICLE II. ARCHITECTURAL CONTROL AND GENERAL PROPERTY COVENANTS Section 1. Architectural Approval. No building,fence or other structure shall be erected,placed,or altered,nor shall any building permit for such improvement be applied for on any lot until the proposed building plans,specifications, exterior color or finish, plot plan(showing the proposed location of such building or structure,drives, and parking areas),and construction schedule shall have been approved in writing by the Architectural Control Board(ACB). In addition,the ACB may,at its election,require prior written approval of a landscape plan. The ACB further reserves the right to Book:3276,Page:573 '(Page 3 'of 10) promulgate and amend from time to time architectural guidelines which shall establish, define,and expressly limit those standards and specifications that will be approved including, but not limited to,architectural style, exterior color or finish roofing material, siding material, driveway material, landscape design,and construction technique. Refusal or approval of plans, location,exterior color or finish, or specifications by the ACB may be based upon any ground,including purely aesthetic considerations,which in the sole and uncontrolled discretion of the ACB shall seem sufficient. No alteration in the exterior appearance of any building,fence or other structure,including exterior color or finish, shall be made without like prior written approval by the ACB. One copy of all plans and related data shall be furnished to the ACB for its records. In the event approval of such plans is neither granted nor denied within 30 days following receipt by the ACB of written demand for approval,approval shall be deemed to have been granted. Section 2. Site and Location Approval. The buildings and other structures will be located so that the view,privacy,sunlight, and breeze will be available to each building or structure, that structures will be located with regard to the topography of each property,taking into consideration the location of large trees and other aesthetic and environmental considerations. The ACB shall have the right to control absolutely and to decide solely (subject to the provisions of the zoning ordinance of the County of Albemarle)the precise site and location of any building or structure on a lot for reasons which may in the sole and uncontrolled discretion and judgment of the AD seem sufficient. Such location shall be determined only after reasonable opportunity is afforded the owner to recommend a specific site. The provisions of this paragraph shall in no way be construed as a guarantee that the view,privacy, sunlight, or breeze available to a building or structure on a given lot shall not be affected by the location of the building or structure on an adjacent lot. Section 3. Off Street Parking. Each owner of a lot shall provide space for the parking of automobiles off public streets prior to the occupancy of any building or structure constructed on said lot in accordance with the reasonable standards established by the ACB. Section 4. Signs. Except as may be required by legal proceedings,no sign shall be erected or maintained on any lot by anyone including, but not limited to, an owner, a tenant,a realtor, a contractor,or a subcontractor,until the proposed signs' size,color, content,number of signs, and location of signs shall have been approved in writing by the ACB. Refusal or approval of size,color, content,number of signs, location of signs may be based by the ACB upon any ground, including purely aesthetic considerations,which in the sole and uncontrolled discretion of the ACB seems sufficient. The ACB further reserves the right to promulgate and amend from time to time uniform sign regulations which shall establish the standard design criteria for all signs,including,but not limited to,real estate sale signs,erected upon any lot. The Declarant shall have the right, whenever there shall have been placed or constructed on any lot any sign which is in violation of these restrictions, to enter immediately upon such lot where such violation exists and summarily remove the same at the expense of the owner. Hook:3276,Page:573 '(Page 4 'of 10) Section 5, Maintenance of Lot. It shall be the responsibility of each owner, tenant, contractor or subcontractor to prevent the development of any unclean,unsightly, unkempt,unhealthy or unsafe conditions of buildings or grounds on any lot which shall tend to substantially decrease the beauty or safety of the other lots, the neighborhood as a whole, or the specific area. The Declarant and its agents shall have the right to enter upon any lot for the purpose of correcting such conditions, including,but not limited to, the removal of trash which has collected on the lot, and the cost of such corrective action shall be paid by the owner of the lot. Such entry shall not be made until 30 days after the owner of the lot has been notified in writing of the need to take corrective action and unless the owner fails to perform the corrective action within said 30 day period; provided,however,that should such condition pose a health or safety hazard, such entry shall not be made until the owner has been notified in writing of the need to take immediate corrective action and unless such owner fails to perform the corrective action immediately. The provisions of this paragraph shall not create any obligation on the part of the Declarant to take any such corrective action. Section 6, Mailboxes, The ACB will establish uniform mailbox regulations which shall define standard design criteria for all mailboxes erected upon any lot, Section 7. Easement Reservation. The Declarant reserves upon itself, its successors and assigns,and its agent,a perpetual,alienable, and releasable easement in right,on, over and under the lots to erect,maintain,and use electric, cable television and telephone,wires, cables, conduits, drainage ways, sewers,water mains and other suitable equipment for the conveyance and use of electricity,telephone equipment, gas, sewer, water, drainage or other public conveniences or utilities on, in,or over those portions of such lot as may be reasonably required for utility line purposes;provided,however,that such utility easement shall be located in a fifteen(15) foot wide strip running along the boundary lines of each Lot,unless otherwise shown on the attached survey. These easements and rights expressly include the right to cut any trees,bushes, or shrubbery, make any grading of the soil, or to take any other similar action reasonably necessary to provide economical and safe utility installation and to maintain reasonable standards of health,safety and appearance. The Declarant further reserves the right to locate wells, pumping stations,siltation basins, and tanks within the lots. There is also an easement reserved on Lots 1 and 5 for the fence,pillars and landscaping located at the entrance of Half Moon Court from State Route 743,and access for the maintenance and repair thereof. The cost of such maintenance and repair shall be borne equally by the owners of the lots in an amount not to exceed$250.00 per lot per calendar year. Section 8. Formation of Architectural Control Board. So long as Declarant owns any of the Lots shown on the attached survey,the ACB shall contain three(3)members chosen by Declarant. The members will serve at the pleasure of Declarant and may be removed and replaced as Declarant desires. When Declarant no longer owns any of the Lots shown on the attached survey,the ACB shall be chosen by the Association pursuant to such rules and regulations as adopted by the Association from time to time. Book:3276,Page:573 (Page 5 Of 10) ARTICLE III. GENERAL USE RESTRICTIONS Section 1. Restrictions on Further Subdivision. No Lot shall be further subdivided or separated into smaller lots by an Owner other than the Declarant without written consent of the Declarant,its successors and assigns and no portion less than all of any such Lot shall be conveyed or transferred by an Owner other than the Declarant; provided, however,that this shall not prohibit deeds of correction,deeds to resolve boundary line disputes and similar corrective instruments. No Lot shall be used as a roadway for access to any property lying outside of the boundaries of the properties shown on the attached survey without the written consent of Declarant, its successors and assigns. Section 2. Completion of Improvements. (a) The exterior of each house, and all other structures must be completed within one(1)year after the construction of same shall have commenced on all Lots except where such completion is impossible or would result in great harm to the Owner or builder due to strikes,fires, national emergency or natural causes. A house may not be temporarily or permanently occupied until the exteriors thereof have been completed. During the continuance of construction,the Owner of the Lot shall require the contractor to maintain the Lot in a reasonably clean and uncluttered condition, pursuant to the provisions of these covenants. (b) The failure to complete the exterior of any house,or any other structure within the time limit set forth in paragraph 2(a)above shall constitute a violation and breach of these covenants. The Declarant reserves unto itself,the ACB,its successors and assigns,a right on, over,and under all Lots for the purpose of taking any action necessary to effect compliance with paragraph 2(a)above,including,but not limited to,the right to enter upon any Lot for the purpose of completing the exterior of such house,or any other structure which is in violation of paragraph 2(a). Such entry shall not be made until thirty(30)days after the Owner of the Lot has been notified in writing of the violation of these covenants,and unless such Owner has failed to complete said exterior within said thirty(30)day period. The cost of such corrective action,when performed by the Declarant,ACB or its agents, shall be paid by the Owner of the property on which the corrective action is performed. The provisions of this paragraph shall not create any obligation of the part of the Declarant or the ACB to take any action to effect compliance with paragraph 2(a). Section 3. Screened Area and Other Matters. (a) Each Owner of a Lot shall provide a screened area to serve as a service area in which garbage receptacles,fuel tanks or similar storage receptacles, electric and gas meters,air conditioning equipment, and other unsightly objects must be placed or stored in order to conceal them from view from the road and adjacent Book:3276,Page:573 (Page 6' of 10) properties. Plans for such screened area delineating the size,design, specifications, exterior color or finish, and location must be approved by the ACB prior to construction. (b) No mobile homes,trailers, school buses or inoperable motor vehicles shall be parked on any Lot or road. (c) No clothing, laundry or wash shall be aired or dried on the exterior portion of any Lot. (d) No animals, livestock or poultry of any kind shall be raised,bred or kept, except that dogs, cats or other household pets may be kept on the Lots subject to rules and regulations adopted by the Declarant,its successors or assigns. All pets not on the property of the Owner shall be kept on a leash or totally controlled at all times by the owner. Section 4. Prohibited Structuring. (a) No mobile home,trailer,tent,or barn shall be placed on any Lot at any time,either temporarily or permanently. (b) No structure of a temporary character shall be placed on any Lot at any time, provided, however, that this prohibition shall not apply to trailers, shelters or temporary structures used by the contractor during the construction of the main dwelling unit,it being clearly understood that these latter temporary shelters may not, at any time, be used as residences or permitted to remain on the Lot after completion of construction. The design, location and color of structures temporarily placed on a Lot by a contractor must be approved by the ACB. (c) No television antennae,satellite dish,radio receiver,radio sender, or other similar device over three feet in diameter shall be attached to or installed on any Lot or on the exterior portion of any building or structure on any Lots without ACB approval. Section 5. Nuisance, No nuisance shall be maintained on any Lot nor any activity carried on which becomes an annoyance to the neighborhood. Section 6. Building Requirements. (a) No Vinyl Siding. (b) 30 year minimum requirements for any asphalt roof shingles. (c) All exposed foundation material shall be covered with brick,stone or stucco. Hook:3276,Page:573 (Page 7 of 10) ARTICLE IV. GENERAL PROVISIONS Section 1. Duration, The provisions of this Declaration shall run with and bind the land for a term of thirty-five(35)years from the date this Declaration is recorded,and thereafter shall be automatically renewed for successive periods of ten (10)years unless modified,amended or terminated as provided in Section 2 below. Section 2. Termination and Amendment. As long as Declarant owns any Lot shown on the attached survey,Declarant may terminate or amend, in whole or part,this Declaration by the recordation of an instrument in the Clerk's Office of the Circuit Court of Albemarle County,Virginia. At such time as Declarant no longer owns any Lot shown on the attached survey,this Declaration may be terminated or amended, in whole or part,by the recordation of an instrument in the aforesaid Clerk's Office signed by the Owners of no less than four lots, Section 3, Enforcement. Enforcement of the provisions of this Declaration shall be by proceedings at law or in equity against any person or persons violating or attempting to violate the covenants either to restrain violation or recover damages. Such action may be brought by the Declarant, or its successors or assigns and the Owners of Lots. If Declarant, its successors or assigns,brings any such legal proceeding to enforce this Declaration, the party against whom the proceedings were brought will be liable for all of Declarant or its successors or assigns' costs, including reasonable attorney's fees. Section 4. Severability. Invalidation of any one of the provisions of this Declaration by judgment,court order or otherwise shall in no way affect any other provisions which shall remain in full force and effect.
