WOOD, JR. and JOSEPH M. WOOD, II, Partners, trading as Berkley Partners, hereinafter collectively referred to as Seller, BARRY G. DO 'FLEMYER, hereinafter referred to as Purchaser, and BOOKER REAL ESTATE, hereinafter referred to as Agent, W I T N E S S E T H : That for and in consideration of the mutual promises hereinafter set forth in this Agreement, Seller agrees to sell and Purchaser agrees to buy the following described real property with all improvements thereon and appurtenances thereto belonging, located in Albemarle County, Virginia (hereinafter referred to as the "Property") : Lot 14 A containing 18,884 square feet as shown on plat of William S. Roudabush, Jr. , a copy of which is attached hereto as Exhibit A . 1. Purchase Price: Purchaser agrees to pay to seller as the purchase price for this Property the sum of EIGHTY-FIVE THOUSAND DOLLARS ($35,000.00) , in certified funds on date of closing. 2. Continency for Rezoning, etc. : Purchaser 's obligation to perform as set forth in this Contract shall be contingent upon Purchaser obtaining any and all required zoning changes, special use permits or other governmental approvals, including approval of a commercial entrance, which may be required by any governmental entity as a precondition to use of the Property by Purchaser for the puLi)oe ol. Purchaser agrees to make a good faith effort to obtain all such approvals. If all such approvals have not been obtained by Purchaser on or before July 1, 1983, the Seller ar Purchaser shall., have the option to declare this Contract null and void by writing delivered to the Sellers within ten days after such date. 3. Conveyance: Seller agrees to convey the property 17 appropriate deed containing General Warranty and English Covenants of Title, free and clear of all liens and indebtednesses of any kind and free and clear of any encumbrance or encumbrances which render title defective, unmarketable or uninsurable. The Property shall have marketable access to a public road. Should title to the above described Property or the access thereto be found defective, Seller shall make reasonable efforts to cure any such defects as promptly as possible. If any title defect is not cured on or before the later of the date of closing or sixty (60) days after receipt of notice of such title defect by the Seller, Purchaser shall have the right to declare this Contract null and void and all parties hereto shall be released from any liability hereunder. 4. Closing Costs and Expenses : Seller shall pay the cost of preparation of the General Warranty Deed mentioned above as well as the state revenue tax normally charged to Sellers, the Seller 's prorata portion of the real estate taxes for the calendar year of closing, which shall be prorated as of the date of closing, all amounts necessary to convey title to the property free and clear of liens and indebtednesses, and Seller 's own attorneys fee for services rendered to Seller in connection with -2- 'mar vs this transaction. Date of Closing: Closing shall be on or before July 1, 1983, or as soon thereafter as title can be examined and papers prepared, allowing due time as hereinabove specified to correct any defects reported by the title examiner. Possession of the property shall be delivered on the date of closing. 6. Risk of Loss: Risk of loss or damage to the property shall be born by the Seller until the time of closing. 7 . Acceptance by Seller: This, contract shall not be effective and shall be null and void unless accepted by the Seller on or before 5:00 p.m. on May 4, 1983, by full execution and delivery of one copy of this contract to E. Lee Booker, Jr., P.O. Box 7145, Charlottesville, Virginia, 22906, Agent for Purchaser. 8. Default: If any of the parties hereto shall default in the performance of any act required under the terms of this contract, the defaulting party or parties shall be liable for any expenses incurred by the nondefaulting party or parties, including reasonable attorney's fees, in connection with this transaction and the enforcement of this Contract. 9. Real Estate Agent: The Purchaser and Seller agree that Agent is the sole procuring cause of this Contract, and Seller agrees to pay to Agent for services rendered a cash fee of FIVE THOUSAND AND No/100 DOLLARS . ($5,000.00) . 10. Staff Comments The existing parcel is zoned C-1, Commercial. There is 76 feet of frontage' on Berkmar Drive and 111 feet of frontage on a service drive to the Shopper's World property. The applicant has shown on his site plan that his entrance to the site will be from the service drive. We feel that this is an unique situation.
