WOOD and SIX STAR ASSOCIATES, a Virginia partnership, hereinafter referred to as Seller, and CLAY MEDIA, INC. , or assigns, hereinafter referred to as Buyer, and MARLENE C. WOOD, wife of Wendall W. Wood, party of the third part , W I T N E S S E T H : In consideration of mutual covenants set forth herein, it is agreed as follows. The Sellers agree to sell and Buyer agrees to buy the herein after described real property on the terms and conditions set forth herein: 1. Property. All that certain tract or parcel of land 1 situated in Albemarle County, Virginia, with improvements thereon and appurtenances thereto pertaining more particularly described as 10. 375 acres designated as Parcel "X" on the attached plat of William S. Roudabush, Inc . dated August 4 , 1982 . Sellers shall further convey as an appurtenance to said property a right-of-way for ingress and egress to U. S . Route 29 over the 30 ' road running from the property to U. S . Route 29 , a portion of said road bein ' shown on the attached plat. 2 . Purchase Price. The purchase price for the property is $103 ,750 .00 which will be payable to Seller as follows: a. A $2,000 . 00 deposit has been paid with the signing . of this Contract to be held by the Seller as an "option fee" under the terms of this agreement but is not applied at closing toward the sales price . Any "option fee" paid during the second year as described in paragraph 6C shall not be applied at closing toward the sales price. b. The balance in cash due at time of closing. 3 . Closing, Possession Dates and Prorations. Delivery of the deed and the balance of the purchase price, and possession of the property shall take place within sixty (60) days of all con- tingencies in the Contract being fulfilled but, in any event, closing shall be no later than:-A/1'',::7., ;'-,�: ) , 1984 , with Page Two settlement at the offices of McGuire , Woods & Battle , Charlottes- ville, Virginia. In no event shall the closing date be later than the possession date, unless agreed to in writing. Real estate taxes shall be prorated between Sellers and Buyer on a calendar basis as of the closing date. If the property being sold is under land use taxation, Sellers, prior to closing, shall pay all deferred taxes on the property. 4 . Title to Property. Buyer shall have the right to have the title to the contract property examined at its own expense. In the event any defect in title is found which will prevent the title from being marketable and/or insurable , and such defect is not cured by Sellers within ninety (90) days after written notice from the Buyer or Buyer ' s attorney, Buyer shall thereupon hale the right to void this Sales Contract and have all deposits and option fees plus 12% per annum interest on the deposit and option fees immediately returned to Buyer. Seller agrees to cause such property to be conveyed to the Buyer by deed containing General Warranty and English Covenants of Title , prepared at Seller ' s expense with the Seller paying the State Transfer Tax and the Buyer paying the recordation tax. 5. Risk of Loss. All risk of loss shall remain on the Seller until date of closing. If there is any material change in the property prior to closing , Buyer may void this Sales Con- tract and have all deposits immediately returned to Buyer. 6 . Special Conditions or Contingencies. a. This Contract is contingent upon all the following items: (1) the County of Albemarle approving the subdivision survey; (2) the property being zoned and a special use permit issued allowing the Buyer ' s intended use of the property as a site for radio towers with heights satisfactory to Buyer, in its sole discretion; (3) no restrictions on the property prohibiting Buyer ' s intended use of the property; (4) no existing easement, 1 51' N Page Three restrictions or rights in the property prohibiting or interfering with Buyer ' s intended use of the property as a site for radio towers; (5) site plan approval, if necessary, by the County of Albemarle; (6) approval by the Federal Aviation Agency and the Federal Communications Commission of the site for Buyer ' s in- tended use , including towers with heights satisfactory to Buyer, in its sole discretion; (7) engineering studies satisfactory to Buyer, in its sole discretion; and (8) adequate electrical ser- vice to the property from Virginia Electric and Power Company. b. Sellers agree to cooperate with Buyer on any appli- 1 cations required to obtain any of the approvals outlined in para- j graph (a) above , but all costs will Buyer ' s responsibility, Sellers will sign any petitions for rezoning and special use per- mit, if required by the County of Albemarle . c . Buyer may void this Contract if one or more of the l `` contingencies in paragraph (a) are not fulfilled. If voided by Buyer during the first year of the Contract because of a contin- gency item in paragraph (a) , other than item (3) or (4) , Sellers may retain the $2 ,000 . 00 deposit as a option fee. During the second year of this Contract, the option fee each month shall be calculated as follows: $103 ,750 . 00 x Virginia National Bank' s Prime Interest Rate on the 1st day of the month ; 12, prorated to I . the month, but not including the month in which it is voided by Buyer. The option fee during the second year shall be due when the Buyer voids the Contract. If the Contract is voided by Buye under items (3) or (4) of paragraph (a) , all deposits and option fees plus 12% interest on the deposit and option fees paid shall be immediately returned to Buyer from the Sellers. d. Prior to closing , Buyer shall have full access to the property for surveying and engineering studies. e. If, at the option of Virginia Electric and Power 4 Y. Real Estate Commission. Sellers and Buyer acknowledge that no real estate agent was involved in this sale and each agrees to hold the other harmless from any claim for a commission k , by reason of any action on their part. 8. Marlene C. Wood, wife of Wendall W. Wood, agrees to join in the deed of conveyance to the Buyer, or its assigns, waiving all her dower and marital rights in the property herein ( described. (WCHV) Gentlemen: The Albemarle County Board of Supervisors , at its meeting of January 19 , 1983, approved your above-referenced special use permit request , subject to the following conditions : 1. Approval is limited to five (5) transmitting towers not to exceed two hundred sixty ( 260) feet in height and an equipment building not to exceed eight hundred ( 800) square feet in floor area; 2 . Zoning Administrator approval in accordance with Section 30 .2 .4.1 of the Airport Impact Area Overlay District and Section 4. 10 . 2.2 of the General Regulations of the Zoning Ordinance ; 3 . Virginia Department of Highways and Transportation entrance approval at Route 29 North, and County Engineer approval of road specifications from Route 29 North to the site; 4. Staff approval of sketch plan including trespass fencing; 5. Should the towers be abandoned, damaged, or otherwise in a state of disrepair, which in the opinion of the Zoning Administrator poses a hazard to the public safety, the same shall be repaired or removed to the satisfaction of the Zoning Administrator within a reasonable time prescribed by the Zoning Administrator. 6 . Presently existing towers are to be removed within one year from the time the new structures become operational. Clay Media, Inc. , D.B.A. WCHV (contract purchaser) Tax Map: 46 Parcel: 14A & 15 (part of) Zoned: RA, Rural Areas Existing Activity Vacant Proposed Variance The applicant requests relief from Section 10.4 of the Albemarle County Zoning Ordinance to allow a maintenance shed to be located 50 feet from the front property line, a variance of 25 feet; and to be located 15 feet from the side property line, a variance of 10 feet. Zoning Ordinance Requirement Pursuant to Section 10.4, all structures shall be located a minimum of 75 feet from the front property line, and a minimum of 25 feet from the side property line. Staff Comments There appears to be no physical reason why the structure could not J meet the required setbacks. The topography is of gradual fall, and thus would not prevent construction. We can find no undue hardship, and cannot recommend approval.
