THIS BOUNDARY AND EASEMENT RELOCATION AGREEMENT is made this
2nd day of September, 2010 by and among CRAIG ENTERPRISES, INC., a Virginia
corporation, t/a Craig Builders ("Craig") which has an address of P. O. Box 6156,
Charlottesville, VA 22906, a Grantor and Grantee; HEIGHTS PROPERTIES I, LLC, a
Virginia limited liability company ("Beights") which has an address of 5380 Golf Drive, Suite
103, Crozet, VA 22932, a Grantor and Grantee; JA-ZAN, LLC, a Virginia limited liability
company ("Ja-Zan") which has an address of P.O, Box 9035 Charlottesville, VA 22906, a
Grantor; JOHN S. PEARSALL and J. LAWRENCE MANSFIELD, JR., TRUSTEES, for
Bank of America, N.A. (the "BOA Trustees"), Grantees, CRYSTI B. HOPKINS, TRUSTEE,
for Virginia Community Bank (the "VCB Trustee"), a Grantee and RICHARD G.
RASMUSSEN, III and J. PAGE WILLIAMS, TRUSTEES (either of whom may act) for
Beights (the "Beights Trustees"), Grantors.
WITNESSETH :
WHEREAS, Craig is the owner of Lots 1 (Revised) and Lot 2 (Revised), Old Trail
Village Center, Block 3B (separately, as "Lot 1" and "Lot 2") in Albemarle County, Virginia, as
shown on plat of JenningStephenson P.C., dated November 11, 2009, last revised March 10,
2010 (the "Second Plat"), and recorded in the Clerk's Office of the Circuit Court of Albemarle
County, Virginia (the "Clerk's Office") in Deed Book 3861, page 272; and
WHEREAS, Beights is the owner of Lots 3 (Revised) and Lot 4 (Revised), Old Trail
Village Center, Block 3B (separately, as "Lot 3" and "Lot 4" and collectively as the "Beights
Lots"), as shown on the Second Plat; and
WHEREAS, Ja-Zan is the owner of Lot 1, Old Trail Village Center, Block 3 ("Lot 1,
Block 3") in Albemarle County, Virginia, as shown on plat of JenningStephenson P.C., dated
August 11, 2008, (the "Initial Plat"), and recorded in the Clerk's Office in Deed Book 3650, page
412; and
WIEREAS, Craig desires to subdivide Lot 2 into five separate lots to be shown as Lots
13, 14, 15, 16 and 17, Old Trail Village Center, Block 3B (collectively, the "Craig Lots") on the
attached and incorporated plat of Kirk Hughes & Associates captioned "Survey Showing A
Boundary Adjustment of Lots I Thru 4 Old Trail Village Center Block 3B and Lots 13 Through
17 being a Subdivsion of Lot 2 Old Trail Village Center Block 3B and Various Easements" dated
July 15, 2010, last revised August 24, 2010 (the "Subdivision Plat"); and
WHEREAS, Craig and Beights desires to relocate certain boundaries between the Craig
Lots, Lot 1 and the Beights Lots as shown on the Subdivision Plat; and
WHEREAS, Craig, Beights and Ja-Zan, having vacated all of the easements as shown on
the Second Plat desires to relocate said easements as shown on the Subdivision Plat.
NOW THEREFORE, in consideration of the premises and $1.00 cash in hand paid, the
receipt of which is hereby acknowledged by each party from the other, the parties agree as
follows:
(1) Craig as the owner of Craig Lots and Lot 1 hereby RELOCATES the boundary lines
as shown on the Subdivision Plat to add to the Craig Lots certain areas from Lot 1 as follows:
Areas A and B to Lot 13, Area C to Lot 14, Area D to Lot 15, Area E to Lot 16 and Area F to
Lot 17.
(2) Beights as the owner of the Beights Lots hereby RELOCATES the boundary lines as
shown on the Subdivision Plat to add Area J from Lot 4 to Lot 3.

(3) Craig hereby GRANTS and CONVEYS with GENERAL WARRANTY and
ENGLISH COVENANTS OF TITLE unto Beights all those three certain parcels of land shown
on the Subdivision Nat as Area H (containing 53 square feet), Area I (containing 314 square
feet) and Area K (containing 162 square feet), said Areas H and I to become a part of Lot 3 and
Area K a part of Lot 4 and not as separate parcels of land.
(4) Beights hereby GRANTS and CONVEYS with GENERAL WARRANTY and
ENGLISH COVENANTS OF TITLE unto Craig all that certain parcel of land shown on the
Subdivision Plat as Area G (containing 29 square feet), said Area G to become a part of Lot 17
and not as a separate parcel of land.
(5) The foregoing lot line revisions and conveyances as shown on the Subdivision Plat
create Revised Lots 1, 3 and 4 and new Lots 13-17, Old Trail Village Center Block 3B.
(6) The prior lot division lines (the "Old Lines") between Lots as shown on the First and
Second Plats are hereby VACATED and all utility easements which are Iocated with reference to
such lot lines are hereby RELOCATED to the new boundary lines, as shown on the Subdivision
Plat.
(7) Craig, Beights and Ja-Zan having vacated the easements shown on the Second Plat
pursuant to Note 10 on the Subdivision Plat, do hereby ESTABLISH, GRANT and CONVEY all
easements for public use (or private as noted) as shown and located on the Subdivision Plat,
including: Mornington Ct. (Private Road), 24' Access Easement, 20' Drainage Easements,
Variable Width Sight Distance Easements, Variable Width Utility Easements, 20' Access
Easements, 16' Private Access Easement and 10' Private Drainage Easement.
(8) Craig does hereby GRANT and CONVEY WITH GENERAL WARRANTY OF
TITLE, IN TRUST unto the BOA Trustees Area G as shown on the Subdivision Plat as

ADDITIONAL SECURITY under that certain Supplemental Deed of Trust dated April 26, 2010,
recorded in the Clerk's Office in Deed Book 3874, page 246.
(9) The Beights Trustees hereby CONVEY and RELEASE unto Craig, free of the lien of
a certain unrecorded deed of trust dated June 15, 2010 from Craig to the Beights Trustees (the
"Beights Deed of Trust"), all those parcels of land shown as Areas A, B,C, D, E and F.
(10) The Beights Trustees hereby CONVEY and RELEASE unto Beights, free of the lien
of the Beights Deed of Trust, all those parcels of land shown as Areas I and K.
(11) Beights does hereby GRANT and CONVEY WITH GENERAL WARRANTY OF
TITLE, IN TRUST unto the VCB Trustee Areas H, I and K as shown on the Subdivision Plat as
ADDITIONAL SECURITY under that certain Deed of Trust dated November 21, 2008, and
recorded in the Clerk's Office in Deed Book 3664, page 719, as modified to date.
(12) The parties agree that this instrument may be executed in counterparts to be effective
once a counterpart has been signed and acknowledged by each party and this instrument recorded
in the Clerk's Office for the Circuit Court of the County of Albemarle.
