WITNESS: WHEREAS, Malloy is the owner of that certain real property located in Albemarle County, Virginia and shown as "T.M. 45-68C1, Parcel A, 4.97 Acres"' (the "Malloy Property') on that certain subdivision plat by Roger W. Nunley and Julia G. Nunley, prior landowners of the Malloy Property (the "Prior Landowners") and the Board of Supervisors of Albemarle County, Virginia, entered into an agreement entitled "Stormwater Management/BMP Facilities Maintenance Agreement (hereinafter, the "Maintenance Agreement"), recorded in the Clerk's Office in Deed Book 1575, page 260, in which the Prior Landowners for themselves and for their successors and assigns, agreed to construct and maintain on -site stormwater management/BMP facilities (the "Facilities"); and WHEREAS, the Maintenance Agreement provides in part that the Prior Landowners give permission to the County, including its authorized agents and employees, to enter upon the Property and to inspect the stormwater management/BMP facilities whenever the County deems necessary; and the Maintenance Agreement also provides in part that, in the event the Prior Landowner(s), their successors or assigns, fail to maintain the stormwater management/BMP facilities in good condition acceptable to the County, the County may enter upon the Property and take whatever steps necessary to repair or otherwise maintain the facilities and to otherwise correct deficiencies; and WHEREAS, it is the desire and intent of Malloy, as successor to the Prior Landowners, to dedicate, grant and convey a new stormwater easement (the "New Stormwater Easement") for public use in accordance with this Deed of Dedication and Easement; and WHEREAS, by Deed of Easement dated June 6, 2017, Malloy and the County established a stormwater drainage easement (the "20' Private Drainage Easement'') on a portion of the Malloy Property, located in the area shown as "New 20' Private Drainage Easement for T.M. 45-112B" on that certain plat by Roger W. Ray & Assoc. Inc., entitled "Easement Plat Showing New 20' & 22' ACSA Waterline Easement, New Sight Distance Easement Hereby Dedicated to Public Use, 2 201800000239.005 New Access Easement for Tax Map 45, Parcel 68C1, New Grading & Construction Easement for Tax Map 45 Parcel 1 1213, New 15' Access Easement Hereby Dedicated to County of Albemarle for Public Use, New 20' ACSA Sanitary Sewer Easement, New 20' Private Sanitary Sewer Lateral Easement, New 20' Private Drainage Easement, New 24' Stormwater Facility Easement, and New SWM Facility Easement on Tax Map 45, Parcels 68A, 68C1, 1 12A & 1 12B, Located on U.S. Route 29 (Seminole Trail, Southbound Lane) and State Route 1403 (Berkmar Drive), Rio Magisterial District, Albemarle County, Virginia," dated March 7, 2017, last revised May 25, 2017 (the "May 2017 Easement Plat"), such Deed of Easement was recorded in the Albemarle County Circuit Court Clerk's Office in Deed Book 4920, page 433, and such May 2017 Easement Plat was recorded in the Albemarle County Circuit Court Clerk's Office in Deed Book 4920, page 421. WHEREAS, it is the desire and intent of Malloy to relocate a portion of the 20' Private Drainage Easement as more fully set forth herein and in the location shown on the May 2017 Easement Plat. NOW, THEREFORE, in consideration of the premises and TEN DOLLARS ($10.00), cash in hand paid, and other good and valuable consideration, the receipt of which is hereby acknowledged, the Grantor does hereby GRANT, CONVEY, and DEDICATE to public use with GENERAL WARRANTY and ENGLISH COVENANTS OF TITLE unto the Grantee, its successors and assigns, a perpetual easement as shown on the November 2017 Easement Plat and as referred to herein as the New Stormwater Easement. The New Stormwater Easement shall be subject to the following: I. Right ,ress and egress. The County and its authorized agents and employees shall have the right and easement of ingress and egress over the Malloy Property to perform all acts to which the parties have agreed it may perform under the Maintenance Agreement. 2. Ownership of the facilities. The stormwater management/BMP facilities required to be maintained by Malloy, as successor to the Prior Landowners, under the Maintenance Agreement shall be and remain the property of Malloy. This Deed of Dedication and Easement shall not be construed to be an assumption of ownership or control by the County over the stormwater management/BMP facilities subject to the Maintenance Agreement. 201800000239.006 No obligation on Grantee to inspect or maintain. This Deed of Dedication and Easement shall not be construed as imposing an obligation on the County to repair or otherwise maintain the stormwater management/BMP facilities subject to the Maintenance Agreement. 4. Grantee's right to assign. The County shall have the right to assign this New Stormwater Easement as its interests may require. Bindingeffect. ffect. The New Stormwater Easement and the rights and obligations established herein shall run with the land in perpetuity, and shall be binding upon Malloy, the County, and their successors and assigns. All references herein to the "Malloy" and the "County" include their respective successors and assigns. All references to the `'County," when exercising any right or obligation herein, includes the County's officers, employees and agents. 6. Termination of New Stormwater Easement. If Malloy, or its successors or assigns, desires to alter or vacate a portion or all of the New Stormwater Easement, the New Stormwater Easement may be adjusted accordingly if the County Engineer certified in writing that the proposed modifications meet requirements of 9VAC25-870 et seq. and Chapter 17 of the Albemarle County Code, as the regulations may be amended in the future. In addition to meeting these requirements. Malloy shall mitigate for any loss of nutrient credit reductions as a result of such alteration or vacation. Upon termination of any portion of the Easement(s), any residue of the New Stormwater Easement shall remain subject to this Deed of Dedication and Easement. The termination of any portion of the New Stormwater Easement shall be recorded, at the sole expense of Malloy, in the Circuit Court of Albemarle County upon approval of the Albemarle County Attorney. The County, acting by and through its County Executive, duly authorized by resolution adopted by the Board of Supervisors of the County of Albemarle, Virginia, accepts the conveyance of this property pursuant to Virginia Code 5 15.2-1803, as evidenced by the County Executive's signature hereto and the recordation of this Deed. NOW, THEREFORE, in further consideration of the premises and TEN DOLLARS ($10.00), cash in hand paid, and other good and valuable consideration, the receipt of which is hereby acknowledged, the Grantor does hereby relocate the 20' Private Drainage Easement to the new location as depicted on the November 2017 Easement Plat, and the relocated easement is therein referred to as the "Relocated 20' Private Drainage Easements and Stormwater Drainage 4 201800000239.007 Easement."
