September 19 91 , by and between SCHERER COMMERCIAL GROUP, INC. (Contractor) and
CUSTOM SIGNS FABRICATORS (Subcontractor) to perform the Work identified in Article 2
in accordance with the Project's Contract Documents.

ARTICLE 1
•
CONTRACT PAYMENT. The Contractor agrees to pay Subcontractor for satisfactory performance of Subcontractor's Work
the sum of ONE THOUSAND FIVE HUNDRED SIXTY-EIGHT AND NO/100 Dollars ($ 1 ,568.00 )
Progress payments, less retainage of N/A %, shall be made to Subcontractor for Work satisfactorily performed
no later than seven(7)days after receipt by Contractor of payment from Owner for Subcontractor's Work. Final payment
of the balance due shall be made to Subcontractor no later than seven (7)days after receipt by Contractor of final pay-
ment from Owner for Subcontractor's Work.These payments are subject to receipt of such lien waivers,affidavits, war-
ranties and guarantees required by the Contract Documents or Contractor. REQUEST FOR PAYMENT FORMS ARE
ATTACHED. Requests for Payment to be submitted to General Contractor by 25th of the month.
ARTICLE 2
SCOPE OF WORK. Subcontractor agrees to commence Subcontractor's Work herein described upon notification by Con-
tractor, and to perform and complete such Work in accordance with Contract Documents and under the general direc-
tion of Contractor in accord with Contractor's schedule.This shall include all work necessary or incidental to complete the:
1 . Install Exterior Sign Package provided by TOYS 'R' US, including "TOYS 'R' US",
"Customer Pick-up", and Entrance Signs.
2. Provide Sign Permit. (The Fee of $150.00 is included in this contract. )
ARTICLE 3
SCHEDULE OF WORK. Time is of the essence. Subcontractor shall provide Contractor with any requested scheduling
information of Subcontractor's Work.The Schedule of Work,including that of this Subcontract shall be prepared by Con-
tractor and may be revised as the Work progresses.
Subcontractor recognizes that changes may be made in the Schedule of Work and agrees to comply with such changes
without additional compensation.
Subcontractor shall coordinate its work with all other contractors,subcontractors.and suppliers on the Project so as not
to delay or damage their performance, work, or the Project.

ARTICLE 4
CHANGES. Contractor.without nullifying this Agreement,may direct Subcontractor in writing to make changes to Sub-
contractor's Work.Adjustment..if any.in the contract price or contract time resulting from such changes shall be set forth
in a Subcontract Change Order pursuant to the Contract Documents.
- ARTICLE.5
FAILURE OF PERFORMANCE. Should Subcontractor fail to satisfy contractual deficiencies within three(3)working days
from receipt of Contractor's written notice. then the Contractor, without prejudice to any right or remedies, shall have
the right to take whatever steps it deems necessary to correct said deficiencies and charge the cost thereof to Subcon-
tractor. who shall be liable for payment of same. including reasonable overhead, profit and attorneys fees.
ARTICLE 6
INSURANCE. Prior to the start of Subcontractor's Work,Subcontractor shall procure and maintain in force for the dura-
tion of the Work,Worker's Compensation Insurance, Employer's Liability Insurance,Comprehensive General Liability In-
surance and all insurance required of Contractor under the Contract Documents. Contractor, Owner and Architect shall
be named as additional insureds on each of these policies, except for Worker's Compensation.
ARTICLE 7
INDEMNIFICATION. To the fullest extent permitted by law,Subcontractor shall indemnify and hold harmless Owner,Ar-
chitect, Architect's consultants,and Contractor from all damages, losses, or expenses, including attorneys fees, from
any claims or damages for bodily injury,sickness,disease,or death,or from claims for damage to tangible property,other
than the Work itself.This indemnification shall extend to claims resulting from performance of this Subcontract and shall
apply only to the extent that the claim or loss is caused in whole or in part by any negligent act or omission of Subcon-
tractor or any of its agents.employees, or subcontractors. This indemnity shall be effective regardless of whether the
claim or loss is caused in some part by a party to be indemnified.The obligation of Subcontractor under this Article shall
not extend to claims or losses that are primarily caused by the Architect,or Architect's consultant's performance or failure
to perform professional responsibilities.
ARTICLE 8
WARRANTY. Subcontractor warrants its work against all deficiencies and defects in materials and/or workmanship and
agrees to satisfy same without cost to Owner or Contractor for a period of one(1)year from the date of Substantial Com-
pletion of the Project or per Contract Documents, whichever is longer.
ARTICLE 9

WORKING CONDITIONS AND SAFETY
The Subcontractor shall alert the General Contractor of any work which will be
performed after hours, on weekends or on holidays except as outlined specifically
in this Subcontract Agreement.
The Subcontractor shall perform all work in accordance with the Federal Occupational
Safety and Health Standards (20CFR 1926/1910) OSHA 2207, latest revision, for the
construction industry and all state or local standards.
The Subcontractor shall be responsible at all times for the safety of his employees,
and compliance to federal and state regulations. Any fine levied against the General
Contractor for non-compliance by this Subcontractor shall be charged to the Subcontrac-
tor including all defense preparation and legal fees.
The Subcontractor shall comply to all areas of the Federal Hazard Communication Stand-
ards and State Right To Know programs now in effect.
The Subcontractor and employees of the Subcontractor shall cooperate with and comply
to the safety efforts and programs of the General Contractor at all times.

EXHIBIT I
SIGN CRITERIA
INTRODUCTION
The intent of this sign criteria is to provide the guidelines
necessary to achieve a visually coordinated, balanced and
appealing signage environment at:
CENTRE AT BRANCHLANDS
Rt. 29N at Branchlands Boulevard
Albemarle County, Virginia
Performance of this sign criteria shall be rigorously enforced
and any nonconforming signs shall be removed by the tenant or his
sign contractor at their expense upon demand by owner.
Exceptions to these standards shall be reviewed by the owner and
architect . However, based upon our field experience, deviations
will generally result in serious inequities between tenants .
Accordingly, the owner, through the architect , will retain full
rights of approval of any sign used in the center.
I . GENERAL OWNER/TENANT REQUIREMENTS
A. Each tenant shall submit to the architect for written
approval , five ( 5 ) copies of the detailed shop drawings of
his proposed sign ( two in full color ) , indicating
conformance with the sign criteria herein outlined. Send
shop drawings to:

NOTE: All costs of removal of any non-conforming sign,
as determined by owner or architect , due to failure to
submit shop drawings prior to fabrication or installation
shall be incurred by tenant .
B. The tenant shall submit a sign drawing approved by the
owner and architect to the appropriate county authority for
approval prior to the start of any sign construction.
C. The tenant shall pay for all sign components ( except as
noted herein) , their installation ( including final
connection, transformers and all other labor/materials ) and
maintenance .
D. The tenant or his contractor shall obtain all necessary
governing agency approvals and pay all fees and permits .

E. The tenant shall be responsible for fulfillment of all
requirements of this sign criteria.
F. The owner shall provide primary electrical service
terminations at the center of the allowed signage area as
follows :
INTERNALLY ILLUMINATED INDIVIDUAL CHANNEL LETTER SIGNS
MOUNTED AT SIGN BAND ON 8" x 8" RACEWAY
G. It is the responsibility of the tenant 's sign contractor to
verify all conduit and transformer locations and service
prior to fabrication and installation.
H. The location of all signs shall be per the accompanying
design criteria. (Also see Attachments II and III . )
J. One sign space shall be allowed for each tenant ( except as
otherwise approved in writing ) . The tenant shall verify his
sign location and size with owner and architect prior to
installation.
K. All shop tenants are required to have an identification
sign mounted at the sign band area as designated in the
architect' s drawings .
L. Address numbers shall be applied to each store by the
tenant ' s sign contractor during regular course of
construction. ( See Attachment III . )
M. Special signs which vary from this sign criteria must first
be approved by the owner and respective County authority.
N. The maximum allocated sign area for the aggregate of all
permanent signs ( except exempt and convenience signs ) shall
be noted herein.
II . GENERAL SIGN SPECIFICATIONS
A. No exposes crossovers , conduits , conductors , transformers ,
etc . , shall be permitted.
B. All lettering shall be restricted to the net sign area and
have a matte finish. See accompanying design criteria for
specific information. ( See Attachment II . )

C. No projections above or below the net sign area will be
permitted (except as otherwise approved in writing ) .
U. All signs and their installation must comply with all local
building and electrical codes and bear a U. L . label placed
in an inconspicuous location.
E. For purposes of store identification, tenant will be
permitted to place upon each entrance to its demised
premises not more than 144 square inches of gold leaf or
decal application lettering not to exceed 2 inches in
height , indicating hours of business , emergency telephone ,
etc . The number and letter type face shall be subject to
architect' s approval . (See Attachment III . )
F. Typical internally illuminated individual channel letters '
specifications :
1 . Shop signs shall be attached in designated areas only
and my ont exceed 75% of the leasehold width. (Maximum
size as per Attachments I and II . )
2 . The copy ( letter type ) , logos and their respective
colors shall be submitted to the architect for written
approval prior to fabrication.
3 . No more than two rows of letters are permitted,
provided their maximum height does not exceed the

4 . Tenants shall display only the established trade name
of their basic product name , i .e. , Susan' s Flowers , or
combination thereof.
5 . Sign cabinets to have service access to neon lamps ,
ballasts , and wiring ; all U.L. approved.
G. Color of exposed portions of letter frame shall be
determined by the architect and noted herein. ( See
Attachment II . )
H. All penetrations of the building structure required for sign
installation shall be sealed in a watertight condition and
shall be patched and painted to match adjacent finish.

J. Cut-out dimensional letters shall be of acrylic with
integral color and matte finish. Internal illumination to
be 60 milli-amp neon, installed and labeled in accordance
with National Board of Fire Underwriters Specifications .
III . PROHIBITED SIGNS
A. Signs Constituting a Traffic Hazard
No person shall install or maintain, or cause to be
installed or maintained, any sign which stimulates or
imitates in size , color, lettering or design any traffic
sign or signal , or which makes use of the words "STOP" ,
"LOOK" , "DANGER" , or any other words , phrases , symbols or
characters in such a manner as to interfere with, mislead or
confuse traffic .
B. Immoral or Unlawful Advertising
It shall be unlawful for any person to exhibit , post or
display, cause to be exhibited, posted or displayed upon any
sign, anything of an obscene , indecent or immoral nature or
unlawful activity.
C. Signs on Doors , Windows or Fire Escapes
No window signs will be permitted except as noted herein.
No sign shall be installed, relocated or maintained so as to
prevent free ingress to or egress from any door. No sign of
any kind shall be attached to a standpipe except those signs
as required by code or ordinance.
D. Animated, Audible or Moving Signs
Signs consisting of any moving, swinging, rotating ,
flashing , blinking , twinkling/sparkling , fluctuating or
otherwise animated light is prohibited.
E. Off-Premise Signs
All off-premise signs are prohibited except as provided by
the owner for the overall center.

F. Vehicle Signs
Signs on or affixed to trucks , automobiles , trailers , or
other vehicles which advertise , identify or provide
direction to a use or activity not related to its lawful
making of deliveries of sales or merchandise or rendering of
services from such vehicle, is prohibited.
G. Light Bulb Strings and Exposed Tubing
External displays , other than temporary decorative holiday
lighting, which consist of unshielded light bulbs or open,
exposed neon or gaseous light tubing are prohibited. An
exception hereto may be granted by the architect when the
display is an integral part of the design character of the
activity to which it relates . ( See IV, Miscellaneous Notes ,
2 . )
H. Banners , Pennants and Balloons Used for Advertising Purposes
Certain temporary signs , banners , pennants , balloons ( except
mylar ) , may be used for special events and activities if
prior approval is obtained from the County of Albemarle, the
owner, and architect in writing for a period of time not
exceeding the Albemarle County Sign Ordinance or the owners
requirements which ever is more stringent.
IV. MISCELLANEOUS NOTES
1 . The provisions of this Exhibit, except as otherwise
expressly provided by this exhibit , shall not be
applicable to the identification signs of Department
Stores or other occupancy designated by the Landlord as
a "Major" or "Special" tenant that may be located in
the project , it being understood and agreed that these
occupants may have their usual sign on similar
buildings operated by them in Virginia; provided,
however, there shall be no rooftop signs which are
flashing , moving or audible , and provided said sign is
architecturally compatible and has been approved by the
architect and governing agency.

2 . Decorative script exposed neon tube signage may be
permitted subject to the architect and County approval .
All penetrations through plaster at sign band due to
installation of such neon shall be patched and painted
to match surrounding areas as previously outlined ( See
II . , "General Sign Specifications" ; Item H. ) . All
costs incurred due to damage by neon sign contractor to
surrounding areas will be the responsibility of tenant
and tenant 's sign contractor.

SIGN ORDINANCE_._CRITERIA
CENTRE AT BRANCHLANDS
NOTE: Criteria changes according to the designated zoning of the
subject property. ALWAYS verify zoning and applicable
signage requirements . Each Building/Occupancy is
calculated individually. Allowable criteria is non-
transferable ; this includes building frontages of same
building .
SECTION 88 . 4 . 1 . SIGNS .cpiMRcTAL4ND INDUSTRIAL
( Amended by 0-2410 )
A. For signing purposes , frontage on private streets that
serve as public thoroughfares and not just driveways
may, with. Environmental Quality Commission of County
approval , be considered as qualified street frontage .
Corner commercial lots which side on local residential
streets may not consider the local street frontage as
qualified street frontage.
B. Total sign area allotment permitted for a development
shall be two ( 2 ) square feet of sign area for each
linear foot of qualified street frontage. Chargeable
against the total sign area shall be wall , projecting,
roof, ground, valance, and marquee signs .
C. Any one ( 1 ) development may have a choice of, but not
more than, one ( 1 ) ground sign or one ( 1 ) roof sign or
one ( 1 ) projecting sign and shall be subject to the
exceptions contained in Section 88 . 4 . 2 . through Section
88 . 4 . 8 .
SECTION 88 . 4 . 2 . GROUND SIGNS
Ground signs are subject to the following provisions :
A. One ( 1 ) ground or pole sign may be permitted with each
"C" or "M" development .
B. The total area of sign permitted for a ground sign
shall be measured as one ( 1 ) square foot of area of
sign for each linear foot of street frontage, to a
maximum area of sign of three hundred ( 300 ) square
feet .

C. The maximum height of any ground sign and its
supporting structure shall be twenty-five ( 25 ) feet ,
except that the height of a ground sign may be
increased by adding one ( 1 ) one foot of height for each
linear foot the sign is set back from the front
property line not to exceed a maximum height of fifty
( 50 ) feet to the top of the sign.
D. A minimum qualified frontage of one hundred ( 100 ) feet
shall be required to erect a ground sign.
E. Permanent attachment to the ground shall be required
for all ground signs .
SECTION 88 . 4 . 3 . ROOF SIGNS
Roof signs permitted are subject to the following provisions :
A. One ( 1 ) roof sign may be permitted with each "C" or "M"
development .
B. The maximum permitted area of roof signing shall be one
( 1 ) square foot of sign area for each linear foot of
property frontage not to exceed a maximum of one
hundred ( 100 ) square feet.
C. The height of a roof sign shall not exceed ten ( 10)
feet above the apparent flat roof or eave line.
D. Roof sign supports should be architecturally attractive
or screened from view.
SECTION 88 . 4 .4 . PROJECTING SIGNS
Projecting signs permitted are subject to the following
provisions :
A. One ( 1 ) projecting sign may be permitted with each "C"
or "M" development.
B. Projection of sign shall not extend more than four ( 4 )
feet from any wall facing.
C. The total permitted are of a projecting sign shall be
measured as one ( 1 ) square foot of sign area for each
linear foot of property frontage not to exceed a
maximum of one hundred ( 100 ) square feet .

SECTION 88 . 4 . 5 . THEATRE MARQUEES
Theatre marquees need not be limited to projecting sign criteria,
but shall be subject to Environmental Quality Commission
approval .
SECTION 88 .4 . 6 . WALL SIGNS
Wall signs shall be permitted in any "C" or "M" development
provided the total area of all wall signs on any one ( 1 ) wall
face shall not exceed fifteen ( 15 ) percent of the exposed are of
the wall on which they are located, said fifteen ( 15 ) percent
also to include valance , permanent window signs , cloth signs and
banner signs . A wall sign shall not project above the apparent
flat roof or eave line.
