REAL ESTATE SALE/PURCHASE AGREEMENT
THIS AGREEMENT OF SALE/PURCHASE made this 15th day
of March, 1990 , by and between JORDAN DEVELOPMENT
CORPORATION, a Virginia non-stock corporation, here-
inafter referred to as "Seller" or "JDC" and MEADOWS
HOUSING CORPORATION, a Virginia non-stock corporation,
hereinafter referred to as "Purchaser" or "Meadows" ,
W I T N E S S E T H :
( 1 ) THAT FOR AND IN CONSIDERATION of the provi-
sions of this Agreement, Seller agrees to sell to
Purchaser, and Purchaser agrees to purchase from Seller ,
upon the price, terms, and conditions set forth herein,
the following real estate : All that certain tract
or parcel of land, together with the appurtenances
thereunto belonging, situated off of Meadows Drive near
Crozet in the Samuel Miller District of Albemarle County,
Virginia, shown and described as Parcel A-1 containing
3 . 10003 acres on a subdivision plat prepared by Thomas
B. Lincoln, Land Surveyor, Inc. , dated January 12 , 1990 ,
attached hereto; BEING a portion of that property containing
26 . 843 acres, designated on Albemarle County Tax Map
56 as Parcel 14C , which was conveyed to JDC by deed
from the County of Albemarle, Virginia, dated July 14 ,
1978 and recorded in the Clerk' s Office of the Circuit
Court of said County in Deed Book 651 , page 147 , together
with a mutual , reciprocal , non-exclusive easement thirty
feet ( 30 ' ) in width for access, ingress and egress between
Parcel A-1 and State Route 240 , the location, course
and distance of which easement are as shown on the plat
of Parcel A-1 by Thomas B. Lincoln, C.L.S. , attached
hereto, and necessary easements for off-site utilities .
( 2 ) Sale/Purchase Price: The sale/purchase price
for the property is : THIRTEEN THOUSAND NINE HUNDRED
TWENTY-SEVEN DOLLARS ( $13 , 927 . 00 ) which shall be paid
in full in cash at settlement ; the sale price represents
1000 of fair market value as established by the 1990
Albemarle County tax assessment.
( 3 ) Settlement Date: This transaction shall be
closed within thirty ( 30 ) days after the satisfaction
of all contractual conditions and contingencies set
forth hereinbelow, and all parties agree to attempt
in good faith to meet the terms and conditions herein
prior to said date so that closing may occur as soon
as practicable. On the date of closing, Seller agrees
to convey the Property to Purchaser by general warranty
deed with the usual English covenants of title and free
and clear from all encumbrances, tenancies, liens ( for
taxes or otherwise) , but subject to applicable easements

and restrictive covenants of record not adversely affecting
the use of the Property, in exchange for which Purchaser
shall provide the consideration set for in paragraph
two ( 2) above. Seller further agrees to pay the expenses
of preparing the deed and of the recordation tax applicable
to grantors .
(4 ) Marketable Title: Seller agrees that if ,
upon examination, the title is found defective, unless
such defect is cured within a reasonable time after
notice to the Seller, this Agreement shall be void at
the option of the Purchaser.
( 5 ) Possession: Purchaser shall have possession
of the Property upon delivery of the deed.
(6 ) Prorations : All real estate taxes shall be
pro rated as of the date of settlement.
( 7 ) Risk of Loss : All risk of loss or damage
to the Property by fire, windstorm, casualty or other
cause is assumed by Seller until closing.
( 8 ) Inspection: Purchaser represents that an
inspection has been made of the Property, and Purchaser
agrees to accept the Property in its present condition.
Purchaser acknowledges receipt of a satisfactory soil
sample test, establishing the Property as suitable for
construction by Purchaser of the housing project assisted
under Section 202 of the Housing Acts of 1959 .

(9 ) Special Conditions:
A. This contract is expressly contingent
upon the Purchaser ' s receipt of a Conditional Committment
and Final Commitment from the U.S . Dept. of Housing
and Urban Development ( "HUD" ) for funding Section 202
Project No. 051-EH-188 , as described in the Notification
of Funds Reservation letter attached hereto, and the
satisfaction by the parties of all conditions and require-
ments set forth in said letter, and all other conditions
precedent to a Commitment for funding of a Section 202
Loan in the sum of $ 1 ,228 , 700 . 00 .
B. This contract is contingent upon Seller
obtaining the approval and consent of the U.S. Department of
Agriculture Farmers Home Administration ( "FmHA" ) for
the partial release of the above-described property
from the lien of the deed of trust securing FmHA in
the original sum of $602 , 600 . 00 , of record in Albemarle
Deed Book 654 , page 450 .
( 10 ) Real Estate Agent: The Purchaser acknowledges
that no real estate broker or agent has at any time
shown it this property, nor informed it that it was
for sale, and that no broker is entitled to any commission
as a result of this transaction.
( 11 ) Funds for Settlement: Purchaser ' s funds for
the purchase price payable at closing shall be in the

for of cash, cashier ' s or certified check.
( 12 ) Entire Agreement: This Agreement of Sale
constitutes the entire Agreement among the parties and
may not be modified or changed except by written instru-
ment executed by all the parties.
( 13 ) Binding on Heirs : This Agreement of Sale
shall be construed, interpreted, and applied according
to the law of Virginia, and it shall be binding upon
and shall inure to the benefit of the personal
representatives , successors, and assigns of the parties .
( 14 ) Condition of Premises : Except as otherwise
provided herein, Purchaser agrees to take title and
possession of the premises in an "AS IS" condition.

Dear Jane:
In regards to our proposal to supply appliances for the
Scottsville School Apartments project, our Director of
Facilities, Jules Prigioni, informs me that our proposal was
mailed to you on June 18, 1990. If you have not received it
as yet, please let me know immediately.
Our service rate for appliance work (labor only) is $36. 00
per hour. Whereas most service people bill in blocks of 1
hour minimum and 1/2 hour minimum thereafter, Management
Services bills by the 1/4 hour. MSC is also an authorized
Whirlpool/Roper service company. We will do all service work
for the 1st year under the factory warranty program.
Also, we expect that service based in Charlottesville will
be no more costly than service based in Scottsville if we
follow the Requests for Maintenance Service plan on pages
17-18 of the Management Plan.
Finally, when it comes to emergencies (for refrigerators
especially) , you know that we have servicemen available every
day, day and night.
