Date / —.2 7 — '9/ Route 8, Box 230A, Charlottesville, VA 22901 • CONDITIONS OF CONTRACT 1.Custom Signs Fabricators Inc.,hereinafter called CSF,hereby sells and the Customer hereby purchases the items listed on the face of this contract,subject to the terms and conditions stated. 2.TERMS All amounts are due upon completion and presentation of invoice.CSF reserves the right to asses a service charge to the maximum allowed by law but not less than 2%per month on all past due amounts. An annual percentage rate of 24%. 3.The Customer waives the Homestead Exemption and all other insolvency exemption laws as to this obligation and agrees that if there be a default in any payment herein expressed,the full amount of the purchase price or balance thereof,shall become immediately due and payable on default,together with court costs and attor- ney's fees of no less than 25%if then placed with an attorney for collection 4.Customer authorizes CSF,its agents,servants and employees to erect or attach a sign or signs and electrical equipment and necessary structures on the building or property specified in this agreement and the Customer agrees to indemnify and hold harmless,CSF, its agents,servants,employees from any charge,claim or action arising out of said attachment or erection both in law and equity 5.The Customer shall be responsible for obtaining the necessary permission from the owner of the premises,public authorities and all others whose permission is re- quisite for the installation and maintenance of the sign. Should CSF be hindered in its work of installing the sign because of the Customer's failure to obtain such per- mission,the terms herein shall commence on the day the sign is constructed and ready for installation and the amount owed shall be due in full. 6.Unless within ten days of completion of installation,written notice of defect claimed,delays or any unworkmanlike manner of installation is given by the Custon,e, to CSF,it is hereby agreed and assumed conclusively that the articles have be delivered and installed in a satisfactory manner..In the event that there is a discrepancy as to the completion of and written notice of defects)and/or omissions claimed,for the job specified on the reverse side,the customer may withhold 10%of the in- voice amount. The remaining 10%is due and payable after correction and completion of claimed defects and/or omissions. 7.Unless a specified time for completion is agreed,the work shall be completed in accordance with CI-S's normal operating schedule.In any event,CFS shall not be liable for failure to undertake or complete the work due to circumstances beyond CSFs control,including but not limited to fire,flood or other casualty,material shortage,labor disputes,accidents or mishaps. 8.CSF shall be provided with suitable access to the work area.If CSFs work is dependent upon or must be undertaken in conjunction with the work of others,such work shall be completed and performed so as to enable CSF to perform its work under normal single shift operations. 9.CSF shall guaranty signs for a period of 12 months from the date of delivery against failure to operate due to defects in material or workmanship. Defective parts shall be replaced without charge to the Customer for both labor and materials except that for defective transformers and ballasts which shall be replaced without charge for materials only.Broken tubes,normal loss of brilliancy of tubing during periods of low temperature,burned out lamps and blown fuses are not included in this guarantee. Customer agrees to pay for all service or maintenance calls which are not covered by this guarantee. 10.The contract constitutes the entire and exclusive agreement between the parties hereto with rc put to the personal property hereby sold and any promises,under- standings or agreements pertaining directly or indirectly to the contract,which are not contained herein are hereby waived. Furthermore,no other agreement,oral or written,expressed or implied shall limit or qualify the terms and provisions of this contract The agreement is not subject to cancellation except by written consent by both parties. 11.Customer agrees to sign ner..enry documents if required by CSF to allow CSF access to the proper financing statement with the appropriate court and filing office of the State Corporation Commission Further Customer agrees the ownership of the product remains with CSF until invoice is paid in full by Customer. CSF reserves all rights to recover the product not paid for by Customer.Customer will be liable for cost expended by CSF to recover the product for the failure of the Customer to Pay. 12.Unless specifically stated otherwise,Customer shall provide ne-eery electric circuits to sign or signs. 13.If the contracted work is completed and the site is not ready to accept the sign display,then the Customer shall pay in full all costs as agreed except for installa- tion.Installation cost shall be due and payable upon completion of work with the same conditions stated. This contract is subject to acceptance by an Officer of CSF and is not binding on CSF until so accepted. Contract to be effective as of the date first written.
