PARKING LEASE TERM SHEET
Tenant: 6135 Rockfish Gap, LLC, a Virginia limited liability
company.
Landlord: Froehling & Robertson, Inc. a Virginia corporation.
Landlord's Property: Landlord's property located at 6185 Rockfish Gap
Turnpike, Crozet (Albemarle County), Virginia 22932.
Leased Premises: Up to eleven (11) parking spaces on Landlord's Property
designated on the site plan attached hereto and made a part
hereof as Exhibit A. If Tenant does not require use of all
eleven (11) parking spaces, then Landlord and its
employees, agents and contractors shall be permitted to park
in such spaces until such time as Tenant has need of the
spaces.
Term: Up to eighteen (18) months from and after the
commencement date of the fully executed Lease (the
"Commencement Date").

Rent: $ bl�tSAO per month per parking space beginning from the
"Rent Commencement Date" throughout the Term.
Rent Commencement Date: To be agreed upon between the parties.
No Improvements: The Leased Premises shall not be modified, altered or
improved by Tenant in any way.
Insurance: Tenant will pay for and maintain all insurance on the Leased
Premises (and all improvements thereon or thereabout) and
carry insurance to protect Landlord from any liability or
claim for injuries sustained on the Leased Premises and the
Landlord's Property in commercially reasonable form and
amounts satisfactory to Landlord, but in any case not less
than One Million Dollars ($1,000,000.00), with Landlord
named as an additional insured under such policy.
Use: Tenant plans to improve its property adjacent to Landlord's
Property located at 6181 Rockfish Gap Turnpike, Crozet
(Albemarle County), Virginia 22932 (Tax Map parcel
number 05500-00-00-109A0) ("Tenant's Property") for
tenant occupancy of the building thereon and needs the use
of the Leased Premises to obtain a building permit and
certificate of occupancy. Thereafter, Tenant plans to
construct a parking area on the Tenant's Property sufficient
to serve Tenant's Property, subject to all governmental
approvals.
Indemnity: Tenant will indemnify, defend and hold Landlord harmless
from and against any and all injuries, damages, costs and
expenses, including counsel fees and court costs, lawfully
and reasonably incurred in or about the Leased Premises and
the Landlord's Property, or in the defense of any action or
proceeding, or in discharging any lien, charge or
encumbrance, caused by Tenant's negligence or willful
misconduct.
Release: For and in consideration of Landlord's lease of the Leased
Premises to Tenant, the receipt and sufficiency of which is
hereby acknowledged, Tenant, its successors and assigns,
does hereby release and discharge Landlord, its successors
and assigns, and all other persons, firms and entities from all
claims, terms, provisions, obligations, demands, damages,
actions, causes of action or suits of any kind or any nature
whatsoever by reason of (i) Tenant's purchase from
Landlord of the Tenant's Property and (ii) Tenant's
development, proposed development, use or proposed use of
the Tenant's Property. This release shall survive expiration
or earlier termination of the Lease.
Guaranty: John C. Schoeb.
Representations I Warranties: The Lease will contain customary representations,
warranties, covenants and indemnities from Tenant.
Compliance: Tenant agrees, at its own expense, to comply with (i) all
laws, orders and regulations of federal, state and municipal
authorities and with any lawful direction of any public
officer which shall impose any duty upon Tenant or
Landlord with respect to the use of the Leased Premises, and
(ii) any reasonable rules and regulations established from
time to time by the Landlord with respect to the use of the
Leased Premises. Tenant shall, at its own expense, obtain
all required licenses or permits necessary for such
compliance.
Termination: The Lease shall be terminated upon any of the following:
(i) upon fifteen (15) days' advance written notice by either
party to the other party upon a default under the Lease;
(ii) immediately upon Landlord's receipt of any letter or
notice from any county, state or federal governmental
authority of noncompliance of Landlord's Property with any

Iaws, orders, ordinances or regulations as a result of or
related in any way to the Lease or Tenant's use of the
Leased Premises; and (iii) upon Tenant's completion of its
parking area within the Tenant's Property and Tenant's
receipt of all necessary and appropriate governmental or
regulatory approvals for such parking area.
Landlord's Parking Rights: As part of Tenant's consideration paid to Landlord under the
Lease for the Leased Premises, during the term of the Lease,
Landlord shall be permitted to park some of vehicles and
equipment in the area of Tenant's property as shown on the
site plan attached hereto and made a part hereof as Exhibit B
upon terms agreeable to the parties more fully set forth in
the Lease.
Definitive Agreement: All other terms and conditions of the Lease shall be subject
to final negotiation and approval by the parties thereto.
Landlord's Attorneys' Fees: Tenant agrees that it shall pay Landlord's reasonable
attorneys' fees related to Landlord's preparation, negotiation
and finalization of the Lease and related activities up to a
maximum amount of $5,000.00, which shall be due upon
the Commencement Date.
It is understood that (i) neither Landlord nor Tenant shall not have any obligations or liabilities
under this term sheet, this term sheet simply being an expression of the interest of Landlord and
Tenant; and (ii) Landlord and Tenant will in good faith negotiate and enter into a formal Lease
Agreement which will set forth the obligations of the parties and which will contain terms not
inconsistent with those provided above. In the event such Lease is not entered into within
thirty (30) days from the date this term sheet is fully executed, then this term sheet shall have no
further force or effect. The parties agree that the terms of this term sheet shall be confidential.
