THIS DEED is made and entered into this 2nd day of
September, 2009, by and between D. MICHAEL ATKINS and ROBERT
M. CALLAGHAN, Trustees of the SIXTY-FOUR-616 LAND TRUST,
under agreement dated July 2, 1987, M. CLIFTON McCLURE and
ROBERT M. CALLAGHAN, Trustees of the NYC LAND TRUST, under
agreement dated May 4, 1986, S-V ASSOCIATES, a Virginia
general partnership, and M. CLIFTON McCLURE and ROBERT M.
CALLAGHAN, Trustees of the ONE -NINTH LAND TRUST, under
agreement dated August 18, 2000, collectively referred to as
the Grantors, and ROUTE 29, LLC, a Virginia limited
liability company, whose address is P.O. Box 5548,
Charlottesville, Virginia, 22905,
W I T N E S S E T H:
THAT FOR AND IN CONSIDERATION of the sum of TEN DOLLARS
($10.00), cash in hand paid, the receipt of which is hereby
acknowledged, the Grantors do hereby GRANT, BARGAIN, SELL
and CONVEY with GENERAL WARRANTY AND ENGLISH COVENANTS OF
TITLE unto Route 29, LLC, the following described real
estate in Albemarle County, Virginia:

All that certain tract or parcel of land with
improvements thereon and appurtenances thereto containing
8.167 acres, more or less, situated in Albemarle County,
Virginia, on the west side of U.S. Route 29, about 7 miles
north of the City of Charlottesville, being Albemarle County
Tax Map Parcel 46-5, more particularly described on a plat
of Dominion Development Resources, LLC, dated March 6, 2009
and recorded in the Clerk's Office of the Circuit Court of
Albemarle County, Virginia in Deed Book 3704, pages 460-481.
PARCEL TWO:
All that certain tract or parcel of land together with
all improvements thereon and all appurtenances thereunto
belonging, situate in Albemarle County, Virginia, containing
15.663 acres, more or less, being Albemarle County Tax Map
Parcel 32-42A, as shown on plat of Dominion Development
Resources, LLC, dated March 6, 2009 and recorded in the
Clerk's Office of the Circuit Court of Albemarle County,
Virginia, in Deed Book 3704, pages 460-481.
PARCEL THREE:
All that certain tract or parcel of land situated in
Albemarle County, Virginia, containing 12.23 acres, more or
less, being Albemarle County Tax Map Parcel 32-50, being the
11.86 acres shown on plat of Rivanna Engineering &
Surveying, PLC, dated August 5, 2005, recorded in the
Clerk's Office of the Circuit Court of Albemarle County,
Virginia, in Deed Book 3060, page 613 plus Area X containing
0.37 acres, as set out on plat made by Rivanna Engineering
and Surveying, PLC, dated March 17, 2006 and recorded in the
Clerk's Office of the Circuit Court of Albemarle County,
Virginia, in Deed Book 3252, pages 731--736.

PARCEL IV:
All that certain tract or parcel of land situated in
Albemarle County, Virginia, being Albemarle County Tax Map
32, parcel 45, containing 32.06 acres, more or less, on plat
made by Dominion Development Resources, LLC, dated July 16,
2007 and recorded in the Clerk's Office of the Circuit Court
of Albemarle County, Virginia, in Deed Book 3556, pages 176-
PARCEL V:
All that tract or parcel of land situated in Albemarle
County, Virginia, shown as Tax Map 32, parcel 44, containing
7.772 acres on plat made by Dominion Development Resources,
LLC, dated March 6, 2009 and recorded in the Clerk's Office
of the Circuit Court of Albemarle County, Virginia, in Deed
Book 3704, pages 460-481.
The above property is the same which was conveyed to
the Grantors herein by deed of HM Acquisition Group, LLC,
dated August 27, 2009 and recorded in the Clerk's Office of
the Circuit Court of Albemarle County, Virginia, just prior
hereto.
This conveyance is made subject to the deed of trust
("Deed of Trust") from HM Acquisition Group, LLC, a Virginia
limited liability company, to Alexander Title Agency,
Incorporated, Trustee, dated August 16, 2005 and recorded in
the Clerk's Office of the Circuit Court of Albemarle County,
Virginia, in Deed Book 3050, page 703. The Grantee does not
assume the obligations secured by this deed of trust.
This conveyance is subject to all easements,
reservations, restrictions, conditions and other
encumbrances contained in duly recorded deeds, plats and
other instruments constituting constructive notice in the

chain of title to the above -described property which have
not expired by a time limitation contained therein or have
not otherwise become ineffective.
THIS DEED IS EXEMPT FROM RECORDATION TAX PURSUANT TO
CODE OF VIRGINIA SECTION 58.1-811.A.10. THIS TRANSFER IS
NOT A PRECURSOR TO A TRANSFER OF CONTROL OF THE ASSETS OF
THE COMPANY TO AVOID RECORDATION TAXES.
