THIS DEED made and entered into this 23rd day of June, 2005,
by and between D. MICHAEL ATKINS and ROBERT M. CALLAGHAN, Trustees
of the SIXTY-FOUR-616 LAND TRUST, under agreement dated July 2,
1987; M. CLIFTON McCLURE and ROBERT M. CALLAGHAN, Trustees of the
NYC LAND TRUST, under agreement dated May 4, 1986; S-V ASSOCIATES,
a Virginia general partnership, and M. CLIFTON MCCLURE and ROBERT
M. CALLAGHAN, Trustees of the ONE -NINTH LAND TRUST, under agreement
dated August 18, 2000, collectively referred to as the Grantors,
and HM ACQUISITION GROUP, LLC, a Virginia limited liability
company, the Grantee, whose address is P.O. Box 5548,
Charlottesville, Virginia 22905,
W I T N E S S E T H:
THAT FOR AND IN CONSIDERATION of the sum of TEN DOLLARS
($10.00), cash in hand paid, the receipt of which is hereby
acknowledged, the Grantors do hereby GRANT, BARGAIN, SELL and
CONVEY with SPECIAL WARRANTY OF TITLE unto the Grantee, the
following described real estate in Albemarle County, Virginia:
PARCEL ONE: all that certain tract or parcel of land with
improvements thereon and appurtenances thereto containing 10.83
acres, more or less, situated in Albemarle County, Virginia, on the
west side of U.S. Route 29, about 7 miles north of the City of
Charlottesville, more particularly described on a plat of William
S. Roudabush, Jr., C.L.S., dated October 3, 1973 and recorded in
the Clerk's Office of the Circuit Court of Albemarle County,
Virginia in Deed Book 555, page 269, being Albemarle County Tax Map
Parcel 46-5; being the same property which was conveyed to D.
Michael Atkins and Robert M. Callaghan, trustees of the Sixty-Four-
616 Land Trust under a land trust agreement dated July 2, 1987, by
deed of Joseph G. Hyman and Dorothea J. Hyman, husband and wife,
and Elliott L. Hyman, unmarried, dated May 24, 1988 and recorded in
the said County Clerk's Office in Deed Book 995, page 1;
PARCEL TWO: all that certain tract or parcel of land together
with all improvements thereon and all appurtenances thereto belong,
situate in Albemarle County, Virginia, containing 2.66 acres, more
or less, being Albemarle County Tax Map Parcel. 32-42C, shown and
described on plat of K.M. Gloeckner, dated July 16, 1974 and
recorded in the Clerk's Office of the Circuit Court of Albemarle
County, Virginia in Deed Book 559, page 288; being the 2.416 acre
property which was conveyed to M. Clifton McClure and Robert M.
Callaghan, trustees of the NYC Land Trust under an agreement dated
May 4, 1986, by deed of ELCA Loan Fund, dated December 26, 1991 and
recorded in said County Clerk's Office in Deed Book 1396, page 699,
as adjusted by the Deed of Boundary Line Adjustment recorded in
Deed Book 2686, page 694;
PARCEL THREE: all that certain tract or parcel of land
together with all improvements thereon and all appurtenances
thereunto belonging situate in Albemarle County, Virginia,
containing 2.882 acres, more or less, being Albemarle County Tax
Map Parcel 32-42A, as shown and described on plat of K.M.
Gloeckner, dated July 16, 1974 and recorded in the Clerk's Office
of the Circuit Court of Albemarle County, Virginia, in Deed Book
559, page 288; and being a portion of the property conveyed to M.
Clifton McClure and Robert M. Callaghan, trustees of the NYC Land
Trust under agreement dated May 4, 1986, by deed of ELCA Loan Fund,
dated December 26, 1991 and recorded in the said County Clerk's
Office in Deed Book 1396, page 699;
PARCEL FOUR: all that certain tract or parcel of land
situated in Albemarle County, Virginia, containing 12 acres, more
or less, composed of two contiguous tracts, one of 2 acres and one
of 10 acres, together with the right of way to the Earlysville Road
as granted in a deed from George Nicholas and others to Gilbert and
Jennie Tyree, conveying the 2 acre tract by deed dated July 19,
1923 and recorded in the Clerk's Office of the Circuit Court of
Albemarle County, Virginia in Deed Book 185, page 487. This
property shown as Albemarle County Tax Map Parcel 32-50. This is
the same property conveyed to M. Clifton McClure and Robert M.
Callaghan, Trustees of the NYC Land Trust, dated January 22, 1996
and recorded in said County Clerk's Office in Deed Book 1529, page
260.
PARCEL FIVE: all that tract or parcel of land situated in
Albemarle County, Virginia, shown as Tax Map 32, Parcel 44,
containing 25.50 acres on plat made by Timothy R. Miller, G.L.S.,

dated August 26, 2002, recorded in the Clerk's Office of the
Circuit Court of Albemarle County, Virginia, in Deed Book 2311,
page 748, as adjusted by Deed of Boundary Line Adjustment dated
December 22, 2003 and recorded in said County Clerk's Office in
Deed Book 2672, page 736 (as corrected in Deed Book 2686, page 694)
and Deed of Boundary Line Adjustment dated September 30, 2004 and
recorded in the said County Clerk's Office in Deed Book 2890, page
696; being the same property conveyed to M. Clifton McClure and
Robert M. Callaghan, trustees of the One -Ninth Land, by the
following deeds:
1. Deed of Joseph D. Hudson, Sr., et al, trustees, dated
August 31, 2000 and recorded in the County Clerk's Office in Deed
Book 1954, page 102;
2. Deed of Lillie E. Starks, et al, dated September 4, 2002
and recorded in the said County Clerk's Office in Deed Book 2311,
page 730;
3. Deed of United Land Corporation of America dated October
6, 2003 and recorded in the said County Clerk's Office in Deed Book
2608, page 270;
4. Deeds of Boundary Line Adjustments mentioned above and
recorded in Deed Book 2673, page 745, as corrected in Deed Book
2686, page 694, and in Deed Book 2890, page 696;
PARCEL SIX: all that certain tract or parcel of land situated
in Albemarle County, Virginia, being Albemarle County Tax Map 32,
parcel 45, containing 24.540 acres, more or less, shown as Lot No.
1 on plat of E.D. Noonan dated October 16, 1909 and recorded in the
Clerk's Office of the Circuit Court of Albemarle County, Virginia,
in Deed Book 141, page 261; and being the 25 acre parcel of land
conveyed to S-V Associates by deed of Wendell W. Wood, et al, dated
November 13, 1978 and recorded in the said County Clerk's Office in
Deed Book 659, page 274, as adjusted by Deed of Boundary Line
Adjustment dated September 30, 2004 and recorded in said County
Clerk's Office in Deed Book 2890, page 696, with plat at page 706.
This conveyance is subject to all easements, reservations,
restrictions, conditions and other encumbrances contained in duly
recorded deeds, plats and other instruments constituting
constructive notice in the chain of title to the above -described
property which have not expired by a time limitation contained
therein or have not otherwise become ineffective.

VIRGINIA SECTION 58.1-811.10.
