LLC, a Virginia limited Liability company, S-V ASSOCIATES, a
Virginia general partnership, M. CLIFTON MCCLURE and ROBERT M.
CALLAGHAN, Trustees of the ATLANTIC LAND TRUST under agreement
dated June 21, 2000 and RIVER HEIGHTS ASSOCIATES LIMITED
PARTNERSHIP, a Connecticut Limited Partnership, the Grantors, and
UPTOWN VILLAGE, LLC, the Grantee, whose address is
W I T N E S S E T H:
THAT FOR AND IN CONSIDERATION of the sum of FORTY-EIGHT
MILLION NINE HUNDRED THIRTY-SEVEN THOUSAND AND N0/100 DOLLARS
($48,937,000.00), of which $4,963,000.00 is by cash in hand paid,
and of which $43,974,000.00 is by deferred purchase money notes,
secured by a deed of trust recorded just subsequent hereto, the
receipt of all of which is hereby acknowledged, the Grantors do
hereby GRANT, BARGAIN, SELL and CONVEY with GENERAL WARRANTY and
ENGLISH COVENANTS OF TITLE unto the Grantee, the following
described real estate situated in the County of Albemarle,

ONE: All that certain tract or parcel of land, situated in
Albemarle County, Virginia, just south of the
Charlottesville -Albemarle Airport, being designated on the
County Tax Map as Parcel 32-51, containing five (5) acres,
more or less, and being more particularly described by
metes and bounds in a deed dated August 16, 1887 and
recorded in the Clerk's Office of the Circuit Court of
Albemarle County, Virginia in Deed Book 92, page 408; being
the same property which was conveyed to M. Clifton McClure
and Robert M. Callaghan, Trustees of the NYC Land Trust u/a
dated May 4, 1986, by deed of James F. Elmore, dated July
14, 1998, recorded in the said County Clerk's Office in
Deed Book 1717, page 612.
TWO: All that certain parcel or lot of land situated in
Albemarle County, Virginia, more particularly described as
Lot 4 on "Plat Showing A Boundary Survey of Lot 4-Also
Known as Tax Map 32 Parcel 52 Located Off State Route 606,
Albemarle County, Virginia", by Thomas B. Lincoln Land
Surveyor, Inc., dated February 11, 2003 and recorded in the
Clerk's Office of the Circuit Court of Albemarle County,
Virginia in Deed Book 2876, page 291; being the same
property which was conveyed to One -Ninth, LLC, a Virginia
limited liability company, by deed of Millicent Nicholas
(a/k/a Millicent B. Nicholas); Ulia M. Brown, Donald R.
Nicholas, Janie T. Morgan (a/k/a Janie C. Morgan); Helen
Chinn, Tyrone Ayers; Melvin Gabourel, Sr., and James P.
Cox, III, Special Commissioner for the Heirs at Law of
Rubye Tyree and for Gilbert Ayers or his heirs, dated

Lum, C.L.S., dated September 19, 1974, captioned "Plat
Showing Tax Map 32, Parcels 53 & 54, the Lincoln Carr
Property, recorded in the Clerk's Office of the Circuit
Court of Albemarle County, Virginia in Deed Book 569, page
35; being a portion of the property conveyed to S-V
Associates by deed of Wendell W. Wood, et al, dated
November 13, 1978, recorded in the said County Clerk's
Office in Deed Book 659, page 274.
FOUR: All that certain lot or parcel of land located in
the Rivanna Magisterial District of Albemarle County,
Virginia in the vicinity of the Charlottesville -Albemarle
Airport property, such lot containing 6.45 acres and
identified on Albemarle County Tax Map 32, as Parcel 55;
being a portion of the property conveyed to M. Clifton
McClure and Robert M. Callaghan, Trustees of the NYC Land
Trust under agreement dated May 4, 1987, by deed of Ellen
V. Nash, Special Commissioner, dated January 23, 1989,
recorded in the Clerk's Office of the Circuit Court of
Albemarle County, Virginia in Deed Book 1034, page 551.
FIVE: A tract of land containing 33.05 acres, near State
Route 649 in Albemarle County, Virginia, shown and
described on a plat of Wm. Morris Foster, C.L.S., dated May
5, 1972, captioned "Plat Showing Survey of Pauline Elmore
Property", recorded in the Clerk's Office of the Circuit
Court of Albemarle County, Virginia in Deed Book 520, page
305; being a portion of the property conveyed to S-V
Associates by deed of Wendell W. Wood, et al, dated
November 13, 1978, recorded in said County Clerk's Office
in Deed Book 659, page 274.
SIX: All that certain tract or parcel of land, with the
improvements thereon and appurtenances thereto, lying and
being situate in the Rivanna Magisterial District of the
County of Albemarle, Virginia, near Proffitt Station,
containing two acres, more or less, and being the same
property conveyed to George Meadows and Beatrice Meadows by
deed of Richard Nicholas, George Nicholas, and Hattie
Nicholas, dated September 1, 1945, recorded in the Clerk's
Office of the Circuit Court of Albemarle County, Virginia
in Deed Book 279, page 209. George Meadows died prior to
1965 and all of his interest in the above described
property passed to Beatrice Meadows by right of
survivorship. BEING the same property conveyed to M.
Clifton McClure and Robert M. Callaghan, Trustees of the
Atlantic Land Trust under Agreement dated June 21, 2000, by
Special Warranty Deed from Steven L. Raynor, Special
Commissioner, dated June 26, 2000, recorded in the said
County Clerk's Office in Deed Book 1950, page 154.
SEVEN: All that certain lot or parcel of land located in
the Rivanna Magisterial District of Albemarle County,
Virginia in the vicinity of the Charlottesville Albemarle
Airport property, containing 2.5 acres, identified on
Albemarle County Tax Map 32, as Parcel 58; being a portion
of the property conveyed to M. Clifton McClure and Robert
M. Callaghan, Trustees of the NYC Land Trust under
agreement dated May 4, 1987, by deed of Ellen V. Nash,
Special Commissioner, dated January 23, 1989, recorded in
the Clerk's Office of the Circuit Court of Albemarle
County, Virginia in Deed Book 1034, page 551.
EIGHT: All that certain parcel or tract of land together
with improvements thereon and appurtenances thereunto
appertaining, and subject to all easements and restrictions
of record, situated in the County of Albemarle, Virginia,
in the vicinity of the village of Earlysville and in the
vicinity of the Charlottesville Albemarle Airport,
containing 4.17 acres, identified on the Albemarle County
Tax Map 32, as Parcel 58A; being the same property which
was conveyed to M. Clifton McClure and Robert M. Callaghan,
Trustees of the NYC Land Trust under agreement dated May 4,
1987, by deed of Eola T. White and Lucian B. White, husband
and wife, dated January 19, 1989 and recorded in the said
County Clerk's Office in Deed Book 1034, page 545.
NINE: All that certain lot or parcel of land containing
8.86 acres, more or less, located in the Rivanna
Magisterial District of Albemarle County, Virginia, and
identified as Parcel 1 on Tax Map 46 for the said County,
being the remainder of three parcels aggregating 23-1/6
acres conveyed to Robert L. Branham and Lessie S. Branham,
husband and wife, as tenants by the entirety, by deed of
Henry C. Garrison and Marjorie A. Garrison, dated July 20,
1960 and recorded in the Clerk's Office of the Circuit
Court of Albemarle County in Deed Book 360, at page 307,
after four off -conveyances recorded in the said Clerk's
Office at Deed Book 368, page 232; at Deed 388, page 262;
at Deed Book 508, page 335; and at Deed Book 549, page 43.
This conveyance is in gross and not by the acre. BEING the
same property conveyed to River Heights Associates Limited
Partnership by deed of M. Clifton McClure and Robert M.
Callaghan, Trustees of the NYC Land Trust under agreement
dated May 4, 1987, said deed dated December 22, 1998 and
recorded in the said County Clerk's Office in Deed Book
1779, page 364.
TEN: All that certain parcel or tract of land situated in
Albemarle County, Virginia, containing 10.519 acres, more
or less, more particularly shown and described as TMP 46-2
on a plat by Thomas B. Lincoln Land Surveyor, Inc., dated
August 25, 2005, recorded in the Clerk's Office of the
Circuit Court of Albemarle County, Virginia in Deed Book
3055, page 211; being a portion of the property which was
conveyed to One -Ninth, LLC, a Virginia limited liability
company, by deed of Millicent Nicholas, Ulia M. Brown and
Donald R. Nicholas, dated October 25, 2005, recorded in the
said County Clerk's Office in Deed Book 3097, page 482.
ELEVEN: All that certain parcel or tract of land situated
in Albemarle County, Virginia, containing 10.519 acres,
more or less, more particularly shown and described as TMP
46-2A on a plat by Thomas B. Lincoln Land Surveyor, Inc.,
dated August 25, 2005 and recorded in the Clerk's Office of
the Circuit Court of Albemarle County, Virginia in Deed
Book 3069, page 632; being a portion of the property which
was conveyed to One -Ninth, LLC, a Virginia limited
liability company, by deed of Millicent Nicholas, Ulia M.
Brown and Donald R. Nicholas, dated October 25, 2005,
recorded in the said County Clerk's Office in Deed Book
3097, page 482.

Book 3055, page 211; being a portion of the property which
was conveyed to One -Ninth, LLC, a Virginia limited
liability company, by deed of Millicent Nicholas, Ulia M.
