Dear Ms. McGetrick:
Your request to purchase the above described easement on behalf of your client, Crockett Corporation, has
been received and reviewed. The determination has been made by staff that the property is no longer needed
for highway purposes.
We have established through our appraisal process a fair market value of $15,000.00 for the 0.8494 acre in
question as shown outlined in GREEN on Sheets 6RW and 7RW.
If you are still interested in purchasing the above referenced easement, please contact me by email at
Jordan.Cheresnowsky@VDOT.Virginia.gov or by phone at (703) 259-2971, so that we can discuss the
conveyance process. If we do not hear from you within 30 days from the receipt of this letter, we will take
the position that you are not interested in acquiring the property, and your deposit of $500.00 will be
retained by VDOT as liquidated damages to defray administrative costs.

Brief legal description of Virginia Department of Transportation Easement: Being that easement outlined
in GREEN for drainage purposes as shown on Sheets 6RW and 7RW of the plans for Route 29, State
Highway Project 0029-002-125, R201 and lying east of and adjacent to the east existing right of way line
of Route 29 from a point 113.04 feet opposite Station 2632+87.62 (Route 29 ML Construction Baseline) to
a point 128.05 feet opposite Station 2636+02.13 (Route 29 ML Construction Baseline) containing 0.8494
acre, more or less, land; and being a part of the same lands acquired from Crockett Corporation by
Certificate dated December 28, 2015, recorded in Deed Book 4712, Pages 51-67, and concluded by Final
Order dated November 14, 2016, recorded in Deed Book 4838, Pages 60-64, both recorded in the Office of
the Clerk of the Circuit Court of Albemarle, Virginia. ("Property")
I do AGREE to purchase the Property described above for $15,000.00 and do SWEAR and AFFIRM that
Crockett Corporation ("Purchaser") is the Owner of record of the underlying fee of the described Property.
This Offer is conditionally accepted by the Virginia Department of Transportation (VDOT) subject to the
proposed facilities being constructed within 90 days of the Notice of Conditional Offer Acceptance,
facilities being approved by VDOT, and the Property declared Surplus to the department's needs, by the
Commissioner of Highways or his designee.
Purchaser understands the Property will be conveyed by quitclaim deed. Purchaser understands that a
formal closing shall take place within 60 days of the Property being declared surplus, at which time
Purchaser will be required to pay for recording of the deed and any tax or fee associated with the recordation
of the transfer.
Purchaser understands that if that if the new facilities have not been constructed, inspected and approved
within 90 days of the Notice of Conditional Offer Acceptance and/or closing has not occurred within 60
days of the Property being declared surplus, the Offer to Purchase will expire, and Purchaser's deposit will
be retained to cover administrative costs.
Purchaser will be granted the opportunity to conduct a Phase I Environmental Site Assessment solely at
Purchasers expense, to satisfy due diligence requirements under the Comprehensive Environmental
Response, Compensation and Liability Act (CERCLA) prior to closing on the Property, and agrees that
completion of such Assessment shall not exceed a period of 30 days from the date of Notice of Offer
Acceptance or be deemed waived by the Purchaser without further action.

Notice of Offer Acceptance and shall not exceed 30 days.
Purchaser will not conduct a Phase I Environmental Site Assessment
The deed for the Property being conveyed is to be titled in the exact manner the underlying fee land is
titled in the local courthouse records (Purchaser's deed is attached.)
