This deed is exempt from taxation under Virginia Code §§ 58.1-811 (A)(3) and 58.1-811 (C)(4) and from Clerk's fees under
Virginia Code § 17.1-266.
THIS DEED OF DEDICATION dated this 20 day of March, 2020, is by and between
NEW BELVEDERE, INC., a Virginia corporation, Grantor, and the COUNTY OF
ALBEMARLE, VIRGINIA, a political subdivision of the Commonwealth of Virginia, Grantee.
WITNESSETH:
WHEREAS, the Grantor is the owner in fee simple of the real property located in Albemarle
County that is described below and hereinafter referred to as the "Property". -
WHEREAS, the Grantor is obligated pursuant to Proffer No. 3.2 of Proffer dated October 10,
2005 as part of ZMA No. 2004-00007 (the "Proffer") to dedicate and convey the Property to the
Grantee to accommodate the construction, maintenance and use of a ten (10) foot wide pedestrian
trail along the Rivanna River on the terms provided in this Deed of Dedication and the Proffer; and
WHEREAS, the Grantee is willing to accept the Grantor's offer of dedication.
NOW, THEREFORE, in consideration of the mutual premises, the Grantor hereby grants,
conveys, and dedicates for public use to the Grantee, its successors and assigns, with GENERAL
WARRANTY AND ENGLISH COVENANTS OF TITLE, the following real property, to wit:
All that certain parcel or piece of land containing 31.472 acres, more or less,
shown as "Revised TMP 62-2C (Greenway Trail Parcel)" on a plat entitled
"Boundary Line Adjustment for Tax Map 62A3 Parcel 1 and 62 Parcel 2C, Part of
Belvedere, Rio District, Albemarle County, VA" dated October 21, 2019, last
revised March 3, 2020, and prepared by Roudabush Gale & Associates, Inc., which
plat is recorded in the Clerk' s Office (the Clerk' s Office") of the Circuit Court of
Albemarle County in Deed Book 5294, page 423.
The property conveyed herein is a portion of that certain lot(s) or parcel(s) of land acquired
by Grantor by a deed from Nancy R. Schlichting, acting for Lenhart Pettit PC, Substitute Trustee,
dated September 29, 2017, and recorded in the Clerk's Office in Deed Book 4966, page 361 and a

Deed of Boundary Adjustment dated as of March 6, 2020 and recorded in the Clerk's Office in Deed
Book 52-1 V , page q l I .
Pursuant to Proffer No. 3.2 of the Proffer, if the Property is not used for the purpose for
which it is dedicated within 10 years of the date of this Deed of Dedication then Grantee is obligated
to transfer the Property to Grantor or its successors and assigns for use as open space.
Nothing herein shall preclude the use of the Property that is within one hundred (100) feet of ,
the Property's boundary with the Norfolk Southern Railroad consistent with Proffer 4.2 of the
Proffer, as it may be amended.
This conveyance is subject to the Declaration of Restrictive Covenants of Belvedere Land
Holdings, LLC and New Belvedere, Inc. dated as of January 6, 2020 and recorded in the Clerk's
Office in Deed Book 5277, page 305.
This conveyance is also made expressly subject to all restrictions, conditions, rights -of -way
and easements, if any, contained in duly recorded deeds, plats and other instruments constituting
constructive notice in the chain of title to the Property conveyed hereby, insofar as the same affect
the Property, which have not expired by a time limitation contained therein or have not otherwise
become ineffective.
The Grantee, acting by and through its County Executive, duly authorized by resolution
adopted by the Board of Supervisors of the County of Albemarle, Virginia, accepts the conveyance
of this property pursuant to Virginia Code § 15.2-1803, as evidenced by the County Executive's
signature hereto and the recordation of this Deed.
