This DEED OF EASEMENT, made this day of k b019 b

and between the SEMF CHARLESTON, LLC ("Grantor"), and the ALBEMARLE
COUNTY SERVICE AUTHORITY (the "ACSA"), ("Grantee"), whose address is 168
Spotnap Road, Charlottesville, Virginia 22911.
WITNESSETH:
That for and in consideration of the sum of FIVE THOUSAND ONE HUNDRED
DOLLARS ($5,100.00), receipt of all of which is hereby acknowledged, the Grantor does
hereby GRANT and CONVEY with GENERAL WARRANTY and ENGLISH
COVENANTS of TITLE unto the Albemarle County Service Authority a perpetual right
of way and easement centered twenty (20) feet in width to construct, install, maintain,
repair, replace and extend one or more sewer lines consisting of pipes and appurtenances
thereto, over, under and across the real property of the Grantor located in Albemarle
County, Virginia the location of the easement granted being more particularly described
on the following plat:
A 3,259.15 sq. ft. permanent sewer line easement ("Easement Area"), shown and described
on plat of Lincoln Surveying, dated August 21, 2018, a copy of which is attached hereto as
Exhibit A (the "Plat"), as it crosses property of the Grantor shown and described on the
Plat and acquired by the Grantor by the instrument recorded in the Office of the Clerk of
the Circuit Court of Albemarle County, Virginia, in Deed Book 4788, Page 714 (the
"Property").

Reference is made to the Plat, a copy of which is attached hereto to be recorded
herewith, for the exact location and dimension of the Easement Area hereby granted and
the Property over which the same crosses.
ACSA shall have the reasonable right to enter upon the Property (s) for the purpose
of installing, constructing, maintaining, repairing, replacing and extending sanitary sewer
lines and appurtenances thereto, within the Easement Area and the right of ingress and
egress thereto as reasonably necessary to construct, install, maintain, repair, replace and
extend such sanitary sewer lines. If the ACSA is unable to reasonably exercise the right of
ingress and egress over the right-of-way, the ACSA shall have the right of reasonable
ingress and egress over the Property.
Grantor, its respective successors or assigns, agrees that no trees, shrubs, fences,
buildings, overhangs or other improvements or obstructions shall be placed within the
Easement Area conveyed herein.
ACSA shall have the right to cut any trees, brush and shrubbery, remove
obstructions and take other similar action reasonably necessary within the Easement Area
to provide economical and safe sanitary sewer line installation, operation and maintenance.
The ACSA shall have no responsibility to the Grantor, its successors or assigns, to replace
or reimburse the cost of said trees, brush, shrubbery and obstructions that are removed or
otherwise damaged within the Easement Area.
The facilities constructed by ACSA within the Easement Area shall be the property
of the ACSA, whom shall have the right to inspect, rebuild, remove, repair, improve and

make such changes, alterations and connections to or extensions of its facilities within the
boundaries of the Easement Area as are consistent with the purposes expressed herein.
The Grantor further GRANTS and CONVEYS to the ACSA:
A 1714.03 sq. ft. temporary construction easement, and a 1575.61 sq. ft. temporary
construction easement, shown and described on the Plat as it crosses property of the
Grantor ("Temporary Construction Easements").
The Temporary Construction Easements are for use by the ACSA's contractor
during construction, as shown on the Plat. The temporary construction easements shall
expire upon completion of construction and acceptance of the lines into the ACSA's
system, but in no event later than March 1, 2021 ("Expiration"). ACSA shall restore the
Temporary Construction Easements area to its original condition, or equivalently similar
condition, upon Expiration of the Temporary Construction Easements, except that trees
removed will not be replaced.
Grantor shall not be liable for any damage to, or loss of personal property or
equipment sustained by ACSA or any of its invitees within the Easement Area or
Temporary Construction Easements, unless caused by Grantor's gross negligence or
willful misconduct.
Whenever it is necessary to excavate earth within such Easement Area or
Temporary Construction Easements, ACSA agrees to backfill such excavation in a proper
and workmanlike manner so as to restore surface conditions to the same condition, or
equivalently similar condition, as prior to excavation, including restoration of such paved
surfaces as maybe damaged or disturbed as part of such excavation.

To the fullest extent permitted by law, ACSA shall indemnify, defend, -and hold
Grantor harmless from and against any and all losses, costs, damages, liens, claims,
liabilities, or expenses, including, but not limited to, reasonable attorneys' fees, court costs,

and disbursements, incurred by Grantor arising directly or indirectly from or by reason of

ACSA's access to, or use of the Easement Area and Temporary Construction Easements.
