DEED OF PRIVATE STREET EASEMENT
(Pantops Comer Way)
This DEED OF PRIVATE STREET EASEMENT (hereinafter, the "Agreement") is made
this 25`h of October, 2019, by and between PANTOPS CORNER, LC, a Virginia limited liability
company ("Pantops Corner"), whose address is 12704 Crimson Ct, Ste. 101, Henrico, VA, 23233,
PANTOPS, LC, a Virginia limited liability company ("Pantops, LC"), whose address is 12704
Crimson Ct, Ste. 101, Henrico, VA, 23233, and FLOW 1289 STONY POINT, LLC, a North
Carolina limited liability company ("Flow"), whose address is 500 West Fifth Street, Winston
Salem, NC 27101, Attention: Buddy Thomas. Pantops Corner and Pantops, LC shall both be
indexed as grantors and grantees. Flow is to be indexed as a grantor only.
WHEREAS, Pantops Corner is the owner of those certain parcels of real property situated
in the County of Albemarle (the "County"), Commonwealth of Virginia, shown and described as
"T.M. 78-5A", "T.M. 78-513" and "Parcel 58G1" on the Plat (defined below and attached hereto
as Exhibit A and incorporated herein by this reference) (collectively, the "Pantops Corner
Parcels"); and
WHEREAS, Pantops, LC is the owner of that certain real property situated in the County,
shown and described as "T.M. 78-5E" on the Plat (individually, the "Pantops, LC Parcel'; and
collectively with the Pantops Corner Parcels, the "Parcels"); and
WHEREAS, Flow is the owner of that certain real property situated in the County, shown
and described as "T.M. 78-5C" on the Plat (the "Flow Parcel"); and
WHEREAS, the term "Owner" or "Owners", as used in this Agreement, shall mean the
owner or owners of fee simple title to all or any portion of a Parcel and any and all successors or
assigns of such persons as the owner or owners of fee simple title to all or any portion of the real
property covered hereby, whether by sale, assignment, inheritance, operation of law, trustee's sale,
foreclosure, or otherwise, but not including the holder of any lien or encumbrance on such real
property; and
WHEREAS, reference is made to that certain plat by Roger W. Ray & Assoc., Inc., dated
March 28, 2019, last revised October 24, 2019, entitled "Right -of Way Dedication 0.07 acre, A
Portion of T.M. 78-5A and 0.01 Acre, A Portion of T.M. 78-513 Hereby Dedicated to the
Commonwealth of Virginia for Public Use and Easement Plat Showing New Variable Width
Private Street Easement With Public Access on Tax Map 78 Parcels 5A, 513, 5C, 5E and 58G1,
New Variable Width Private Access Easement on Tax Map 78 Parcels 5A and 58G1, New Variable
Width ACSA Utility Easement on Tax Map 78 Parcels 5A, 513, 5C, 5E and 58G1, New 20' Shared
Private Drainage Easement on 5A, 513, 5E and 58G1, New 6' x I V Sign Easements on Tax Map
78 Parcels 5B and 5E, New Sight Distance Easement on Tax Map 78 Parcel 5C Also New Variable
Width Shared Private Drainage Easement, New 30' Public Drainage Easement, New Public SWM
Easement and New 12' SWM Access Easement on Tax Map 78 Parcel 58G1 Located on U.S.
Route 250 (Richmond Road) & State Route 20 (Stony Point Road) at Pantops, Rivanna Magisterial
District, Albemarle County, Virginia", a copy of which is attached hereto and incorporated herein
by reference (hereinafter, the "Plat"); and
WHEREAS, the Owners intend to grant and establish a nonexclusive, perpetual and
reciprocal easement in, on, across and over certain portion of the Parcels, as more fully described
below, for the use and benefit of the Parcels for pedestrian and vehicular access, ingress and egress
to and from the Parcels and State Route 20 (Stony Point Road) and U.S. Route 250 (Richmond
Road), subject to the terms and conditions set forth below; and
WHEREAS, Flow joins this Declaration for the limited purposes of approving the Plat and
granting the Flow Access Easement (hereinafter defined) over that certain portion of the Flow
Parcel only to the extent of the Flow Access Easement Area (hereinafter defined).
NOW, THEREFORE, for and in consideration of the premises and the undertakings
contained herein, the Owners hereby grant and establish a nonexclusive, perpetual and reciprocal
easement (the "Access Easement") in, on, across and over that certain portion of the Parcels shown
as "NEW VARIABLE WIDTH PRIVATE STREET EASEMENT WITH PUBLIC ACCESS" on
the Plat (the "Access Easement Area") for the use and benefit of the Parcels for pedestrian and
vehicular access, ingress and egress to and from the Parcels and State Route 20 (Stony Point Road)
and U.S. Route 250 (Richmond Road).
AND FURTHER, for and in consideration of the premises and the undertakings contained
herein,' Flow, for itself and its successors and assigns, hereby grants unto the Owners, and their
successors and assigns, a nonexclusive, perpetual access easement (the "Flow Access Easement")
in, on, across and over that certain portion of the northeast corner of the Flow Parcel shown as
"NEW VARIABLE WIDTH PRIVATE STREET EASEMENT WITH PUBLIC ACCESS" on the
Plat (the "Flow Access Easement Area") for the use and benefit of the Parcels for pedestrian and
vehicular access, ingress and egress and for the planting of beds associated with the Street
(hereinafter defined).
The Access Easement and the Flow Access Easement shall be subject to the following
terms and conditions:
1. Following the initial construction of all improvements installed in the Access
Easement Area (including without limitation landscaped areas, driveways, roadways, walkways,
light standards, curbing, paving, entrances, exits and other similar exterior site improvements)
(collectively, the "Street"), the Street shall be maintained in accordance with that certain Private
Improvement Maintenance Declaration by and between Pantops Corner, Pantops, LC and Flow,
dated October 25, 2019, and to be recorded immediately after this Agreement in the Clerk's Office
of the Circuit Court of Albemarle County, Virginia (the "Declaration"), and such other written
agreements as may be entered into by the Owners.

2. Following initial construction of the Street, the Street shall provide a right of public
passage in accordance with Proffer # 1 of Albemarle County ZMA2013-00002, associated with the
Parcels.
3. For the purposes of the above and foregoing numbered paragraphs of this
Agreement, the Flow Access Easement and the Flow Access Easement Area shall be deemed a
part of the Access Easement and the Access Easement Area which includes the Street (including
that the Flow Access Easement Area shall provide a right of public passage as provided herein).
4. The Owners shall have the right to access the Flow Access Easement Area to the
extent reasonably necessary to perform the initial construction of the Street and any maintenance
and repairs under the Declaration.
5. The provisions of this Agreement and the Declaration shall not be interpreted to
impose any obligations on Flow for the performance or the cost of the construction, maintenance
and repairs of the Street or any portion thereof (including, but not limited to, any such construction,
maintenance and repairs as may be necessary in the Flow Access Easement Area), and
notwithstanding anything to the contrary herein, Flow shall have not have any obligations for the
performance or the cost of the construction, maintenance and repairs of the Street or any portion
thereof (including, but not limited to, any such construction, maintenance and repairs as may be
necessary in the Flow Access Easement Area).
6. The Access Easement, the Flow Access Easement and any other rights and
obligations established herein run with the land in perpetuity, and are binding upon the Owners
and Flow, as applicable. All references herein to an "Owner", the "Owners" or "Flow" include
their respective successors and assigns.
7. The parties agree that the provisions of this Agreement may be modified or
amended, in whole or in part, or terminated, only by the written consent of all record Owners of
the Parcels, evidenced by a document that has been fully executed and acknowledged by all such
record Owners and recorded in the official records of the Clerk's Office of the Circuit Court of
Albemarle County, Virginia.
8. The above and foregoing recitals are hereby incorporated as integral parts of this
Agreement, and not as mere recitals.
