DECLARATION OF EASEMENTS
(Drainage and Utility)
THIS DECLARATION OF EASEMENTS (as in effect from time to time,
"Declaration"), is dated as of August 5, 2020, by PRESIDIO PANTOPS. LLC, a. Virginia
limited liability company ("Declarant", to be indexed as a grantor and grantee) and provides as
follows:
RECITALS:
A. Declarant is the fee owner of that certain parcel of real estate (the "Property'')
located in Albemarle County, Virginia ("County") and designated as "TMP 78-20M6" on that
certain plat entitled "Plat Creating New V/W ACSA Utility Easement, New V/W Drainage
Easement and New Electric Easement TMP 78-20M6 (Presidio Apts.) Rivanna Magisterial
District Albemarle County Virginia" prepared by Roudabush, Gale & Associates, Inc. dated June
8, 2020, last revised August 14, 2020, which is attached hereto as Exhibit A ("Easement Plat").
B. Declarant desires to establish certain easements over, through and across the
Property for drainage and utilities.
NOW, THEREFORE, for and in consideration of the premises, and other good and
valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Declarant
hereby declares and agrees that the Property will be owned, held, sold and conveyed subject to
the following easements and agreements, which will run with the land, and which will inure to
the benefit of and bind all owners of the Property:
1. Definitions. In addition to the definitions contained elsewhere in this Declaration,
the following terms will have the following meanings:
(a) "Applicable Laws" means and refers to all laws, statutes, ordinances,
regulations and rules of any governmental authority applicable to the Property or the Owner as in
effect from time to time.

(b) "Drainage Easement Area" means and refers to the easement areas
described and referred to as "NEW V/W PRIVATE DRAINAGE ESMT." on the Easement Plat.
(c) "Drainage Facilities" means and refers to such drain pipes, lines, conduits,
outtakes, intakes and other stormwater drainage facilities that exist, or that may be constructed
from time to time, within the Drainage Easement Area.
(d) "Easement Areas" means and refers to, collectively, the Drainage
Easement Area and the Utility Easement Area.
(e) "Penmittees" means and refers to any employees, agents, contractors,
tenants, subtenants, customers, invitees and licensees of the Property Owner.
(0 "Property Owner" means and refers to any fee simple owner or owners of
all or any part of the Property, and such owners' successors and assigns; but Property Owner
does not mean any person or entity holding such interest merely as security for the repayment of
a debt.
(g) "Utility Easement Area" means and refers to the easement area described
and referred to as "NEW 15' ELECTRIC ESMT." on the Easement Plat.
2. Declaration. Declarant hereby declares that the Property is, and will be held,
transferred and sold, conveyed, leased, subleased and occupied subject to the following
described easements, covenants, terms, provisions and conditions which will be binding on and
will inure to the benefit of any and all parties. having any right, title or interest in or to the
Property or any portion thereof, including, but not limited to, Declarant, every trustee and
noteholder under any mortgage or deed of trust constituting a lien on any portion of the Property,
and all Permittees.
3. Grant of Easements. There is hereby established over, on and across the Property,
the following non-exclusive, perpetual easements:
(a) Utility Easement. Declarant does hereby dedicate, grant, convey and
declare a non-exclusive, perpetual easement, right and privilege in, on, over and across the
Utility Easement Area for the purpose of transmitting and distributing electric power by one or
more circuits, including the right to lay, construct and maintain one or more lines of underground
conduits and cables. Declarant further reserves the right to grant an easement over the Utility
Easement Area to any public utility supplying electric power.
(b) Drainage Easement. Declarant does hereby dedicate, grant, convey and
declare a non-exclusive, perpetual easement, right and privilege in, on, over, under and across
the Drainage Easement Area for the purpose of collecting storm water and transmitting it through
and across the Property, protecting property from flooding, protecting water quality, and
otherwise controlling stormwater runoff.
4. Maintenance Obligations. The Drainage Facilities will be maintained in perpetuity
to a standard that, at a minimum, ensures that they will remain in substantially the condition they

were in when approved by the County, which is providing safe and effective collection and
transmittal of stormwater through and across the Property. For purposes of this instrument,
"maintenance" includes the maintenance of the Drainage Facilities, and other improvements, and
the prompt removal of debris, or any other obstruction so as to keep the Drainage Facilities
reasonably open for usage as intended. The term "to maintain," or any derivation of that verb,
includes the maintenance, replacement, reconstruction and correction of defects or damage.
5. Responsibility for Maintenance and/or Repair. The Property Owner shall be
responsible for the cost of the maintenance of, and or repair to the Drainage Facilities. No public
agency, including the Virginia Department of Transportation and the County of
Albemarle, Virginia, will be responsible for maintaining any improvement identified
herein, until such time as such improvements are publicly dedicated.
6. Binding Effect; Running with the Land. Unless otherwise canceled or terminated,
this Declaration and all the rights, benefits, obligations and liabilities created herein shall be
deemed easements and covenants running with the title to the Property and be binding on, and
inure to the benefit of, the Property Owner and its successors and assigns.
7. Administrative Provisions.
(a) The Property Owner may relocate any of the facilities contained within the
Easement Areas, provided that any relocated facilities are replaced with facilities similar in
appearance, operation and accessibility, and in compliance with all Applicable Laws.
(b) Declarant and every subsequent owner of fee simple title to the Property
or any portion thereof shall, from time to time, execute and deliver such instruments of further
assurances or confirmation, in recordable form if appropriate, as may be reasonably necessary to
perfect, complete and confirm the easements, conditions, obligations and covenants created or
contained in this Declaration.
(c) Each provision of this Declaration is severable, separate and distinct from
every other provision. In the event that any competent authority shall adjudge or determine that
any provision of this Declaration is invalid, or unenforceable, or contrary to any applicable law,
such adjudication shall affect only the specific provision or provisions so adjudged, and shall not
affect any of the remaining provisions of this Declaration, and all such remaining provisions
shall continue and remain in full force and effect.
(d) Declarant for itself (as the current owner of the Property) and for its
successors and assigns hereby covenants and agrees that, for so long as this Declaration shall
remain in force and effect, the doctrine of merger shall not be applicable to this Declaration nor
to the easements, rights and obligations created hereunder. The aforesaid covenants and
agreements shall be covenants binding and running with the land.
(e) No trustee or beneficiary of a deed of trust against the Property shall be
liable for any cost or obligation pursuant to this Declaration except such as may arise during any

period of fee simple ownership of the Property by any such trustee or beneficiary of a deed of
trust against the Property.
(f) This Declaration shall be governed by and construed in accordance with
the laws of the Commonwealth of Virginia.
(g) Headings are for convenience or reference only and shall not affect
meanings or interpretations of the contents of this Declaration.
