DEED OF DEDICATION AND EASEMENT n /
THIS DEED OF DEDICATION AND EASEMENT, dated this _ .G clay of
2018, is by and between FOREST LAKES COMMUNITY ASSOCIATION,
INC., a Virginia non -stock _corporation, Grantor, and the COUNTY OF ALBEMARLE,
VIRGINIA, a political subdivision of the Commonwealth of Virginia, Grantee.
WITNESS:
WHEREAS, the Grantor is the owner of that certun real property (hereinafter the "Property")
located in Albemarle Comity, Virginia, more particularly described as follows:
Parcel 46113-A
That certain real property shown and designated as "New Permanent Easement. 23603.64
Sq Ft," shown on the plat of Lincoln Surveying, dated February 15, 2018 and last revised
March 29, 2018, entitled "Plat Showing a New Temporary Construction Easement and a
New Permanent Easement on a Portion of Tax Map Parcel 46B3-A, Forest. Lakes,
Albemarle County, Virginia," a copy of which is attached hereto and recorded herewith
(hereinafter, die "Parcel 46133-A Easement" and the "Parcel 46133-A Plat"). Reference is
made to the Parcel 46133-A Plat for a more particular description of the easement conveyed
herein.

That certain real property shown and designated as "New Pernnatnent Easement 39020.13
Sq Ft," shown on the plat of Lincoln Surveying, dated February 16, 2018 and last revised
Judy 12, 2018, entitled "Plat Showing a New Temporary Construction Easement and a New
Permanent Easement on a Portion of Tax Map Parcel 46B3-A2, Forest Lakes, Albemarle
County, Virginia," a copy of which is attached hereto and recorded herewith (hereinafter, the
"Parcel 46133-A2 Easement" and the "Parcel 46133-A2 Plat"). Reference is made to the
Parcel 46B3-A2 Plat for a more particular description of the easement. conveyed herein.
WHEREAS, the Property is described further as a portion of those certain lots or parcels of
land situated in the Rivanna Magisterial District of die County of Albemarle, Virginia, designated as
a. "Common Area" on that certain plat by Roudabush, Gale and Assoc., Inc., slated
. October 12, 1988, and recorded in the Clerk's Office of the Circuit Court of Albemarle

County, Virginia in Deed Book 1018, pages 411 -it 12, also being the same property
conveyed to the Grantor herein by deed of Forest Lakes Associates, recorded in said
Clerk's Office in Deed Book 1068, page 83; and
b. "Common Area" on that certain plat by Roudabush, Gale and Assoc., Inc., dated June
18, 1990, last revised February 12, 1991, and recorded in the Clerk's Office ofthe Circuit
Court of Albemarle County, Virginia in Deed Book 1142 at pages 535-536, also being
the same property conveyed to tie Grantor herein by deed of Forest. Lakes Associates,
recorded in said Clerk's Office in Deed Book 1209, page 260; and
WHEREAS, it is the desire and intent of die Grantor to dedicate, grant and convey the Parcel
46B3-A Easement and the Parcel 46B3-A2 Easement (hereinafter collectively, the "Easements") for
public use in accordance with this Deed of Dedication and Easement; and
WHEREAS, it is the desire and intent. of the Grantor to dedicate, grant and convey all rights,
title and interest in all darn or embankment structures and other improvements and appurtenances
within the Easements (hereinafter collectively referred to as the "Improvements," whether referring
to existing Improvements or those to he established in the future by the Grantee); and
WHEREAS, die Grantor is acting through its President, as authorized by approval of its
members, pursuant to Article IV, Section 4(f) of the Declaration of Forest Lakes recorded in said
Clerk's Office in Deed Book 1018, page 318; and
WHEREAS, a true copy of the resolution approved by the Grantor's members, together with a
certificate of die results of the votes taken thereon, has been acknowledged by (lie Grantor's
President and Secretary, and is annexed hereto as Exhibit A.
NOW, THEREFORE, in consideration of the premises and TEN DOLLARS ($10.00), cash
in Ihand paid, and other good and valuable consideration, the receipt of which is hereby
acknowledged, the Grantor does hereby GRANT, CONVEY, and DEDICATE to public use with
SPECIAL WARRANTY OF TITLE unto the Grantee, its successors and assigns, perpetual
exclusive easements as shohhgh on die Parcel 46133-A Plat and die Parcel 46133-A2 Plat, and as
referred to herein as tie Easements.
FURTHER, pursuant to the consideration described herein, the Grantor does hereby GRANT,
CONVEY, and DEDICATE to public use the Improvements.
The Easements shall be subject to the follo%ving
1. Right to construct, reconstruct, install maintain repair, change alter and replace tie
Improvements. The Grantee shall have the right to construct, reconstruct, install, maintain, repair,

change, alter, and replace present or future Improvements (hereinafter referred to as "inspecting,
maintaining and operating" or derivations thercol) for the purposes of maintaining and operating an
impoundment structure on the Property, protecting property from flooding, protecting water quality,
and otherwise meeting federal, state or local dank safety regulations.
2. Ownership of the I umovenhcnts. All Improvements within the Easements, whether they
were installed by the Grantee or any predecessor in interest, shall be and remain the property of the
Grantee.
3. Right of ingress and egress. The Grantee shall have the right and easement of ingress and
egress over any lands of the Grantor adjacent to the Easements between any public or private roads
and the Easements, to inspect, maintain and operate the Improvements.
4. Right to inspect, maintain and operate Ilse Improvements. The Grantee may enter the
Easements to inspect, maintain and operate the Improvements.
5. Right of Grantee to disturb and maintain the Easement premises. The Grantee shall have
the right within the Easements to trim, cut or remove any trees, brush or shrubbery, remove fences,
structures or other obstructions, and take other similar action reasonably necessary to provide
adequate and fully functioning Improvements; provided, however, that the Grantee, at its own
expense, shall restore as nearly as possible, the premises to their original condition. This restoration
shall include the backfilling of trenches, tie replacement of fences and shrubbery, the reseeding or
resedding of lawns or pasture areas, and the repair or replacement of structures and other facilities
located outside of the Easements that were damaged or destroyed by the Grantee. However, the
Grantee shall not be required to repair or replace any strictures, trees, or other facilities located
within the Easements, but be required only to repair or replace groundcover within the Easements
that was disturbed, danaged or removed as a result of installing or maintaining any of die
Improvements. In addition, the Grantee shall remove from the Easenents all trash and other debris
resulting from the installation, maintenance or operation of an Improvement, and shall restore the
surface thereof to its original condition as nearly as reasonably possible. Notwithstanding the
foregoing, the Grantee shall not be required to repair or replace anything identified in this section if
to do so would be inconsistent. with the proper maintenance or operation of the Improvements. In
addition, neither the Grantee nor any other public agency, including the Virginia Departihent of
Transportation, shall be responsible for conducting routine maintenance as described in Section 6
except as expressly provided in this section.

6. Right ol' Grantor to maintain the Easement uremises. The Grantor shall have the right to
perform routine maintenance of the premises within the Easements, including the removal of trash
and landscaping debris, mowing and manicuring lawns and groundcover, and malting any other
aesthetic improvements desired by the Grantor that are not inconsistent with die rights herein
conveyed, and which do not adversely affect die proper operation of any Improvement. The right
to maintain the premises within tine Easements does not include die right to maintain the
Improvements.
7. Temnorary construction easements. The Grantee shall have temporary construction
easements on the lots on which the Easements are located in order to construct, install, maintain,
repair, change, alter,or replace Improvements. These temporary construction easements shall
expire upon completion of the work.
8. Exclusivity; restrictions. The Easements conveyed herein are exclusive easements. Neither
the Grantor nor any person acting under the Grantor's express or implied consent shall modify,
alter, reconstruct, interfere with, disturb or otherwise change in any way the land within the
Easements or any Improvement located within the Easements; and further provided that such
persons shall not construct or maintain any roadway, or erect any building, fence, retaining wall or
other structure nithin the Easements.
9. Grantee's right to assign. The Grantee shall have the right. to assign these Easements as its
interests may require to another public agency or public entity which the Grantee determines to be
capable of maintaining the proper operation and condition of the Improvements.
10. Binding effect. The Easements and die rights and obligations established herein shall run
with the land in perpetuity, and shall be binding upon the Grantor, the Grantee, and their successors
and assigns. All references herein to the "Grantor" and the "Grantee" include their respective
successors and assigns. All references to the "Grantee," when exercising any right or obligation
herein, includes the Grantee's officers, employees and agents.
The Grantee, acting by and through its County Executive, chdy authorized by resolution adopted
by the Board of Supervisors of the County of Albemarle, Virginia, accepts the conveyance of this
properly pursuant to Viiginhi Code S 15.2-1803, as evidenced by the County Executive's signature
hereto and die recordation of this Deed.

RESOLUTION
The Members approve the sale and transfer to the County of Albemarle of title to the
Hollymead Lake Dam and roadway on top of the dam, and easements of access across and on
adjoining common areas of FLCA for construction and maintenance of the dam.
The officers of FLCA are authorized to sign the deeds attached to this Notice, or .
substantially similar deeds to carry out the purpose of this Resolution.
