AFFIDAVIT OF CREDIT SALE
Wetlands Resource Management Holdings, LLC. [offset broker] (the "Seller"), hereby
certifies the following:
Pursuant to that certain Purchase and Sale Agreement dated November 30, 2020 (the
"Agreement'), between Wetlands Resource Management Holdings, LLC (as "Seller")
and Stanley Martin Homes, L.L.C. (as "Purchaser), the Willis River Nutrient Bank (the
"Bank"), for the benefit of the Purchaser, agreed to sell 3.06 Phosphorus Offset Credit
and retire 10_63 pounds of nitrogen offsets(representing the ratio of nitrogen offsets to
the phosphorus offsets and offset generating facility) to Purchaser from the Bank;
1. The Seller and the Purchaser, as of the date hereof, have closed the
transaction contemplated by the Agreement and the Seller has sold to Purchaser 3.06
Phosphorus Offset Credits and retired 1063 pounds of nitrogen (representing the ratio
of nitrogen offsets to the phosphorus offsets at the offset generating facility) offsets.

BILL OF SALE
BILL OF SALE, made as of November 30, 2020 by Wetlands Resource
Management Holdings, LLC ("Seller"), and Stanley Martin Homes, L.L.C.
('Purchaser').
WHEREAS, Seller and Purchaser have entered into that certain Agreement as of
November 30, 2020 (the "Agreement'), with respect to the sale by the Seller and
purchase by the Purchaser of offsite nonpoint nutrient offset credits held in Seller's Willis
River Nutrient Bank generated within the Middle James Willis watershed (HUC:
02080205) in Buckingham County, Virginia.
NOW, THEREFORE, for and in consideration of the payment of the Purchase
Price (as defined in the Purchase and Sale Agreement) and other good and valuable
consideration, the receipt and sufficiency of which are hereby acknowledged, Seller
hereby sells, transfers, assigns, conveys, delivers and sets over to Purchaser, its
successors and assigns 3.06 Phosphorus Offset Credits and Seller has retired 3.06
Phosphorus Offset Credits and 10_63 Nitrogen Offset Credits as such are described in
the Agreement.
TO HAVE AND TO HOLD all such Bank Credits are hereby sold and transferred
to Purchaser and its successors and assigns forever.
IN WITNESS WHEREOF, Seller has caused this Bill of Sale to be executed by
its duly authorized representative as of the date first above written.
