W I T N E S S E T H:
WHEREAS Panorama Farms, Inc. is the owner of certain real
estate situated in Albemarle County, Virginia, containing 711.57
acres, more or less, located off State Route 844, and designated as
Parcel 1 on Albemarle County Tax Map 45, and
WHEREAS, Panorama Farms, Inc. has created a subdivided parcel
of 4.43 acres from said Parcel 1 of Tax Map 45 as shown on a plat
by Roger W. Ray & Assoc., Inc. dated February 6, 1992 entitled
"Plat Showing Survey of 4.43 Acres Also New 30' Access Easement A
Portion of Parcel 1 - Tax Map 45 the Property of Panorama Farms
Inc. Located off State Route 844 About Four Miles North of
Charlottesville Charlottesville, District Albemarle County,
Virginia", attached hereto and recorded herewith, hereinafter
referred to as "Subdivided Parcel"; and
WHEREAS, the Residue of Parcel 1 of Tax Map 45 shall contain
707.14 acres after said subdivision occurs, which residue shall
hereinafter be referred to as "Residue Parcel"; and
WHEREAS, Panorama Farms, Inc. desires to provide an access
easement for said Subdivided Parcel across the Residue Parcel; and
WHEREAS, Panorama Farms, Inc. desires to bind itself, its
successors and assigns, for liability for maintenance and repair of
said access easement, with said Subdivided Parcel, Residue Parcel
and future subdivisions, to be held, transferred, sold, conveyed

and occupied subject to charges of repair and maintenance more
particularly set forth herein, and all valid amendments hereto.
NOW THEREFORE, Panorama Farms, Inc. Declares and Covenants as
follows:
1. Panorama Farms, Inc. does hereby establish and impose a
non-exclusive access easement 30 feet in width across the Residue
Parcel shown as the "New 30' Access Esmt." on the attached plat for
the benefit of the Subdivided Parcel and Residue Parcel for ingress
and egress to and from State Route 844, and does further establish
a non-exclusive easement the width of 10 feet on either side of
said access easement for carrying utilities to said Parcels, which
utilities shall include, but not be limited to, electric, phone,
cable T.V., gas, water, and sewer.
2. The access easement is private and requires private
maintenance as hereinafter set forth. The cost of repair,
maintenance, upkeep and improvement or replacement (hereinafter
"maintenance") of the access easement and the private road located
therein will not be borne by the County of Albemarle, the State of
Virginia, or any public agency, but rather shall be the
responsibility of the Parcel owners as set forth below.
3. The owner of the Subdivided Parcel shall be responsible
for ten percent (10%) of the expenses of maintenance of said access
easement and the owner or owners of the Residue Parcel shall be
responsible for ninety percent (90%) of said expense. The
obligation to contribute toward maintenance shall arise at any time
that a majority of the owners responsible for maintenance shall
agree in writing that such maintenance is required.

4, There shall be no obligation to upgrade the road to a
superior state than now exists unless all of the owners obligated
to maintain the road execute a written agreement to that effect.
5. If any owner shall operate heavy equipment across said
access easement and shall thereby cause damage, he shall be
responsible for repair of said damage.
6. In the event any responsible owner shall fail to
contribute his pro rata share, the other owners shall have the
right to order the necessary work to be done, and may thereafter
record in the Clerk's office of the Circuit Court of the County of
Albemarle, a notice of lien against the owner of the other parcel
for its proportionate cost of maintenance, which filing shall
create a continuing lien against the other parcel, the amount of
which shall include interest at the legal rate for judgements then
prevailing, plus any costs of collection, including reasonable
attorney's fees. Said lien shall be subordinate to any liens
recorded prior to the recordation of the above said notice of lien.
At any time prior to the foreclosure of such a lien, the parcel
owner against whose parcel such a notice of lien has been filed may
bring suit in the Circuit Court of the County of Albemarle to quash
the lien, with said court determining whether or not such
maintenance was, in fact, reasonably necessary. The party in whose
favor such a proceeding is ultimately decided shall have the right
to recover its costs incurred, including reasonable attorney's
fees.

7. The responsibility for such maintenance and repairs shall
be a covenant running with said Parcels and shall attach to any
parcels further subdivided from said Parcels.
