DEED OF BARGAIN AND SALE
THIS DEED, dated as of the 1511 day of October, 2002, between IVY CREEK FARM, LLC,
a V irginia limited liability company (the Grantor) and IVY POINT FARMS, LLC, a Virginia limited
liability company (the Grantee), whose address is c/o Rick J. Taylor, Clifton Gunderson L.L.P., 2323
North Mayfair Road, Suite 400, Milwaukee, WI 53226, provides:
THAT for and in consideration of the sum of Ten Dollars ($10.00) cash in hand paid and
other good and valuable consideration, the receipt and sufficiency of which are hereby
acknowledged, the Grantor, subject to the matters described herein, hereby grants and conveys to
the Grantee with general warranty and English covenants of title the following described real estate
(the Real Estate):
All that certain lot or parcel of land with all improvements thereon and appurtenances
thereunto belonging, situated in Albemarle County, Virginia, on the south side of
U.S. Route 250, near Ivy, containing 15.044 acres, and described on a plat of Wm.
Morris Foster, C.L.S., bearing date February 5, 1982, with additions dated August
16, 1983, and recorded in the Clerk's Office of the Circuit Court of Albemarle
County, Virginia in Deed Book 775, page 327;
Being the same property conveyed to the Grantor by deed of Joseph W. Richmond,
Jr., Trustee of the Ivy Point Land Trust, dated May 14, 2002 and recorded in the
aforesaid Clerk's Office in Deed Book 2198, Pages 601-606.

That for and in consideration of the sum of SEVEN HUNDRED
FIFTY THOUSAND and NO1100 DOLLARS (t750,000.00), cash in hand
paid, receipt of which is hereby acknowledged, the parties of the
first part do hereby GRANT, BARGAIN, SELL and CONVEY with GENERAL
WARRANTY and ENGLISH COVENANTS OF TITLE unto the party of the
second party, the following described real property, being:
All that certain tract or parcel of land with improvements

Said property is the same as that conveyed to the parties of the
first part herein by Deed of Elise T. Vest, widow, bearing date
May 21, 1981 of record in said clerk's Office in Deed Book 718,
page 39.
This conveyance is made subject to applicable easements,
conditions, reservations and restrictions contained in duly
recorded deeds and other instruments constituting constructive

notice in the chain of title which have not expired by time
limitation contained therein or otherwise become ineffective.
TO HAVE AND TO HOLD the said property, in fee simple with
the improvements thereon and appurtenances thereunto belonging
upon the trust and for the uses and purposes set forth herein and
in the Ivy Point Land Trust Agreement dated January 26 , 1988.
Pull power and authority is hereby granted to the Trustee,
and to his successors, to protect and conserve the said property;
to sell, contract to sell and grant options to purchase the said
property and any right, title or interest therein on any terms;
to exchange the said property or any part thereof for any real or
personal property upon any terms; to convey the said property by
Deed or other conveyance to any grantee, with or without
consideration; to mortgage, pledge, or otherwise encumber the
said property or any part thereof; to lease, contract to lease,
grant options to lease and renew, extend, amend, and otherwise
modify leases on the said property or any part thereof from time
to time, for any period of time, for any rental and upon any
other terms and conditions; and to release, convey or assign any
other right, title or interest whatsoever in the said property or
any part thereof.
No party dealing with the Trustee, or his successors, in
relation to the property in any manner whatsoever and (without
limiting the foregoing) no party to whom the property or any part
thereof, or any interest therein shall be conveyed, contracted to
be sold, leased or mortgaged by the Trustee, shall be obliged Ia)
to see to the application of any 2 purchase money, rent, or money

borrowed, or otherwise advanced on the property, (b) to see that
the terms of this trust have been complied with; (c) to inquire
into the authority, necessity, or expediency of any act of the
Trustee; (d) or to be privileged to inquire into any of the terms
of the Trust Agreement. Every Deed, mortgage, lease or other
instrument executed by the Trustee in relation to the property
shall be conclusive evidence in favor of any person claiming any
right, title or interest thereunder (a) that at the time of the
delivery thereof this trust was in full force and effect; (b)
that such Instrument was executed in accordance with the terms
and conditions hereof and of the Trust Agreement and is binding
upon all beneficiaries thereunder; (c) that the Trustee was duly
authorised and empowered to execute and deliver every such
instrument; and (d) if a conveyance has been made to a successor
or successors in trust, that such successor or successors have
been properly appointed and are fully vested with all the title,
estate, rights, powers, duties and obligations of the predecessor
in trust.
A copy of the Trust Agreement mentioned herein shall be
filed in the offices of Richmond and Pishburne, 0 court Square,
Charlottesville, Virginia.
The interest of every beneficiary hereunder and under the
Trust Agreement and of all persons claiming under any of them
shall be only in the earnings, avails and proceeds arising from
the rental or sale or other disposition of the property. Such
interest is hereby declared to be personal property, and no
beneficiary hereunder shall have any right, title or interest,

legal or equitable, in or to the property, as such, but only in
the earnings, avails and proceeds thereof as provided in the
Trust Agreement.
In the event of the resignation, death, incapacity, removal
or absence from the state of a Trustee, a successor trustee may
be appointed by the unanimous written consent of the
beneficiaries by an instrument duly executed, acknow.edged, and
recorded in the Clerk's Office of the Circuit Court of every
jurisdiction in which property is situated; or such successor
trustee may be appointed in accordance with Section 26-49 of the
Code of Virginia. Successor trustees shall have all rights,
powers, authorities and duties vested in the Trustee named
herein; and that in the event there should be more than one
Trustee, any Trustee may act alone.
This Deed is to be governed by and construed with reference
to Section 55-17.1 of the Code of Virginia.

between ELISE T. VEST (Sometimes also known as Sarah T. Vest),
a widow, Grantor, and E. M. MARTIN, JR. and LINDA G. MARTIN,
husband and wife, whose address in General Delivery, Ivy,
Virginia, 22945, Grantees,
W I T N E S S E T H:
That for and in consideration of the sus of Two Hundred
Sixty -Five Thousand Dollars (8265,000.00) cash in hand paid, the
receipt of which is hereby acknowledged by Grantor, the said
Grantor doth hereby GRANT, BARGAIN, SELL and CONVEY with GENERAL
WARRANTY and, subject to the matters hereinafter eentioned, with
ENGLISH COVENANTS OF TITLE, unto the said E. M. Martin, Jr. and
Linda G. Martin, husband and wife, as tenants by the entirety
with full rights of survivorship as at common law, and not as
tenants in common, all those certain lots or parcels of land
near Ivy in Albemarle County, Virginia, aggregating 17.40 acres,
more or lase, and being composed of the following:
A. Approximately 8.85 acres which remain of the
112.80 acre tract conveyed unto the late Samuel A. Vest by deed
of Frederick G. Adams, at al., dated October 8, 1945, of record
in the Clerk's Office of the Circuit Court of Albemarle County,
Virginia, in Deed Book 265, page 165. Previous conveyances
from this 112.80 acres were, (1) 45.24 acres to William H.
White, III and Virginia R. White (Deed Book 332, page 407),
(2) 37.57 acres to William H. White, III and Virginia R. White
(Deed Book 353, page 433), and (3) 21.14 acres, more or less,
to Samuel Linder (Deed Book 690, page 315).
Reference is made to plats of record in Deed Book 353,
page 4361 Deed Book 326, page 139; Deed Book 285, pages 426 and
429 for a more complete description of this property.
Samuel A. Vest died April 6, 1958, and by his will (Will
Book 40, page 599), left his entire estate unto his widow,
the Grantor herein.
S. .600 acres conveyed unto Grantor by deed of
Stephen A. Andrew and wife dated July 31, 1952 (Deed Book 302,
page 444), reference to which is made hereby.

This conveyance is subject, insofar as applicable, to
right-of-way agreement and water line agreement (Deed Book 285,
page 424); water line agreement (Deed Book 302, page 446); right-
of-way to Virginia Electric and power Company (Deed Book 247, page
246); restrictions (Deed Book 353, page 433); and to all other
easements, reservations, restrictions, conditions and other encum-1
brances contained in duly recorded deeds, plats and other instru-
ments constituting constructive notice in the chain of title to
the above -described property which have not expired by time limita-
tion contained therein or otherwise have became ineffective.
By the aforesaid deed of May 31, 1957 (Deed Book 332,
Page 407) William R. White, III and Virginia R. white were
given a right of first refusal, for so long as either of them
owned any portion of the 112.80 acre tract, to purchase a por-
tion of the property hereby conveyed. Neither of said whites
now owns any of said 112.80 acres (see Affidavit attached to
deed in Deed Book 690, page 315).

Stephen A. Andrews and Ida L. Andrews, husband and wife, and joint owners as

The property hereby conveyed is the southeastern portion of the
'aforesaid 9.37 acre tract of land which we conveyed by H. M. McCreary and
'May W. McCreary, husband and wife, to the parties of the second part ,jointly
ifor their Joint lives with remainder upon the death of either to the survivor
:in fee simple by deed dated September 19, 1949, recorded in the Clerk's
,Office of the Circuit Court of Albemarle County with plat attached in Deed Book
285, page 424, said plat having been made by Hugh F. Simms and Sons, C. L. S.,,,
dated September 19, 1949, and reference is here made to said deed and plat for'
a more accurate description of the property hereby conveyed, as well as its
source of title.
Included within the aforesaid triangular tract of land which 1s
hereby conveyed there is situated a portion of the 30 foot right of way shown
on said plat but the remainder of said 30 foot right of way shall in no way bed
affected or changed by this conveyance.
The parties of the first part covenant and agree that they are
seized in fee simple of the land hereby conveyed and have good right to conveys
the same; that they have done no act to encumber said land; that the grantee { I
shall have quiet possession of said lend, free from all encumbrances; and that'
they, the parties of the first part, will execute such other and further assurances
thereof as may be requisite.

south of the property hereby conveyed the right to use the existing water pi
line as It is now laid from the eastern boundary of the property hereby
conveyed adjoining Dr. Vest across the property hereby conveyed to the weste
boundary thereof together with a branch line running from said line to the
southern boundary of the property hereby conveyed which water pipe line is t
be used and maintained, if used, in common with the owners of the property
hereby conveyed, and the parties of the first part further reserve the right
of ingress and egress to and fount said pipe line for the purposes of ma inten
and repair.
Subject to the rights bereinbefore reserved, the said B. M.
McCreary and May W. McCreary covenant that they are seised in fee simple of
said land hereby conveyed and have good right to convey the same{ that they
have done no act to encumber said land; that the grantees shall have quiet
possession of said land free from all encumbrances, and that they, the part:
