THIS DEED dated this 12" day of February, 2021, by and between WILLIAM SCOTT
MARSHALL, individually (the "Individual Grantor"), and WILLIAM SCOTT MARSHALL,
TRUSTEE OF THE RACHEL KING MARSHALL REVOCABLE TRUST (sometimes
referred to in prior instruments as the "Rachel K. Marshall Revocable Trust") under
agreement dated August 1, 2007, as amended and restated (the "Trustee Grantor" and
collectively with the Individual Grantor, the "Grantors"), to be indexed as grantors, and
AIRPORT AUTO INVESTMENTS PHASE 2, LLC, a Virginia limited liability company
("Grantee"), to be indexed as grantee, whose address is 600 E. Water Street, Suite H,
Charlottesville, VA 22902.
WITNESSETH:
That for and in consideration of the sum of TWO -MILLION FIVE -HUNDRED
THOUSAND AND NO/100 DOLLARS ($2,500,000.00), cash in hand paid, and other good and
valuable consideration, the receipt of which is hereby acknowledged by Grantors herein,
Grantors do hereby GRANT, BARGAIN, SELL and CONVEY, with GENERAL WARRANTY
of title by Individual Grantor unto Grantee and with SPECIAL WARRANTY of title by Trustee

Grantor unto Grantee, all that certain lot or parcel of land, as described in Schedule A, attached
hereto and incorporated herein.
This conveyance is made expressly subject to all easements, reservations, restrictions and
conditions contained in duly recorded deeds, plats or other instruments constituting constructive
notice in the chain of title to the above property which have not expired by a time limitation
contained therein or have not otherwise become ineffective.

Virginia, composed of TM 32 Parcel 39, containing 2.745 acres, more or less, and TM 32 Parcel
39A, containing 0.169 acre, more or less, both shown on a plat by B. Aubrey Huffman &
Associates, Ltd., dated August 21, 1997 and recorded in the Clerk's Office of the Circuit Court of
Albemarle County, Virginia, in Deed Book 1639, page 566; LESS AND EXCEPT that certain
parcel of land containing 0.580 acre, more or less, (Parcel 39) and that certain parcel of land
containing 0.090 acre, more or less, (Parcel 39A) dedicated to the Commonwealth of Virginia by
Certificate of Take recorded in Deed Book 2284, page 385, corrected in Deed Book 2777, page

BEING a portion of the property conveyed to William Scott Marshall, Successor Trustee of the
Rachel K. Marshall Revocable Trust under agreement dated August 1, 2007, by Deed of
Correction from William Scott Marshall, Executor of the Estate of William A. Marshall, Jr. and
Rachel K. Marshall, dated March 26, 2013 and recorded March 28, 2013 in the Clerk's Office of
the Circuit Court of Albemarle County, Virginia, in Deed Book 4324, page 592 (AS TO ONE-
HALF UNDIVIDED INTEREST);
AND BEING a portion of the property conveyed to William Scott Marshall by deed from
William Scott Marshall, Trustee of the Family Trust of the William A. Marshall, Jr. Revocable
Trust under agreement dated August 1, 2007, said deed dated February 18, 2014 and recorded
February 26, 2014 in the Clerk's Office of the Circuit Court of Albemarle County, Virginia, in
