Dear Hope:
Thank you for your patience as I reviewed this matter with Ches Goodall and Scott
Clark.
After reviewing the title insurance commitment list of exclusions, the deeds and plats
in the chain of title for TMP 122-17, including the "right of first refusal" in DB 1067 PG
200, and the ACE Committee minutes of August 13, 2018, I am of the opinion the
County and ACEA were on notice that the right was for 7.4 acres rather than 7
acres. The open space easement incorrectly identified the right as 7 acres and should
have referenced the actual deed and incorporated the description therein contained.
As the entirety of TMP 122-17 was placed under easement prior to the sale under the
right of first refusal, the conveyed 7.4 acres will remain subject to those terms. You
shared the draft deed of sale that recites that condition and references the open space
easement.
Please provide us notice when the transaction closes and a copy of the recorded
deed. If there is anything further you need from me on this end, just let me know.

Thank you for your patience as I reviewed this matter with Ches Goodall and Scott
Clark.
After reviewing the title insurance commitment list of exclusions, the deeds and plats
in the chain of title for TMP 122-17, including the "right of first refusal" in DB 1067 PG
Zoo, and the ACE Committee minutes of August 13, 2018, I am of the opinion the
County and ACEA were on notice that the right was for 7.4 acres rather than 7
acres. The open space easement incorrectly identified the right as 7 acres and should
have referenced the actual deed and incorporated the description therein contained.
As the entirety of TMP 122-17 was placed under easement prior to the sale under the
right of first refusal, the conveyed 7.4 acres will remain subject to those terms. You

shared the draft deed of sale that recites that condition and references the open space
easement.
Please provide us notice when the transaction closes and a copy of the recorded
deed. If there is anything further you need from me on this end, just let me know.

After reviewing the title insurance commitment list of exclusions, the deeds and plats
in the chain of title for TMP 122-17, including the "right of first refusal" in DB 1067 PG
Zoo, and the ACE Committee minutes of August 13, 2018, I am of the opinion the
County and ACEA were on notice that the right was for 7.4 acres rather than 7
acres. The open space easement incorrectly identified the right as 7 acres and should
have referenced the actual deed and incorporated the description therein contained.
As the entirety of TMP 122-17 was placed under easement prior to the sale under the
right of first refusal, the conveyed 7.4 acres will remain subject to those terms. You
shared the draft deed of sale that recites that condition and references the open space
easement.
Please provide us notice when the transaction closes and a copy of the recorded
deed. If there is anything further you need from me on this end, just let me know.

and/or BOS? Anything mentioning the right of first refusal for the 7.4 acres?
I'm exploring whether this is would be subject to a corrective affidavit?
Also, did the appraisal account for the owner's right to convey 7 vs. 7.4 acres?
And if the acreage is being sold, we have an extinguishment issue that may entitle us to
35% of the sale proceeds. That's assuming the 7 acres is or was intended to be under
the easement. I calculated the assessed value of eased land to be about $2000 per acre.
The problem with the right of first refusal is that it benefits a third parry. Nothing in
the Open Space Easement requires the owners to convey the 7 acres. If Ms. Ruane goes
away, the 7 acres remains under our easement forever.
Anyway, it's going to be a challenge to convey the 0.4 acres.

I do think the intention had been to grant the 250' wide parcel that was approximately 7 acres. It does seem the problem

The proposed BLA would move 7.38 acres from an ACE easement parcel to an adjacent parcel. The ACE easement
anticipates and permits this, but just refers to "7 acres." I thought this mean literally 7.0 (rather than 7.38), but the
applicants have supplied an earlier deed (attached) that refers to the anticipated transfer of 7.38 acres.
Can we approve this plat as -is, or do they need to reduce the acreage being transferred to 7.0?

Oddly, the ACE easement is written to permit a 7-acre BLA to the current owner of the adjacent parcel. However, the

(If that sounds too unreasonable, I can ask the Attorney's office how much room for interpretation there is, but since the

ACEA/ACE perspective.
Scott mentions you may be running up against a deadline. If so, requesting more time
is appropriate. Frankly, I don't think there is an easy answer to this. As Scott notes,
even a 7 acre conveyance is likely subject to the open space easement. If Ruane has
plans to build a dwelling, that may be problematic also.

Nope, it's not, unfortunately; that would make it a lot more straightforward.
It may be that we just need to let the applicants know that they can either change the plat or ask both holders to amend
the deed. But I'm not sure how the latter option would work I suppose that, if the 7.x acres remains under the deed
when transferred to another parcel (which is odd), it wouldn't trigger the conversion/diversion process. But it would still
require an amendment, and I don't know if the ACEA would support it.
Also, we need to clarify with the applicants if they expect the 7.0 or 7.38 to remain under the easement. If not, then
we're into conversion/diversion. The ACE deed says that they can transfer the 7.0 acres, but I don't recall it saying that
the deed didn't apply to that acreage. (I'll double-check that.)

That's the right of first refusal IF the owner elects to sell or convey. Unfortunately, it
does not commit the owner to selling all or even a portion. Arguably, the owner
decided only to convey 7 acres when dealing with the ACE program for whatever
reason. Everything else is committed to open space.
Might be different if the Ruane parcel was under easement. I don't see that it is.

What documents do we have in the way of presentation to the ACE Committee, ACEA
and/or BOS? Anything mentioning the right of first refusal for the 7.4 acres?
I'm exploring whether this is would be subject to a corrective affidavit?
Also, did the appraisal account for the owner's right to convey 7 vs. 7.4 acres?
And if the acreage is being sold, we have an extinguishment issue that may entitle us to
35% of the sale proceeds. That's assuming the 7 acres is or was intended to be under
the easement. I calculated the assessed value of eased land to be about $2000 per acre.
The problem with the right of first refusal is that it benefits a third parry. Nothing in
the Open Space Easement requires the owners to convey the 7 acres. If Ms. Ruane goes
away, the 7 acres remains under our easement forever.
Anyway, it's going to be a challenge to convey the 0.4 acres.

I do think the intention had been to grant the 250' wide parcel that was approximately 7 acres. It does seem the problem
is with the ACE language which should have been lifted from the earlier 1997 for accuracy and consistency sake.

applicants have supplied an earlier deed (attached) that refers to the anticipated transfer of 7.38 acres.
Can we approve this plat as -is, or do they need to reduce the acreage being transferred to 7.0?

I can't find any earlier messages from me or Ches on this either, so my apologies if I lost track of this.
Oddly, the ACE easement is written to permit a 7-acre BLA to the current owner of the adjacent parcel. However, the
plat shows a 7.38-acre transfer, so I don't think it can be signed as -is. Could we get them to move the line to make it 7.0
acres?
(If that sounds too unreasonable, I can ask the Attorney's office how much room for interpretation there is, but since the
document doesn't say "approximately;' I'm guessing they'll interpret it literally.)

I do think the intention had been to grant the 250' wide parcel that was approximately 7 acres. It does seem the problem

The proposed BLA would move 7.38 acres from an ACE easement parcel to an adjacent parcel. The ACE easement
anticipates and permits this, but just refers to "7 acres." I thought this mean literally 7.0 (rather than 7.38), but the
applicants have supplied an earlier deed (attached) that refers to the anticipated transfer of 7.38 acres.
Can we approve this plat as -is, or do they need to reduce the acreage being transferred to 7.0?

Just following up on this one —this was one of Chris' plats and the applicant submitted hard copies for signature. There
is an ACE easement on the property that Scott believed limited the amount of acreage that could be adjusted to 7.0
acres, and they are proposing 7.38. The applicant sent me an email (attached) with an instrument recorded in DB 1667
page 200 that they believe "supersedes" the ACE easement and that the 7.0 acre limitation was a "ballpark" under the
original ACE easement.
Just trying to verify whether we can approve the plat if its adjusting 7.38 acres instead of 7.0.

I'm not trying to be difficult here but I think ACE is over reaching a bit.
The attached deed should have superseded any agreement with the ACE and it appears whoever wrote the easement
document ball parked the acreage.
The attached deed is specific stating a 250' width and 7.4 acres.

This plat was submitted for signatures and received by my office on Friday. It appears there may be a problem that
needs to be rectified before we can sign the plat. The ACE easement on the property limits the acreage of boundary
line adjustments allowed to 7 acres. This plat is proposing a boundary line adjustment of 7.38 acres.
Two options:
1. Revise the plat so that the acreage is 7.0 acres and submit new copies for signature.
2. My colleagues with the ACE program can contact the County Attorney to see if there is any leeway under the
ACE easement conditions to allow the extra 0.38 acres. This is unlikely, but we can ask for further clarification
just to be sure.

Oddly, the ACE easement is written to permit a 7-acre BLA to the current owner of the adjacent parcel. However, the
plat shows a 7.38-acre transfer, so I don't think it can be signed as -is. Could we get them to move the line to make it 7.0
acres?
(If that sounds too unreasonable, I can ask the Attorney's office how much room for interpretation there is, but since the
document doesn't say "approximately;' I'm guessing they'll interpret it literally.)
