DEED OF DEDICATION & EASEMENT
THIS DEED OF DEDICATION & EASEMENT is made this lq day of June 2021, by
and between WOOLEN MILLS, LLC, whose address is P.O. Box 1099, Charlottesville, Virginia
22902, hereinafter known as "Grantor," and the COUNTY OF ALBEMARLE, VIRGINIA, a
political subdivision of the Commonwealth of Virginia, whose address is 401 McIntire Road,
Charlottesville, Virginia 22902, hereinafter "Grantee."
WITNESSETH:
WHEREAS, the Grantor is the owner in fee simple of the real property located in
Albemarle County, Virginia, containing approximately 10.39 acres and being the same land the
Grantor acquired from John R. Thach, Successor Trustee of the Collett M. Thach Trust, under trust
agreement dated August 24, 2009, and John R. Thach, Successor Trustee of the Edith C. Thach
Trust, under trust agreement dated August 24, 2009, by a deed dated December 19, 2017, and
recorded on December 29, 2017, in the Clerk's Office of the Circuit Court of Albemarle County,
Virginia, in Deed Book 5000, Page 249, and identified on the current tax maps of Albemarle
County, Virginia, as Parcel ID 07800-00-00-021 BO (the "Property");
WHEREAS, the Grantor desires to dedicate, grant, and convey to the Grantee, which is
willing to accept, an easement for Public and Grantee access over the Property for use and
maintenance of trails on and adjoining the Property, for use and maintenance of a bridge crossing
Moores Creek, and for vehicular parking in dedicated parking spaces on the Property.
NOW THEREFORE, that for and in consideration of the sum of ONE DOLLAR (S 1.00),
receipt of which is hereby acknowledged, the Grantor does hereby GRANT and CONVEY unto
the Grantee, with GENERAL WARRANTY AND ENGLISH COVENANTS OF TITLE, the
following easements related to the Grantee's and the public's access to pedestrian and bicycling
trails on, over, and adjoining the Property:

1. Trail Access from East Market Street: Members of the public have a non-exclusive
general right of pedestrian and bicycle access, ingress and egress, from the Property's East
Market Street entrance over the Property's outdoor travel way to the Bridge over Moores
Creek (identified more particularly in Paragraph 5 below), identified as "East Market Street
Variable Width Public Access Easement" on the "Plat Showing PUBLIC ACCESS
EASEMENT" prepared by the Timmons Group dated May 13, 2021, and attached hereto
as Attachment A. The Public's right of access is restricted to the trail system's hours of
operation. Grantee may install directional signage related to trail access on or about the
Property acceptable to the Grantor. Grantee shall be responsible for all production,
installation, and maintenance expenses associated with such signage and must maintain its
signage in good repair.
2. Trail Access from Broadway Street: Grantor hereby dedicates for public use a non-
exclusive, general right of access, ingress and egress, from the Broadway Street entrance
over the Property travel way identified as "24' Public Access Easement" on the "Plat
Showing PUBLIC ACCESS EASEMENT" prepared by the Timmons Group dated May
13, 2021, and attached hereto as Attachment A. The purpose of this access easement is for
members of the Public and Grantee to access the ten parking spaces, the Trail, and Bridge
all dedicated below to the Grantee. The Public's right of access granted herein is restricted
to the trail system's hours of operation.
3. County Parking Spaces: Grantor hereby dedicates to the Grantee for Grantee's exclusive
use the ten (10) parking spaces on the Property identified as "PUBLIC PARKING (10
SPACES)" on the "Plat Showing PUBLIC ACCESS EASEMENT" prepared by the
Timmons Group dated May 13, 2021, and attached hereto as Attachment A. The Public
has a general right of access to the parking spaces to use the Trail and Bridge during the
trail system's hours of operation subject to the Grantee's rules and regulations. Grantee
may use the parking spaces for any lawful purpose including public parking for trail and
bridge use and for location of Grantee's or its agents' vehicles for bridge and trail
maintenance purposes.
4. County Signage: Grantee has a non-exclusive easement on the Property to install signs
identifying permitted and prohibited uses for the public parking spaces and to install a sign
at the trailhead instructing all users of permitted and prohibited uses and hours of operation,
this non-exclusive easement identified as "A TO B AREA FOR 3" SIGN ESMT." on the
"Plat Showing PUBLIC ACCESS EASEMENT" prepared by the Timmons Group dated

May 13, 2021, and attached hereto as Attachment A. Grantor has no responsibility for
installing or maintaining such signage or for any expense associated with installing or
maintaining such signage. Grantee must maintain the signs in good repair.
5. Class A Pedestrian and Bicycle Trails and the Bridge: Grantee has a non-exclusive
easement for public ingress and egress by pedestrians and bicyclists over and through the
areas of the Grantor's Property shown as "12' PUBLIC ACCESS EASEMENT" (the
"Trail") and the "VAR. WIDTH PUBLIC ACCESS EASEMENT" (the "Bridge") on the
"Plat Showing PUBLIC ACCESS EASEMENT" prepared by the Timmons Group dated
May 13, 2021, and attached hereto as Attachment A. The Trail, the Bridge, and all
associated improvements thereon are the Grantee's property. The Grantee is obligated to
maintain the Trail, the Bridge, and all associated improvements thereon in good repair.
Grantor has no obligation to maintain or repair the Trail or the Bridge and has no obligation
for any expense associated with maintaining or repairing the Trail or the Bridge. Grantor
has the same rights and privileges of ingress and egress over the Trail and the Bridge as
the general public. Grantee is entitled to access the Property to maintain and repair the
Trail at Class A Trail standards as defined in the Albemarle County Design Standards
Manual and to maintain and repair the Bridge and its elements according to building code
standards. Grantee must perform necessary maintenance and repairs with reasonable
promptness.
6. Grantor grants to Grantee and its employees, agents, consultants, representatives, and
independent contractors the right, but not the obligation, of access, ingress and egress, on
the Property to inspect, install, maintain, or repair any right or benefit herein granted and
to prevent, repair, mitigate, and prevent damage to Moores Creek and to protect and
improve the quality of water in Moores Creek, including erosion prevention and bank
stabilization measures. The Grantee, at its own expense, must restore, repair, and replace
any ground cover or other landscaping or surface condition disturbed, damaged, or
removed because of its maintenance or operation of the Trail and the Bridge or work on
Moores Creek taken under this section to the extent such restoration, repair, and
replacement is reasonable and consistent with proper maintenance, operation, and use.
7. These easements run with the land and are binding upon the parties, their successors,
assigns, personal representatives, and heirs.
8. Nothing in this Deed of Dedication & Easement creates any right in the public or any third
party to maintain any suit or action against any party to this Deed.

9. Except in case of emergency, the Grantee must give Grantor at least twenty-four (24) hours
advance notice, either orally (by telephone or in person) or by electronic message of a
planned entry onto the Property.
10. Grantee has the right to assign this Deed as its interests may require. An eligible assignee
must be one that is able to perform the terms, conditions, and obligations of this Deed to
assure that its purposes are fulfilled.
11. It is conclusively presumed that an action at law seeking a monetary remedy is an
inadequate remedy for any breach or violation, or any attempted breach or violation, of any
term of this Deed.
12. The failure of either party to enforce any term of this Deed shall not be deemed a waiver
of the right to do so thereafter, nor discharge nor relieve the other party from thereafter
complying with any such term.
13. The Grantor, its successors and assigns, shall notify the Grantee in writing at the time of
closing on any transfer or sale of the Property. In any deed conveying all or any part of the
Property, this Deed of Dedication & Easement shall be referenced by deed book and page
number in the deed of conveyance and shall state that this Deed is binding upon all
successors in interest in the Property in perpetuity.
14. This Deed does not replace, abrogate or otherwise supersede any federal, state or local laws
applicable to the Property.
15. If any provision of this Deed is determined to be invalid by a court of competent
jurisdiction, the remainder of this Easement shall not be affected thereby.
16. Upon execution by the parties, this Deed shall be recorded with the record of land titles in
the Clerk's Office of the Circuit Court of Albemarle, Virginia.
17. The Grantor covenants that it is vested with good title to the Property and may convey the
Easement.
18. The County is authorized to accept the Easement pursuant to Virginia Code C 15.2-1800.
19. The Grantee shall hold the Grantor harmless to the extent provided in Virginia Code §
29.1-509(E).
This Deed of Easement is made expressly subject to all restrictions, conditions, rights -of -way,
and easements, if any, contained in duly recorded deeds, plats, and other instruments constituting
constructive notice in the chain of title to the property conveyed hereby, insofar as the same affect
the property conveyed hereby, which have not expired by a time limitation contained therein or
have not otherwise become ineffective.

The COUNTY OF ALBEMARLE, VIRGINIA, acting by and through its County
Executive, duly authorized by resolution adopted by the Board of Supervisors of the County of
Albemarle, Virginia, accepts the conveyance of this temporary construction easement pursuant to
Virginia Code § 15.2-1803, as evidenced by the County Executive's signature hereto and the
recordation of this Deed.
