DEED OF EASEMENT
THIS DEED OF EASEMENT ("Deed") is made on this _day of July, 2021, by and
between Berkmar Development LLC, a Virginia limited liability company, indexed as Grantor and
hereinafter defined as `Berkmar", and Foundation's, L.L.C., a Virginia limited liability company,
indexed as Grantee and hereinafter defined as "Foundation's", whose address is 3375 Berkmar
Drive, Charlottesville, VA 22901, and sets forth the following:
WHEREAS, Berkmar is the the owner of that certain property designated by Albemarle
County, Virginia, as Parcel ID 04500-00-00-112172, containing 0.54 acre, more or less (`Berkmar's
Property"), pursuant to that certain Deed dated September 17, 2018, from Robin Marie Wood,
recorded in the Clerk's Office of the Circuit Court of Albemarle, Virginia, in Deed Book 5129,
page 602-605 ;
WHEREAS, Foundation's is the owner of that certain property designated by Albemarle
County, Virginia, as Parcel ID 04500-00-00-112170, containing 0.87 acre, more or less
("Foundation's Property"), pursuant to that certain Deed dated August 28, 2004, from Stuard R.
Wood, Jr., and Margaret E. Wood, recorded in said Clerk's Office, in Deed Book 2834, pages 1-6
("Foundation's Source Deed");
WHEREAS, among other easements, Foundation's Source Deed contained a certain access
and parking easement for the benefit of Foundation's Property that ran along and upon what is
now Berkmar's Property (the "Access and Parking Easement");
WHEREAS, Berkmar intends to develop Berkmar's Property, together with adjoining and
nearby parcels commonly owned by Berkmar, and to properly so develop pursuant to its site plan
with Albemarle County, Berkmar needs to move the locations of the Access and Parking Easement
as specifically set forth herein; and
WHEREAS, Foundation's is agreeable to amend the boundaries of the Access and Parking
Easement pursuant as specifically set forth herein.
NOW, THEREFORE, for and in consideration of the premises, the sufficiency of which is
hereby acknowledged, the parties hereby agree as follows:
1. Revised Boundaries. The boundaries of the Access and Parking Easement (as
originally shown within Foundation's Source Deed and shown herein as "Access Easement to be
Vacated***" on the plat attached hereto and labeled as "Exhibit A" ("First Plat")) is hereby
removed and replaced in its entirety with that certain area labeled as "New Variable Width Access
and Parking Easement" on the second plat attached hereto and labeled as "Exhibit B" ("Second
Plat"). All references to the Access and Parking Easement further below shall reflect and
incorporate the revised boundaries caused by this Section 1.
2. Maintenance Responsibilities. The owner of Foundation's Property shall be solely
responsible for maintaining, replacing and/or repairing any and all improvements located within
the Access and Parking Easement. All improvements located within the Access and Parking
Easement shall be maintained to a standard that, at a minimum, ensures that it will remain
substantially in the same condition it was when approved by the County. The travelway located
within the Access and Parking Easement shall at all times be maintained so that it is safe and
convenient for passenger automobiles and emergency vehicles at all times except in severe
temporary weather conditions. For purposes of this instrument, "maintenance" includes the
maintenance of all improvements within the Access and Parking Easement, and all curbs, curbs
and gutters, drainage facilities, utilities, dams, bridges and other private street improvements, and
the prompt removal of snow, water, debris, or any other obstructions so as to keep the private street
or alley reasonably open for usage by all vehicles, including emergency service vehicles. No public
agency, including the Virginia Department of Transportation and the County of Albemarle,
Virginia, will be responsible for maintaining any improvement identified herein.
3. Miscellaneous. Except to the extent modified by this Deed, the terms and conditions
of the Access and Parking Easement (as contained within the Foundation's Source Deed) shall
remain in full force and effect. The terms and conditions of this Deed shall run with the land.
