THIS DEED made this 28th day of August, 2004 by and between STUARD R. WOOD,
JR. and MARGARET E. WOOD, hereinafter referred to as the Grantors, and FOUNDATIONS,
LLC, a Virginia limited liability company, whose address is 1550 Seminole Trail,
Charlottesville, VA 22902, hereinafter referred to as the Grantees,
WITNESSETH:
That for and in consideration of the sum of Two Hundred Twenty Thousand Seven
Hundred Twenty Dollars ($220,720.00), cash in hand paid, receipt of which is hereby
acknowledged by the Grantors, the Grantors hereby GRANT, BARGAIN, SELL, and CONVEY
with GENERAL WARRANTY and ENGLISH COVENANTS OF TITLE unto the Grantee, the
following described property:
All that certain lot or parcel of land, with improvements thereon and
appurtenances thereto, located on Berkmar Drive, in Albemarle County,
Virginia, consisting of 37,671 square feet, shown and described as Parcel A
on a "Plat Showing Division of Parcel 112F as Shown on Tax Map 45",
dated May 21, 2004, made by B. Aubrey Huffman & Associates, Ltd., a
copy of which is attached to, made a part of, and recorded with this deed.
Included with this conveyance is a non-exclusive easement of right-of-way for ingress
and egress from Berkmar Drive to Parcel A and for parking, on and over a portion of the property
retained by Seller, which is shown on said plat as Parcel B. This easement is limited to the area
on Parcel B which is identified as "Access and Parking Easement'. Also included in this
conveyance is a non-exclusive easement for the benefit of Parcel A to construct and use the
Stormwater Management Facility to be constructed on Parcel B within the area identified as
"S WM Easement" as shown on said plat. Seller reserves the right to relocate or reconfigure the
Stormwater Management Facility or to replace it with a facility of equal or superior quality on
Parcel B or on other property owned by Seller. Seller retains for itself, for the benefit of Parcel
B, an easement of up to twenty feet in width for a sewer line across Parcel A in a location yet to
be determined.
The said property is a portion of that conveyed to the Grantors by deed of Ora E. Landes,
dated February 11, 1959, recorded in the Clerk's Office of the Circuit Court of the City of
Charlottesville, Virginia in Deed Book 346, Page 362.
The said property is conveyed subject to all easements, reservations, restrictions,
conditions, and other encumbrances contained in duly recorded deeds, plats, and other
instruments constituting constructive notice in the chain of title to the said property which have
not expired by a time limitation contained therein or otherwise have become ineffective.
