Dear Jan,
Please see attached the Articles of Organization for the Dunlora
Swim and Tennis Club. You will note that Larry McElwain is the
Registered Agent for the LLC.
I have included a draft of the operating agreement for the LLC
which outlines the ownership of the LLC. As you can see, only 2 parties
are involved In the operation of the LLC, Robert Hauser Homes and the
Dunlora Community Association. At the present time the terms of the
agreement are still under negotiation, and therefore I do not have an
executed copy which I can provide to you. However, no other parties are
involved in the ownership or operation of the DSTC.
There exists no other documentation which can be provided to the
county regarding this organization. We would be happy to provide you
with any letter from Robert Hauser Homes or the Duntora Community
Association to support the request for variance which we have submitted.
We would appreciate your comments on this documentation as
soon as possible,

OPERATING AGREEMENT
- OF
DUNLORA SWIM AND TENNIS CLUB, L.L. C.
THIS OPERATING AGREEMENT is made this 31st day of October,
1993 , by the undersigned Members of Dunlora swim and Tennis Club,
L.L.C. .

L .L. C. , the "Company" , a Virginia limited liability company, was
formed upon the issuance of a Certificate of organization by the
Virginia state Corporation Commission on September 23 , 1993 . Both
of the Members of the Company, Robert Hauser Homes, Inc. and
Dunlora Community Association, Inc. , enter into this operating
Agreement to regulate and manage the affairs of the Company, the
conduct of its business and the relations of its Members. Each
Member's identity and Ownership Interest in the Company shall be as
sat forth on Exhibit A as it may from time to time be amended. An
Ownership Interest in the company is personal property, provided
however that such interest may not be sold, transferred, assigned
or conveyed without the express written consent of the other
Member. The Members shall vote on all matters in proportion to
their ownership Interest in the Company.

j anage;nentti. The responsibility for managing the Company
shall be delegated to Robert Hauser Homes, Inc, a Member of the
Company, pursuant to the terms of a contract of even date herewith,
the management contract, until such time as it resigns. Any
vacancy occurring in the office of Manager shall be tilled by a
majority vote of the Members. Any Manager may be removed with or
without cause by a majority vote of the Members. The Manager shall
discharge its duties as Manager with good faith business judgment
for the best interests of the Company, it being the intention of
the Members that the company be a non-profit organization for the
ownership and management of certain recreational facilities located
in Dunlora subdivision, Albemarle County, Virginia, as more
particularly set forth on Exhibit B as it may from time to time be
amended. It is the intention of the Members for Robert Hauser
Homes, Inc. , "RHH, " to manage the Company's assets until such time
as it no longer owns any property in Dunlora subdivision, at which
time RHH intends to resign as Manager and convey, without cost, its
entire interest in the Company to Dunlora Community AESOCia.tion,
Inc.
A Member or Manager or an affiliate of either may lend money
to and transact other business with the Company, including the
leasing of real property for use as recreational facilities, and
may subcontract for the performance of any or all of its rights,
duties and obligations as set forth herein and in the management
contract.
Annual Meeting. The Company shall hold its Annual Meeting

on or about April 15 of each year pursuant to written notice for
the purpose of reviewing the previous year's operations and the
projected operations for the current year.
TnFpajti nci ggSie The Manager shall keep at the
principal office of the company the following!
(a) A current list of the names and addresses of the Members;
(b) A copy of the Articles of Organization and the
Certificate of Organization and all Articles of Amendment and
certificates of Amendment thereto;
(c) Copies of the Company's federal, state and local income
tax returns and reports, if any, for the three (3) most recent
years;
(d) A copy of the then-effective Operating Agreement; and
(e) A copy of the then-effective management contract.
Each member has the right, upon reasonable request, to inBpect
and copy any of the records referred to in this section, and to
obtain upon reasonable demand true and full information regarding
the current state of the business and financial condition of the
Company.
Limitation of Liability. In any proceeding brought by or in
the right of the Company or brought by or on behalf of any Member,
no Manager or Member shall have any liability unless the Manager or
Member engaged in willful misconduct or a knowing violation of the
criminal law.

anticipated to exorcise its rights , duties and obligations as a
benefit to the Members, its revenues shall be generated entirely
from initiation fees, maintenance tees, and operating charges
collected from the individuals using the Company's facilities
pursuant to the Rules and Regulations adopted by the Manager, and
in accordance with the management contract.
piesQlution. The company shall be dissolved and its affairs
shall be terminated upon the occurrence of the first of the
following events:
(a) The unanimous written consent of the Members;
(b) The resignation, bankruptcy or dissolution of either
Member or the occurrence of any other event that terminates the
continued membership of either Member, unless the business of the
Company is continued by the unanimous consent of the remaining
Members, provided that in accordance with applicable statutes there
shall at all times be a minimum of two (2) hembers; or
(c) The entry of a decree of judicial dissolution.
upon dissolution or termination the Members shall wind up the
Company' s affairs, provided however that the circuit court of the
locality in which the registered agent of the company ig located,
on cause shown, may wind up the Company's affairs on application of
any Member. Upon the dissolution of the Company its assets shall
be distributed as follows:
(i) To creditors, including Members who are creditors, to
the extent permitted by law in satisfaction of liabilities of the
company other than for distributions to Members;

(ii) To Members and former Members in satisfaction of
liabilities under Section l3 .1-1031 or 13 . 1-1033 of the code of
Virginia, 1950, as amended; and
(iii) To Members in proportion to their respective Ownership
Interest, provided however that it is the intention of the Members
for dissolution to occur when RHH disposes of all property that it
owns at such time in Dunlora subdivision, at Which time RHH shall
convey all of its right, title and interest in and to the Company
to Dunlora Community Association, Inc. , without consideration.
