O. Box 6156, Charlottesville, VA 22906, a Grantor and Grantee; CANNON PROPERTIES, LTD., a Virginia corporation ("Cannon") which has an address of 763 Madison Road, Suite 205, Culpeper, VA 22701, a Grantor and Grantee; L.F. PAYNE and SUSAN K. PAYNE, husband and wife ("Payne"), Grantors; SUNTRUST BANK ("SunTrust") Kenridge's lender, Grantor and Grantee; J. KEMPTON SHIELDS and STEVEN C. WITNESSETH: WHEREAS, Kenridge is the owner of Lots 27-29 and 43-45, Kenridge subdivision (the "Kenridge Lots") in Albemarle County, Virginia, as shown on plat KENRIDGE made by JenningStephenson, P.C., dated November 20, 2006 (the "Subdivision Plat"), which is recorded with a Declaration in the Clerk's Office of the Circuit Court of Albemarle County, Virginia (the "Clerk's Office") in Deed Book 3426, page 447, with plat at page 484; and WHEREAS, Craig is the owner of Lots 30-32 (and collectively referred to as the -Craig Lots"), as shown on the Subdivision Plat; and WHEREAS, Cannon is the owner of Lots 13-15, 37-42 and 49-58 (and collectively referred to as the "Cannon Lots"), as shown on the Subdivision Plat; and WHEREAS, Payne is the owner of Lot 61, as shown on the Subdivision Plat; and WHEREAS, Kenridge, Craig and Cannon, with the consent herein of the Kenridge lender, Sun l'rust and the Cannon lender, BB&T desire to relocate certain boundaries between and among the Kenridge Lots, the Craig Lots and Cannon Lots as shown on the attached and incorporated plat made by Kirk Hughes & Associates captioned "Survey Showing Boundary Adjustment ofKENR1DGE, Lots 27 Through 32, Lots 37 Through 43 Lots 49 Through 58 and Various Easements" dated October 5, 2010, revised December 1, 2010 (the "Revision Plat"); and WHEREAS, the Parties also desire to relocate certain easements as shown on the Subdivision Plat. NOW THEREFORE, in consideration of the premises and $1.00 cash in hand paid, the receipt of which is hereby acknowledged by each party from the other, the Parties agree as follows: (1) Kenridge as the owner of the Kenridge Lots hereby RELOCATES the boundary lines as shown on the Revision Plat to add or remove certain Areas between the Kenridge Lots as follows: Area D from Lot 27 to Lot 28 and Area E from Lot 28 to Lot 29. (2) Craig as the owner of the Craig Lots hereby RELOCATES the boundary lines as 2 shown on the Revision Plat to add or remove certain Areas between the Craig Lots as follows: Area G from Lot 31 to Lot 30 and Area H from Lot 32 to Lot 31. (3) Cannon as the owner of the Cannon Lots hereby RELOCATES the boundary lines as shown on the Revision Plat to add or remove certain Areas between the Cannon Lots as follows: Area J from Lot 37 to Lot 38, Area K from Lot 38 to Lot 39, Area L from Lot 40 to Lot 39, Area M from Lot 41 to Lot 40, Area N from Lot 42 to Lot 41, Area P from Lot 49 to Lot 50, Area Q from Lot 51 to Lot 50, Area R from Lot 52 to Lot 51, Area S from Lot 53 to Lot 52, Area T from Lot 54 to Lot 53, Area U from Lot 54 to Lot 55, Area V from Lot 55 to Lot 56, Area W from Lot 57 to Lot 56 and Area X from Lot 58 to Lot 57. (5) Cannon hereby GRANTS and CONVEYS with GENERAL WARRANTY and ENGLISH COVENANTS OF TITLE unto Craig all that certain parcel of land shown on the Revision Plat as Area I (containing 155 square feet) from Lot 37 to become a part of Lot 32 and not as a separate parcel of land. (6) Kenridge hereby GRANTS and CONVEYS with GENERAL WARRANTY and ENGLISH COVENANTS OF TITLE unto Cannon all that certain parcel of land shown on the Revision Plat as Area O (containing 971 square feet) from Lot 43 to become a part of Lot 42 and not as a separate parcel of land. (7) The prior lot division lines (the "Old 'Lines")between Lots as shown on the Revision Plat are hereby VACATED and all utility easements which are located with reference to such 3 Old Lines are hereby RELOCATED to the new boundary lines, as shown on the Revision'Plat. (8) BB&T does hereby consent to the relocation of the boundary lines shown on the Revision Plat and to the release of Area I and the BB&T Trustee does hereby CONVEY and RELEASE unto Craig that certain parcel of land shown as Area I`on the Revision Plat, free of the l ion of a certain deed of trust dated July 6, 2007 from Cannon to the BB&T Trustee recorded in the Clerk's Office in Deed Book 3453 page 738, as modified by Modification Agreement dated September 12, 2007, recorded in -the Clerk's "Office ill Deed Book 3483 page'547 (collectively, the "Cannon Deed of Trust"). (9) SunTrust does hereby consent to the relocation of the boundary lines shown on the Revision ,Plat and to the release of Area O and the ShnTiust Trustees do hereby CONVEY and RELEASE unto Cannon that certain parcel of land shown as Area O on the Revision Plat, free of the lien of a certain deed of trust dated November 18, 2005 from Kenridge to the SunTrust Trustees recorded in the Clerk's Office in Deed Book 3109, page 390 (the "Kenridge Deed of Trust"). Further, SunTrust releases Area O on the Revision Plat from UCC Financing Statements #2005-32793 and 2010-33629. (10) Kenridge does hereby GRANT and CONVEY WITH GENERAL; WARRANTY OF TITLE, IN TRUST unto the SunTrust Trustees Area F as shown on the Revision Plat as ADDITIONAL SECURITY under the Kenridge Deed of Trust. (11) Cannon does hereby GRANT and CONVEY WITH GENERAL WARRANTY OF TITLE, IN TRUST unto the BB&T Trustee Area O as shown on the Revision Plat as ADDITIONAL SECURITY under the Cannon Deed of Trust. NOW THEREFORE, in consideration of the premises and $1.00 cash in hand paid, the receipt of which is hereby acknowledged by each party from the other, the Parties agree as follows: (1) Kenridge as the owner of the Kenridge Lots hereby RELOCATES the boundary lines as shown on the Revision Plat to add or remove certain Areas between the Kenridge Lots as follows: Area A (535 square feet) from Lot 18 to Lot 19; Area B (267 square feet) from Lot 20 to Lot 19 and Area C. (723 square feet) from Lot 21 to Lot 20. (2) Craig as the contract purchaser of the Craig Lots consents to the relocation of the boundary lines for Lots 18 and 19, as shown on the Revision Plat. (3) SunTrust does hereby consent to the relocation of the boundary lines for Lots 18 through 21, as shown on the Revision Plat and directs the SunTrust Trustees to execute this Agreement relocating the aforesaid boundary lines under the lien of a certain deed of trust dated 2 November 18, 2005 from Kenridge to the SunTrust Trustees recorded in the Clerk's Office in Deed Book 3109, page 390 (the "Kenridge Deed of Trust") and, as applicable, from UCC Financing Statements #2005-32793 and 2010-33629. (4) The prior lot division lines (the "Old Lines") between Lots as shown on the Revision Plat are hereby VACATED and all utility easements which are located with reference to such Old Lines are hereby RELOCATED to the new boundary lines, as shown on the Revision Plat.
