Borrower shall give prompt notice to the insurance carrier and Lender. Lender may make proof of loss if not made promptly by Borrower. Unless Lender and Borrower otherwise agree in writing,insurance proceeds shall be applied to restoration or repair of the Property damaged,provided such restoration or repair is economically feasible and the security of this Deed of Trust is not thereby impaired. If such restoration or repair is not economically feasible or if the security of this Deed of Trust would be impaired,the insurance proceeds shall be applied to the sums secured by this Deed of Trust,with the excess,if any,paid to Borrower. If the Property is abandoned by Borrower,or if Borrower fails to respond to Lender within 30 days from the date notice is mailed by Lender to Borrower that the insurance carrier offers to settle a claim for insurance benefits. Lender is authorized to collect and apply the insurance proceeds at Lender's option either to restoration or repair of the Property or to the sums secured by this Deed of Trust. If this Dccd of Trust is on a unit in a condominium or a planned unit development, Borrower shall perform all of Borrower's obligations under the declaration or covenants creating or governing the condominium or planned unit development, the by-laws and regulations of the II condominium or planned unit development,and constituent documents. If a condominium or planned unit development u rider is executed by Borrower and recorded together with this Dccd of Trust,the covenants and agreements of such rider shall be incorporated into and shall amend and supplement the covenants and agreements of this Deed of Trust as if the rider a tr were a part hereof. tf 7. Protection of Lender's Security. If Borrower fails to perform the covenants and agreements contained in this 1111 Deed of Trust,or if any action or proceeding is commenced which materially affects Lender's interest in the Property, '4` 1f including.but not limited to,eminent domain,insolvency,code enforcement,or arrangements or proceedings involving a bankrupt or decedent,then Lender at Lender's option,upon notice to Borrower,may make such appearances,disburse such IIII sums and take such action as is necessary to protect Lender's interest, including, but not limited to, disbursement of 1` reasonable attorney's fees and entry upon the Property to make repairs. Condemnation. In the event of a total taking of the Property,the proceeds shall he applied to the sums secured by this Deed of Trust, with the excess,if any,paid to Borrower. In the event of a partial taking of the Property,unless Borrower and Lender otherwise agree in writing,there shall he applied to the sums secured by this Deed of Trust such proportion of the proceeds as is equal to that proportion which the amount of the sums secured by this Deed of Trust immediately prior to the date of taking bears to the fair market value of the Property immediately prior to the date of taking,with the balance of the proceeds paid to Borrower. • If the Property is abandoned by Borrower,or if,after notice by Lender to Borrower that the condemnor offers to make an award or settle a claim for damages,Borrower fails to respond to Lender within 30 days after the date such notice is mailed.Lender is authorized to collect and apply the proceeds.at Lender's option,either to restoration or repair of the Property or to the sums secured by this Deed of Trust. Unless Lender and Borrower otherwise agree in writing,any such application of proceeds to principal shall not extend or postpone the due date of the monthly installments referred to in paragraphs I and 2 hereof or change the amount of such installments. 10. Borrower Not Released. Extension of the time for payment or modification of amortization of the sums secured by this Deed of Trust granted by Lender to any successor in interest of Borrower shall not operate to release,in any manner, the liability of the original Borrower and Borrower's successors in interest. Lender shall not be required to commence {ti proceedings against such successor or refuse to extend time for payment or otherwise modify amortization of the sums secured by this Deed of Trust by reason of any demand made by the original Borrower and Borrower's successors in interest. II. Forbearance by Lender Not a Waiver. Any forbearance by Lender in exercising any right or remedy hereunder-or otherwise afforded by applicable law, shall not be a waiver of or preclude the exercise of any such right or remedy The procurement of insurance or the payment of taxes or other liens or charges by Lender shall not be a waiver of Lender's right to accelerate the maturity of the indebtedness secured by this Deed of Trust. 12. Remedies Cumulative. All remedies provided in this Deed of Trust are distinct and cumulative to any other right or remedy under this Deed of Trust or afforded by law or equity,and may be exercised concurrently, independently or successively. 13. Successors and Assigns Bound; Joint and Several Liability; Captions. The covenants and agreements herein contained shall bind,and the rights hereunder shall inure to,the respective successors and assigns of Lender and Borrower. subject to the provisions of paragraph 17 hereof. All covenants and agreements of Borrower shall be joint and several. The captions and headings of the paragraphs of this Deed of Trust arc for convenience only and are not to be used to interpret or define the provisions hereof. 14. Notice. Except for any notice required under applicable law to be given in another manner, (a) any notice to Borrower provided for in this Deed of Trust shall be given by mailing such notice by certified mail addressed to Borrower at the Property Address or at such other address as Borrower may designate by notice to Lender as provided herein, and (h)any notice to Lender shall be given by certified mail,return receipt requested,to Lenders address stated herein or to such other address as Lender may designate by notice to Borrower as provided herein. Any notice provided for in this Deed of Trust shall be deemed to have been given to Borrower or Lender when given in the manner designated herein. 15. Uniform Deed of Trust;Governing Law;Severability. This form of deed of trust combines uniform covenants for national use and non-uniform covenants with limited variations by jurisdiction to constitute a uniform security instrument covering real property. This Deed of Trust shall be governed by the law of the jurisdiction in which the Property is located. In the event that any provision or clause of this Deed of Trust or the Note conflicts with applicable law,such conflict shall not affect other provisions of this Deed of Trust or the Note which can be given effect without the conflicting provision. and to this end the provisions of the Deed of Trust and the Note arc declared to be severable. 16. Borrower's Copy. Borrower shall he furnished a conformed copy of the Note and of this Deed of Trust at the time of execution or after recordation hereof. 17. Transfer of the Property;Assumption. If all or any part of the Property or an interest therein is sold or transferred by Borrower without Lender's prior written consent,excluding (a) the creation of a lien or encumbrance subordinate to this Deed of Trust,(b)the creation of a purchase money security interest for household appliances.(c)a transfer by devise. descent or by operation of law upon the death of a joint tenant or(d)the grant of any leasehold interest of three years or less not containing an option to purchase,Lender may,at Lender's option,declare all the sums secured by this Deed of Trust to be immediately due and payable. Lender shall have waived such option to accelerate if,prior to the sale or transfer,Lender and the person to whom the Property is to be sold or transferred reach agreement in writing that the credit of such person is satisfactory to Lender and that the interest payable on the sums secured by this Deed of Trust shall be at such rate as Lender shall request. If Lender has waived the option to accelerate provided in this paragraph 17,and if Borrower's successor in interest has executed a written assumption agreement accepted in writing by Lender,Lender shall release Borrower from all obligations under this Deed of Trust and the Note. If Lender exercises such option to accelerate,Lender shall mail Borrower notice of acceleration in accordance with paragraph 14 hereof. Such notice shall provide a period of not less than 30 days from the date the notice is mailed within which Borrower may pay the sums declared due. The notice shall further inform Borrower of the right to reinstate after acceleration and the right to bring a court action to assert the non-existence of a default or any other defense of Borrower to acceleration and sale. If the breach Is not cured on or before the date specified in the notice,Lender at Lender's option may declare all of the sums secured by this Deed of Trust to be Immediately due and payable without further demand and may Invoke the power of sale and any other remedies permitted by applicable law. Lender shall be entitled to collect all reasonable costs and expenses Incurred in pursuing the remedies provided In this paragraph IS.including.but not limited to,reasonable attorney's fees. If Lender Invokes the power of sale,Lender or Trustee shall give to Borrower a copy of a notice of sale In the manner prescribed by applicable law. Wood D.B. 1544 PG. 663" on the Plat (the "Wood Property"), more specifically identified as "New Variable Width Private R/W 0.209 Acres 9,120 S.F." on the plat entitled "Easement Plat Showing Sign Easement, Waterline Easement, Access Easements, Stormwater Management Easement, Construction and Grading Easement, Parcel 124 As Shown on Tax Map 61", prepared by Commonwealth Land Surveying, LLC,dated January 28, 2010,a copy of which plat is attached hereto as Exhibit B (the"Easement Plat"), to allow for uninterrupted pedestrian and vehicular ingress and egress to and from the Arden Property, and through the northeast corner of the CRC Property and the Wood Property,to and from Putt Putt Lane("Access Easement#2");and (iii) a perpetual, non-exclusive easement to construct a trailway,with a maximum width of eight (8) feet (the "Trailway"), located on the western portion of the CRC Property connecting the Arden Property to Rio Road (State Route 631), more specifically identified as "10' Wide Access Easement for 8' Wide Trail 0.185 Acres 8,064 S.F." on the Easement Plat("Access Easement#3"). Access Easement #1, Access Easement #2 and Access Easement #3 are collectively referred to herein as the "Access Easement". The "Access Easement Area" shall mean the portion of the CRC Property subject to the Access Easement. (b) The Access Easement shall be used for ingress and egress by Arden, its tenants, successors, assigns, mortgagees, licensees, invitees, customers, contractors, employees,and agents. (c) Arden shall be solely responsible for any and all construction costs relating to the Access Easement. 2. Maintenance of the Access Easement. (a) Arden shall maintain the Access Easement Area in good repair and safe condition, reasonably clear of waste, debris, dirt, ice and snow, and in compliance with all applicable statutes, laws, ordinances, governmental rules, regulations and orders, if any, until CRC commences construction activities on the CRC Property. (b) Upon the commencement of construction activities on the CRC Property by CRC, CRC and Arden agree to enter into a new maintenance agreement to govern the terms and conditions relating to the shared maintenance costs of the Access Easement and a portion of the road easement over that certain piece or parcel of land located in Albemarle County, Virginia, identified on the current Albemarle County tax maps as tax map parcel 61-124E, as shown and designated as"TMP 61-124E L.F.Wood D.B. 1544 PG. 663"on the Plat. 3. Drainage Easement. CRC conveys and grants to Arden,for the benefit of and as an appurtenance to the Arden Property, and as a burden on and servitude appurtenant to the CRC Property: (a) a perpetual, non-exclusive easement for Arden to install, to construct, to lay, to repair, and to access a storm water management pond to the northeast corner of the CRC Property (the "Pond"), and to install, to construct, to lay, to repair, and to access an underground storm water drainage line (the "Line") on the CRC Property for the purpose of carrying storm water drainage across, under, over and through the CRC Property to the Pond, -2- Book: 3920 Page: 210 FileNumber: 2010-00009387 Seq: 3 Page 4 of 27 within the area more specifically identified as "Drainage & Stormwater Management, Construction & Grading Easement 1.630 Acres 70,985 S.F.° on the Easement Plat ("Drainage Easement #1). All costs associated with the installation and construction of the Line and with the construction and renovation of the Pond necessary for Arden's use of the Line and the Pond shall be carried out at Arden's sole expense; (b) a perpetual, non-exclusive easement to use the Line for the purpose of carrying storm water drainage from the Arden Property across, under, over and through the CRC Property and to the Pond("Drainage Easement#2");and (c) a perpetual, non-exclusive easement to access, to use, and to make any repairs to, the Pond ("Drainage Easement#3"). Drainage Easement #1, Drainage Easement #2 and Drainage Easement #3 are collectively referred to herein as the "Drainage Easement". The "Drainage Easement Area" shall mean the portion of the CRC Property subject to the Drainage Easement. The Access Easement Area and the Drainage Easement Area are collectively referred to herein as the"Easement Area". In consideration of the easements granted herein by CRC to Arden, Arden specifically agrees, at its sole expense, to construct the Pond in accordance with all governmental ordinances, regulations and site plans of a size and type to adequately serve the current and future development on the CRC Property and the Arden Property. Additionally, after the aforesaid construction, Arden shall remove the existing storm water drainage facility and regrade the area of the facility and any area disturbed consistent with the adjacent topography and shall also establish grass or other vegetation over all such areas. 4. Maintenance of the Drainage Easement. (a) Arden shall be responsible for seventy-five percent (75%), and CRC shall be responsible for twenty-five percent (25%) of all maintenance costs relating to the Drainage Easement and the Drainage Easement Area up until the date when development has been completed on fifty percent(50%) of the CRC Property. (b) After development has been completed on fifty percent (50%) of the CRC Property, CRC shall be responsible for fifty percent (50%), and Arden shall be responsible for fifty percent (50%) of all maintenance costs relating to the Drainage Easement and the Drainage Easement Area. (c) For purposes of this section 4, the phrase "development has been completed" shall mean the date when at least a temporary certificate of occupancy has been issued for any buildings within the CRC Property. 5. Public Easement for Trailway. CRC hereby agrees to enter into an easement agreement with Albemarle County (the "County") to grant to the County a public right for pedestrian and bicycle ingress and egress over the Trailway, to be constructed by Arden pursuant to Access Easement #3, upon terms and conditions determined by the County. Arden shall have the obligation to maintain the Trailway. 6. Temporary Construction Easement. CRC conveys and grants to Arden, for the benefit of and as an appurtenance to the Arden Property, and as a burden on and servitude appurtenant to the CRC Property a temporary, non-exclusive construction and grading easement and right of access to and from and passage on, through, over, under and across the CRC Property in the area shown as "Variable Width Temporary Construction & Grading Easement 0.920 Acres 40,072 S.F."on the Easement Plat (the "Construction Easement"). The "Construction Easement Area" shall refer to the portion of the CRC Property subject to the -3- Book: 3920 Page: 210 FileNumber: 2010-00009387 Seq: 4 Page 3 of 27 Construction Easement. The Construction Easement is for Arden's use in connection with its construction and development activities on the CRC Property related to the Access Easement, the Drainage Easement and the Trail Easement, and specifically for the grading, regrading, contouring or recontouring of those portions of the Construction Easement Area necessary for the aforesaid construction and development activities. The Construction Easement shall expire without notice at the earlier of: (i) sixty (60) days after the issuance of the first Certificate of Occupancy on any portion of the Arden Property or(ii) thirty (30) months after the recordation of this instrument. 7. Indemn jy. From and after the date of this Agreement, Arden agrees to indemnify, protect, hold harmless and defend CRC and its officers, agents, successors, successors in title, and assigns from all losses, claims, demands, liabilities, costs and expenses, including, without limitation, reasonable attorneys' fees and court costs, arising out of or resulting from the use or exercise by Arden and its agents and employees of the easement rights granted herein. This indemnity shall not extend to any losses, claims, demands, liabilities, costs or expenses suffered or incurred by CRC or its officers, agents, successors, successors in title, and assigns to the extent that they result from the negligence or willful misconduct of CRC or its officers, agents, successors, successors in title, and assigns or Arden's guests. 8. Covenants Run with the Land. The easements, covenants and agreements set forth in this Agreement are intended to be and shall be construed as covenants running with title to the land of the Easement Area. This Agreement shall be binding upon, shall inure to the benefit of and be enforceable by the parties and their respective heirs, personal representatives, successors, successors in title and assigns as the owners of the Easement Area and the Arden Property, or any portion of any of them. Any subsequent owner of the Easement Area and the Arden Property, or any portion of any of them, shall automatically be deemed, by acceptance of title thereto, to have assumed all obligations of this Agreement relating thereto and to have agreed with the then owner or owners of the other parcel or parcels to execute any and all instruments and to do any and all things reasonably required to carry out the intention of this Agreement. 9. Taxes. CRC and every subsequent owner of fee simple title to the Easement Area or any portion thereof shall pay or cause to be paid when due all real estate taxes and assessments levied on that portion of the Easement Area that they own. 10. Subject To. The easements and covenants established herein shall be subject to all easements, restrictions and conditions presently of record to the extent applicable to the CRC Property and the Arden Property,or any portion of any of them. 11. Free of Encumbrances. CRC represents that CRC is lawfully seized of the CRC Property and that it has the good and lawful right to convey it or any part thereof including, without limitation, the Easement granted herein, and that the Easement is free and clear of all encumbrances (except for (a) that certain Deed of Trust and Security Agreement dated as of August 31, 2009, securing a loan from Castle Development Corporation which is of record in the Clerk's Office of the Circuit Court of Albemarle County, Virginia in Deed Book 3793, page 244, and which Deed of Trust will be assumed by Arden simultaneously upon the execution and delivery of this Agreement by CRC; and(b)whatever rights,if any,L.F.Wood might have to drain water to the Pond from property that he owns), and CRC will forever warrant and defend the title thereto against the claims of all persons whomsoever. 12. Amendment. The parties and every subsequent owner of the fee simple title to the CRC Property and the Arden Property, or any portion of any of them, shall, from time to time, execute and deliver such instruments of further assurances or confirmation, in recordable form, as may reasonably be necessary to perfect, complete and confirm the easements, conditions, obligations and covenants created or contained in this Agreement. Notwithstanding any contrary provisions of this Agreement, no modification, amendment or -4- Book: 3920 Page: 210 FileNumber: 2010-00009387 Seq: 5 Page{of 27 termination of this Agreement shall be valid, binding or enforceable unless the same is in written form,executed and acknowledged by or on behalf of CRC and Arden, or their respective heirs, personal representatives, successors or assigns, and by or on behalf of each trustee and noteholder under any mortgage or deed of trust constituting a lien on the CRC Property and the Arden Property,or any portion of any of them, and duly filed for record in the Clerk's Office of the Circuit Court of Albemarle County,Virginia, 13. Severability. Invalidation of any provision of this Agreement by judgment, court order,legislative mandate or a finding that such provision is illegal or unenforceable shall in no way affect any other provision, and all other provisions hereof shall remain in full force and effect. 14. No Barriers. CRC, its successors and assigns, shall not erect or maintain, or permit to be erected or maintained, within the Easement Area any barrier, fence or other hindrances to free and unrestricted use of the Easement or any access to or ingress and egress from and to the Easement Area and the Arden Property. 15. No Public Dedication. The provisions hereof are not intended to, and do not, constitute a dedication to the public or for any public use or purpose, and the rights and easements herein created are private and for the benefit only of the parties designated herein. 16. Governing Law. All questions with respect to the construction of this Agreement and the rights and liabilities of the parties hereunder shall be determined in accordance with the applicable laws of the Commonwealth of Virginia. 17. Counterpart signature$. This Agreement may be executed in any number of counterparts, each of which when so executed and delivered will be deemed to be an original and all of which counterparts taken together will constitute but one and the same instrument. 18, Liability Insurance. Arden agrees to carry commercial general liability insurance including broad form general liability endorsement making specific reference to personal injury liability. Said general liability insurance shall cover the Easement and Arden's use thereof, together with such contractual liability insurance endorsement necessary to cover Arden's obligations set forth herein, in companies and in a form satisfactory to CRC. Arden agrees to provide CRC with a Certificate of Insurance as a certificate holder. Such general liability insurance shall provide for a minimum of One Million Dollars($1,000,000,00)combined single limit coverage for all operations. 19. Notice. This Agreement contains the entire agreement of the parties and there are no other promises, conditions, understandings or other agreements, whether oral or written relating to the subject matter of this Agreement. This Agreement may be modified or amended only in writing, if the writing is signed by the party obligated under the amendment. 21. Section Headings. The section headings are inserted only as a matter of convenience and for reference and in no way define, limit or describe the scope or intent of this Agreement nor in any way affect this Agreement. 22. yd 'l Coyeenants with Respect to Use. Arden agrees: (a) To use the Easement Area in a safe and careful manner, without committing or permitting waste, and in compliance with all laws,ordinances,rules,regulations and orders of any governmental bodies having jurisdiction over the Easement Area; (b) To neither do nor suffer anything to be done or kept in or about the Easement Area which contravenes CRC's insurance policies or increases the premiums therefore. Any increase in CRC's insurance premiums caused by Arden, if permitted in writing by CRC,shall be paid for by Arden; (c) To permit no lien, notice of intention to file lien or other charges(whether arising out of work of any contractor, mechanic, laborer, or materialman or any mortgage, conditional sale, security agreement or chattel mortgage or otherwise) which might be or become a lien or encumbrance or charge upon the CRC Property or any part thereof, and to suffer no other matter or thing whereby the estate, right and interest of CRC in the CRC Property or any part thereof might be impaired; (d) To comply with all reasonable rules and regulations which CRC may from time to time establish for the use and care of the Easement Area;and (e) To, at its own cost and expense, comply promptly and conform with all present and future laws, ordinances, rules, requirements and regulations of the federal, state, county and city governments and any and all governmental authorities or agencies affecting the Easement Area or its use, and to, at its own cost and expense, make all alterations or changes to the Easement Area,or any portion thereof,as may be required by any governmental authority or agency. (f) To restore any pavement, landscaped or grassed areas within the Easement Area which Arden disturbs during any construction, maintenance and repair and through the exercise of any other rights granted herein. Any other paved area shall be restored to its original condition. Wooded and grassed areas which were cleared,and barren areas, shall be seeded and mulched in accordance with applicable governmental requirements. (g) To use the easements granted herein in such a manner so as to not unreasonably interfere with the use and enjoyment by CRC of the CRC Property. 23. Waiver. The failure of either party to enforce any provisions of this Agreement and compel strict compliance shall not be construed as a waiver or limitation of that party's right to subsequently enforce and compel strict compliance with every provision of this Agreement. 24. Binding Effect. The provisions of this Agreement shall be binding upon and benefit all parties and the respective legal representatives, successors and assigns of the parties hereto. 25. Subordination. In consideration of the premises and the sum of One Dollar ($1.00), cash in hand paid, receipt of which is hereby acknowledged, the Trustee, as authorized to act by the Lender,as shown by its execution herein,does hereby consent to and subordinate the lien of that certain Deed of Trust dated as of August 31, 2009 and recorded in Deed Book 3793, page 244 in the Clerk's Office of the Circuit Court of Albemarle County, Virginia (the "Deed of Trust")to the easements granted. It is expressly understood that the subordination of the lien of the Deed of Trust upon the other land conveyed thereby and not released hereby or subject to said easements, and the Deed of Trust shall remain in full force as to the land conveyed thereby and not released hereby, subject to said subordination. 26. Cooperation with CRC's Mortgagee. In the event CRC desires to maintain or obtain mortgage financing and CRC mortgagee(s) request modifications or amendments to this Agreement, then Arden, on demand, agrees to execute such reasonable modifications or amendments as may be required by such mortgagee or mortgagees. Notwithstanding the foregoing, Arden shall not be required to execute any modification or amendment to this Agreement which shall modify the provisions of the Agreement and which materially increases Arden's burdens or decreases Arden's benefits hereunder, 27. Joint and Several Liability. If Arden is a business organization the members of which are subject to personal liability as per the execution of this Agreement, the liability of each such member shall be deemed to be joint and several. 28. Liability Limitation. If, in connection with or as a consequence of a sale, transfer or other disposition of CRC's interest in the CRC Property, any party ceases to be an owner of the reversionary interest in the CRC Property, such party shall be entirely freed and relieved from the performance and observance thereafter of all covenants and obligations hereunder on the part of CRC to be performed and observed, it being understood and agreed in such event (and it shall be deemed and construed as a covenant running with the land) that the person or entity succeeding to CRC's ownership of said reversionary interest shall thereupon and thereafter assume, and perform and observe, any and all such covenants and obligations of CRC. 29, Authority. Each of CRC and Arden agrees that if it is executing this Agreement in a capacity other than individually, that the execution and delivery of this Agreement has been duly authorized and the officers or partners who are executing this Agreement have the full power, authority and right to do so, and that such execution is sufficient and legally binding on such party to enable the Agreement to be enforceable in accordance with its terms. 30. Authority to Grant Permission to Enter.
