THIS DECLARATION OF COVENANTS, RESERVATIONS AND
CROSS EASEMENTS is made as of the 24th day of November,2003,by AVEMORE,LLC,a
Virginia limited liability company("Declarant").
Recitals
A. Declarant is the fee simple owner of New Parcel A (containing 20.196
acres) ("Parcel A"), New Parcel B (containing 4.024 acres) ("Parcel B"), and New Parcel C
(containing 2.936 acres) ("Parcel C"), as such Parcels (the "Parcels")are shown on the plat by
WW Associates, dated 12/12/2003, entitled "Resubdivision of the Property of Avemore, LLC,
Albemarle County,Virginia,"a copy of which is attached hereto and incorporated herein by this
reference(the"Plat").
B. Declarant intends to convey Parcel A to Avemore Apartments, L.P., a
Virginia limited liability company, which will develop Parcel A and construct thereon 280
residential units,more or less. Declarant intends to retain ownership of Parcel B and Parcel C for
future development.
C. Declarant desires and intends hereby to establish certain easements,
restrictions and agreements,as set forth below,affecting Parcel A for the benefit of Parcel B and
Parcel C.

Agreement
NOW THEREFORE, Declarant hereby declares that each of Parcel A,Parcel B
and Parcel C shall be held,transferred,sold, conveyed, leased, donated, devised, inherited and
occupied subject to the covenants, restrictions, easements, conditions, reservations, liens and
charges hereinafter set forth,and to any valid amendments or supplements hereto.
Section 1. Access Easements.
For the benefit of the owner or owners of Parcel B and Parcel C,and their tenants,
subtenants,employees,licensees,customers and invitees,Declarant hereby declares that the areas
on Parcel A designated on the Plat as"New Private Road Access Easement`Avemore Lane',"as
"New 20' AE`Calvary Circle"'and as"New 24'AE`Calvary Circle"(collectively,the"Access
FAgments")are hereby dedicated as and subjected to nonexclusive private access easements for
pedestrian and vehicular ingress to and egress from Parcel B,Parcel C and Fontana Drive.
Section 2. Easement for Use of Detention Pond and Drainage Easements.
The owner of Parcel A will construct within the area of Parcel A shown on the
Plat as"Area Within Drainage Esmt Reserved For Retention Pond"a storm water detention pond
(the "Detention Pond"), which shall be designed to accommodate storm water run-off from
Parcel A, Parcel B and Parcel C. To the extent that the County of Albemarle Department of
Engineering approves the use of the Detention Pond for storm water run-off from Parcel B and
Parcel C, the owners of Parcel B and Parcel C shall have a perpetual,non-exclusive easement
over Parcel A to direct storm water run-off over and through the areas shown on the Plat as"New
Public Drainage Esmt"and"DE,"together with a perpetual,non-exclusive easement to deposit

storm water within the confines of the Detention Pond (collectively, the "Storm Water
Easements").
Section 3. Maintenance, Repair and Reconstruction of Roads,Detention Pond and Drainage
Easements.
(a) The paved roads,curb and gutter located within the Access Easements,as
well as the facilities located within the Storm Water Easements (collectively, the "Common
Facilities")are privately owned and require private maintenance. The roads shall be maintained
by the owner of Parcel A at all times in a safe and passable state of repair,free of debris,snow
and standing water.
(b) Commencing on the date on which a certificate of occupancy is first issued
with respect to any improvements located on either Parcel B or Parcel C,the owner of Parcel B
or Parcel C, as the case may be, on which the completed improvements are located (the
"Participating Parcel(s)")shall pay to the owner of Parcel A a one-time Facilities Activation Fee
in the amount of Five Hundred Dollars ($500.00), and a monthly Facilities Use Fee in the
amount of Two Dollars($2.00),for each residential unit for which a final or temporary certificate
of occupancy has been issued by the County of Albemarle. If any commercial space is developed
on either Parcel B or Parcel C,the owner of such commercial space shall pay to the owner of
Parcel A a one-time Facilities Activation Fee in the amount of Five Hundred Dollars($500.00),
and a monthly Facilities Use Fee in the amount of Two Dollars ($2.00), for every 400 gross
square feet of commercial space for which a final or temporary certificate of occupancy has been
issued by the County of Albemarle. The per unit Facilities Activation Fee and the first month's
Facilities Use Fee shall be paid within thirty (30) days of the issuance of the certificate of
occupancy for the affected unit(s). Any units for which certificates of occupancy are issued after

the first day of the month shall be charged a pro rated Facilities Use Fee for the first month. The
Facilities Activation Fee and the Facilities Use Fee shall each be adjusted annually as provided in
Section 8.
(c) If the owner of a Participating Parcel believes that the owner of Parcel A is
failing to adequately maintain the Common Facilities and is unresponsive to requests for
corrective measures,the owners of the Participating Parcels and the owner of Parcel A shall each
designate one licensed,independent real estate broker routinely engaged in leasing commercial
properties in the Charlottesville, Virginia,market(each, a"Broker") and shall notify the other
owners of such designated Broker. If any owner of a Participating Parcel fails to designate a
Broker within twenty(20)days of the date of written notice from the other owner(s)concerning
the selection of such owner's Broker, such owner shall be deemed to have waived his right to
appoint a Broker. If only one owner of a Participating Parcel designates a Broker, or if the
owners of all Participating Parcels designate the same Broker,such Broker shall act alone. If two
Brokers have been designated,those two Brokers shall designate a third Broker. The owners of
the Participating Parcels shall submit their respective proposals for the repair, maintenance,
upkeep and replacement of the Common Facilities which each such owner considers necessary to
maintain the value of their respective properties,and the proposal identified by a majority of the
Brokers(or by the sole Broker, as the case may be)as the best of the submitted proposals for
purposes of maintaining the value of all of the Participating Parcels shall be conclusively deemed
to have been agreed upon by the owner of Parcel A (the "Approved Work"). If the owner of
Parcel A does not commence the Approved Work within thirty(30)days of the date on which the
Approved Work was approved by the Brokers,the Approved Work may be performed by any

owner of a Participating Parcel,and such owner shall have a personal cause of action against the
owner of Parcel A for the cost of the Approved Work, together with interest (at the then
prevailing Wall Street Journal prime rate of interest),costs,and reasonable attorney's fees.
Section 4. Recreational Facilities.
(a) The developer of Parcel A plans to construct on Parcel A a clubhouse,
swimming pool and associated facilities(collectively,the"Recreational Facilities")for the use of
the residents living in residential units located on Parcel A. The owners of Parcel B and Parcel C
shall have the option to purchase,for the occupants of the residential units to be built on Parcel B
and/or Parcel C,the right to use the Recreational Facilities in common with the occupants of the
residential units located on Parcel A, subject to the rules and regulations governing use of the
Recreational Facilities adopted from time to time by the owner of Parcel A. Such right shall be
exercised by delivery of a Notice of Election to the Owner of Parcel A,together with a one-time
Recreational Facilities Activation Fee in the amount of$1,500 for each residential unit shown on
the approved final site plan for Parcel B or Parcel C,as the case may be. The owners of Parcel B
and Parcel C,respectively,shall have the right to exercise such right prior to the date on which
the first certificate of occupancy is issued by the County of Albemarle with respect to any
improvement located on Parcel B or Parcel C, as the case may be. For example, if the final
approved site plan for Parcel B reflects thirty (30) residential units and the owner of Parcel B
timely delivers its Notice of Election,it would pay to the owner of Parcel A a one-time activation
fee in the amount of$45,000 on or before the first certificate of occupancy is issued. The per
unit Recreational Facilities Activation Fee shall be adjusted annually as provided in Section 8.

(b) Once the owner of Parcel B or Parcel C,as the case may be,has filed its
Notice of Election and paid the Recreational Facilities Activation Fee,the owner of Parcel B or
C,as the case may be, shall pay to the Owner of Parcel A the Recreational Facilities Use Fee
(hereafter described) for all residential units located on such Parcel for which certificates of
occupancy have been issued, regardless of whether or not all of such units are then occupied.
The Recreational Facilities Use Fee shall be in the amount of Ten Dollars($10.00)per month per
residential unit,which amount shall be adjusted annually as provided in Section 8
Section 5. Default Provisions;Non-Payment of Fees;Liens;Remedies.
(a) There shall be a continuing lien upon each of Parcel B and Parcel C to
secure the payment to the owner of Parcel A of the Facilities Activation Fee,Facilities Use Fee,
Recreational Facilities Activation Fee (if any) and Recreational Facilities Use Fee (if any)
(collectively,the"Obligations"), but such liens shall be inferior to any first or second deeds of
trust placed on the Parcel prior to the time notice of such lien shall have been recorded. If a
Parcel Owner's Obligations have not paid by an owner when due,a notice of such nonpayment
may be recorded by the owner of Parcel A in the Office of the Clerk of the Circuit Court of the
County of Albemarle, Virginia. From the time of the recordation of such notice, the amount
stated in such notice,together with interest(at the then prevailing Wall Street Journal prime rate
of interest), costs, and reasonable attorney's fees, shall become a lien upon the defaulting
owner's Parcel which shall be prior to any first or second lien deed of trust which is subsequently
recorded, and prior to the lien of any prior recorded credit line deed of trust to the extent of
subsequently advanced funds.

(b) If any of the fees described in Section 3 or 4 are not paid within thirty(30)
days after the due date,the owner of Parcel A may bring an action at law against the defaulting
owner and there shall be added to the past due amount a reasonable attomey's fee, costs and
interest at the then prevailing Wall Street Journal prime rate of interest plus two percent from the
due date to the date of judgment.
Section 6. Temporary Construction Easements.
For the benefit of the owner or owners of Parcel A, Parcel B and Parcel C,
Declarant hereby declares that the areas on each Parcel that are adjacent to any one or more of the
other Parcels and which are not then in use by the owner of the affected Parcel are hereby
dedicated as and subjected to nonexclusive private easements and rights of way for construction
purposes (e.g., staging, placement of construction trailers, storage of equipment and materials)
while construction activities are in progress on Parcel A,Parcel B or Parcel C,as the case may
be. Any owner exercising its rights under this Section shall,immediately upon cessation of use
of the easement area, restore the easement area to the condition in which it existed prior to its
first use by the owner or his contractor,subcontractor,agents or employees for such construction
purposes.
Section 7. Utility Easements.
(a) For the benefit of the owner of Parcel A,Declarant hereby declares that the
areas located on Parcel B and Parcel C that are designated on the Plat as"New Public Water
Esmt"or "WE"are hereby dedicated as and subjected to perpetual and alienable rights of way
and easements to construct,install,maintain,repair,replace,and extend water lines consisting of
pipes and appurtenances thereto.

(b) For the benefit of the owner or owners of Parcel B and Parcel C,Declarant
hereby declares that the areas on Parcel A which are between(i)Parcel B and Parcel C, as the
case may be,and(ii)the new and existing public water,public sanitary sewer,pond access and
public drainage easements shown on the Plat, are hereby dedicated as and subjected to
nonexclusive private easements and rights of way for purposes of allowing the owners of Parcel
B and Parcel C,as the case may to,to connect with and use the public water,public sewer,pond
and public drainage facilities located within such designated easement areas.
Section 8. Cost of Living Escalation.
The Facilities Activation Fee, the Facilities Use Fee, the Recreational Facilities
Activation Fee and the Recreational Facilities Use Fee shall each be adjusted annually,
commencing on the January 1,2005,by the percentage increase in the United States Department
of Labor,Bureau of Labor Statistics,Consumer Price Index for All Urban Consumers(all items,
U.S.City Average, 1982-1984= 100)(the"Index")from the later of January 1,2004 or the date
when the fee was last adjusted pursuant to this Section through the month immediately prior to
the month in which the applicable adjustment occurs. The base fees shall not be reduced by
reason of such computation.
Section 9. Indemnification.
Notwithstanding any other provision hereof, any owner who by its construction
activities or by its negligent or willful act or omission (or that of its agents, employees,
contractors or tenants)causes damage to the Common Facilities,to the Recreational Facilities or
to another Parcel shall bear the entire cost of the necessary repairs and shall indemnify and hold
the other owner harmless from all costs or damages therefrom.

Section 10. Covenants Running with the Land.
The easements dedicated and created hereby and the provisions hereof shall run
with the land and shall be binding upon and inure to the benefit of the owners of Parcel A,Parcel
B and Parcel C, and their respective successors, assigns, tenants, subtenants, employees,
licensees, customers and invitees. All pronouns shall be construed to be of such number and
gender as the context may require.
Section 11. Amendments.
No provision of this Declaration may be terminated or amended except by written
instrument executed by the owners of Parcel A,Parcel B and Parcel C.
