Obligations of PS. PS will professionally operate and manage CMTY's salon & spa, assuming control and execution over the following functions and activities: (a) Employment of Professionals. PS will source, background -verify, hire, manage, and train (both initially and ongoing) the licensed W-2 employees ("PS Pros") who will staff CMTY's salon & spa. (b) Licensing. PS will apply for, secure and maintain all of the cosmetology, business, sales tax or other as -mandated -by -statute licensing required to operate a salon & spa within CMTY's zoning, building and senior living environment, subject to local ordinances which govern the use of CMTY's salon & spa space. (c) Pricing. PS will develop, maintain and publish a Menu of Services and, where applicable, a Take Home (retail product) menu reflecting the price of services and products offered. Initial service pricing will remain in place for the first 12 months of operation. Future annual price changes will be submitted to CMTY for approval at least 30 days prior to publishing and activation. (d) Operating Schedule. PS will procure all of the professional Paul Mitchell, PS Pro, IBD and OPI (or equivalent, high quality) products and supplies used in the salon & spa operation. (f) Cleaning. PS will clean the salon and spa after each day of operation, ensuring all hygiene, sanitation or other requirements are achieved in accordance with the state's Board of Cosmetology. (g) Manager Visits. The local PS District Leader (or other leadership-credentialed representative) will visit and inspect CMTY's salon & spa at regular intervals and at a minimum of every 6 weeks. (h) Data Capture. PS will record and retain all of the service and (where applicable) product sale information (including date, service or product provided, customer name and customer signature) within the PS -proprietary data collection, reporting and payment platform, (i) Data Sharing. PS will host a dedicated website for CMTY, accessible only to CMTY via a secure userid and password authentication process, whereby CMTY can review and audit all of the service and (where applicable, product) sales information generated by PS. PS shall also generate and deliver via email reports of the same data to recipients as determined by CMTY. (j) PS DESIGN & PROCUREMENT. PS will make available to CMTY (or to any of Its designated architects, designers, construction managers or other parties responsiblefor projects related to salon & spa improvements) the professionals at PS Design & Procurement ("D&P") for their expert salon design, consulting and planning concepts, and their access to price -competitive relationships with professional salon & spa industry equipment manufacturers. 2. Obligations of CMTY. (a) Information Delivery. CMTY will provide PS with the following information to assist in the preparation of operating of CMTY's salon & spa: i. Current Menu of Services or other lists of service pricing Copies of any state board of cosmetology licensing or other licensing documentation in CMTY's possession (including possible zoning certification or other information needed for licensure) 55 Public Square, Suite 1180. Physical street / mailing addresses of each salon location, including floor number or other appropriate location reference iv. Where applicable, documented evidence that CMTY, as operator of a community owned by a third party, has owner's certified permission to engage PS as an operator of CMTY's salon & spa (b) Community Contact information. CMTY will provide PS with a Community Contacts schedule (see Schedule A) and inform the PS District Manager via email whenever this information changes. (c) Physical Salon & Spa Space. CMTY shall retain care, custody and control of the location and premises in which the salon & spa is located. CMTY agrees to address and satisfy any issues within the physical salon & spa space which might impact the delivery of service, the safety of residents or operators, or the ability to license the space, including (but not exclusive): any repairs, maintenance or other issues related to the salon equipment, paint, wall coverings, floors, electrical outlets, light fixtures, sinks, and plumbing. (d) Use of and Access to the Salon & Spa. As PS is required to hold and maintain all licensing and liability insurances governing the professional operation of the salon & spa and all of its contents, CMTY agrees that no other company, privately hired individual, resident, associate, family member or any other such person will be granted access to CMTY's salon & spa, including the use of PS's equipment or supplies anywhere else within CMTY's communities, without written consent from PS after reasonable disclosure and notice is made to PS. (e) Resident Transportation and Transfers. CMTY agrees that it will organize its employees, volunteers or other persons so designated by CMTY to provide residents with transportation assistance to and from CMTY's salon & spa, as well as any transfers of residents from individual mobility aids to any salon & spa equipment. CMTY acknowledges that PS, being a licensed and professional salon & spa operator and not a healthcare -related company, is not able to provide this assistance to residents. (f) Housekeeping and Cleaning. CMTY agrees to deep clean each salon & spa at the time of transition to PS (prior to initial set up and operations), and to deep clean the salon at least once per year. This Agreement may be executed in one or more counterparts, each of which will be deemed an original but all of which together will constitute one and the same instrument. (f) Venue. The parties agree that exclusive venue for any disputes, controversies or litigation arising under this Agreement lies with the Court of VIRGINIA, and the parties agree to and hereby submit to the personal jurisdiction of the Courts of VIRGINIA for all such disputes, controversies and litigation. (g) Waiver. No waiver by any party of any default, misrepresentation, or breach of warranty or covenant hereunder, whether intentional or not, will be deemed to extend to any prior or subsequent default, misrepresentation, or breach of warranty or covenant hereunder or affect in any way any rights arising by virtue of any prior or subsequent occurrence. (h) Severability. Any term or provision of this Agreement that is invalid or unenforceable in any situation in any jurisdiction will not affect the validity or enforceability of the remaining terms and provisions hereof or the validity or enforceability of the offendingterm or provision in any other situation or in any other jurisdiction. (i) Amendment. No amendment of any provision of this Agreement will be valid unless the same will be in writing and be signed by each of the parties. Q) Survival. The obligations of the parties to maintain insurance and provide indemnification shall survive any termination of this Agreement, it being agreed that such rights and obligations are and shall be of a continuing nature and effect. 55 Public Square, Suite 1180. For purposes of this Agreement, the singular includes the plural and vice -versa and the feminine, masculine and neuter include each other. The section headings contained in this Agreement are inserted for convenience only and will not affect in any way the meaning or interpretation of this Agreement.
