Dear Ms. Saternye,
Thank you for your review of the Final Site Plan for HTC Hotel. We have reviewed and revised the plan per
your most recent comments dated December 13, 2019. See below for detailed responses to each of your
comments.
7.(II)(Rev. 3)Comment not fully addressed. Revise the parking calculations on the cover sheet to specify 81
spaces are required.
The parking calculation on the coversheet has been revised to specify 81 hotel units, 81 parking
spaces required and 81 parking spaces provided.
10.a.(I)(Rev. 3) Comment not yet addressed. The date, the only plat submitted is for ACSA utilities and does
not appear to include other required easements. An easement is required for the light, and the electrical
line going to the light, since it is on an adjoining property.
A deed of easement for the adjacent parcel improvements has been recorded. A copy of the
deed of easement has been provided for reference along with the recording receipt. The recorded
deed of easement will be provided when available.
15.c. If there continues to be improvement, and not just easements, shown on the adjoining parcel include
the adjoining property owner in the owner/developer area of the cover sheet.
The adjoining property owner has been included on the cover sheet.
16.(Rev. 3) Comment not fully addressed. See attached comments from the reviewers. ACSA comments
state, "SDP-2017-70 HTC Hotel—Comfort In —Final is currently under review.
The ACSA has provided us with a final comment regarding submission of a Sanitary Sewer
Agreement. A copy of the agreement has been provided for your reference. A hard copy with original
signatures will be provided to ACSA for signature and approval by the ACSA Executive Director.

32.a. Ensure that the site plan matches the proposed easement plats (ACSA and Offsite easements).
The site plan has been revised to include all deed book and page number references for each
easement. We have ensured that the easements match between the site plan and the plat.
32.b. One of the two existing water line easements is not labeled in the existing conditions sheet. Label the
waterline easement that is recorded on DB 2678 PG 405.
The missing waterline easement has been labeled on the existing conditions sheet.
35. Show the existing power line easement recorded at DB 4889 PG 109 in both the existing conditions
sheet and the proposed site plan sheets.
The power line easement, DB 4889 PG 109, has been added to the existing conditions sheet and
the proposed utility plan sheet.
36. Label the existing Building Restriction Area easement recorded at DB 2678 PG 437 in both the existing
conditions sheet and the proposed site plan sheets.
The Building Restriction Area easement has been included on the proposed utility plan sheet as
well as the existing conditions sheet.
37. Revise the "Total Building SF" specified under Proposed Uses on the cover sheet to match the "Total
Building SF" under "Building Height & SF" also on the cover sheet.
The building SF labels have been revised to show a total of 45,094 SF, 14,440 sf on the first floor,
15,327 SF on the second floor and 15,327 on the third floor.

THIS DEED OF EASEMENT,dated September23 L ,2018,by and between HOLLYMEAD
CORNER,LLC,a Virginia limited liability company(hereinafter"Hollymead"),index as Grantor,
and HTC HOTEL,LLC,a Virginia limited liability company(hereinafter"HTC"),index as Grantee.
WITNESSETH :
WHEREAS, Hollymead owns that parcel of land identified as"T.M. 31-41D6"containing
1.92 acres, more or less, (the "Hollymead Parcel") a portion of which is shown on a certain plat
(hereinafter,the"Plat")prepared by Shimp Engineering,P.C.,entitled"HTC HOTEL:ADJACENT
PARCEL IMPROVEMENTS", a copy of which is attached hereto as Exhibit A; and
WHEREAS, HTC owns that parcel of land identified as "T.M. 31-41D5" containing 1.97
acres,more or less, (the"HTC Parcel") a portion of which is shown on the Plat; and
WHEREAS,Hollymead has agreed to grant unto HTC a perpetual easement for parking and
other improvements shown on the Plat(the"Easement Areas"), and an easement for access to and
from the Easement Areas and construction and maintenance thereon; as hereinafter set forth.
NOW THEREFORE, for and in consideration of the premises, and the sum of Ten Dollars
($10.00)cash in hand paid,and other good and valuable consideration,the receipt and sufficiency of
which are hereby acknowledged by Hollymead, Hollymead does grant and convey with special
warranty unto HTC, the following easements:
1. Hollymead hereby grants and conveys unto HTC, its successors and assigns, a
perpetual non-exclusive easement for the parking of vehicles in the Parking Spaces in the Easement
Areas as shown on the Plat. This parking may be used by HTC, its guests, invitees, agents, and
employees, in addition to Hollymead,guests, invitees, agents, and employees,on a first come first
served basis; and
2. Hollymead hereby grants and conveys unto HTC, its successors and assigns, a
perpetual non-exclusive easement within the Easement Areas to install and maintain the other
improvements shown on the Plat on the Hollymead Parcel, attached hereto and marked as"Exhibit
A"including, but not limited to:
a. Waterlines and other water facilities;
b. Sanitary sewer lines and manholes;
c. Sidewalks;
d. Dumpster and Dumpster Pads;
e. Parking Light Fixtures, and
f. Landscaping.

3. Hollymead hereby grants and conveys unto HTC, its successors and assigns, the
perpetual right of access to and from the Easement Areas,by HTC and its guests, invitees, agents,
and employees.
4. Hollymead hereby grants and conveys unto HTC,its successors and assigns,the right
to construct and maintain the improvements shown on the Plat within the Easement Areas.
5. This agreement shall run with the land and be binding on any owner of the Hollymead
Parcel, and shall run with the land and benefit the HTC Parcel.
IN WITNESS WHEREOF,Simon Stapleton,authorized member of Hollymead Corner,LLC,
a Virginia limited liability company, has executed this deed of easement on behalf of the company
and all required duly authorized authority.

This Agreement dated this °7 day of March , 2019, by and between the
ALBEMARLE COUNTY SERVICE AUTHORITY, a public body politic and corporate
("ACSA")and HTC Hotel,LLC ("Owner").
WITNESSTH:
A. The Owner is the owner of that certain parcel of land located in Albemarle County,
Virginia, containing in the aggregate 1.97 acres, and identified on the current tax maps of
Albemarle County,Virginia as Tax Map Parcel 32-41D5 (the"Property").
B. The Owner is developing the Property into a commercial hotel site with 86 units, which is
zoned for Planned Development-Mixed Commercial, which is the subject of a site plan
application identified by Albemarle County as SDP2017-00070(the"Site Plan").
C. The parties hereto desire to memorialize certain agreements prior to the ACSA issuing its
approval for the Site Plan to Albemarle County.
D. The ACSA provides sewer service to the Property through an 8-inch diameter sewer
located west side of U.S. Route 29. The 8-inch diameter sewer was designed to serve a
commercial area. The Hollymead Town Center Area C serving the Property and surrounding
areas was designed for a peak flow of 540,000 gallons per day(gpd), calculated on then existing
zoning for the area to be served.
E. The ACSA is willing to allow the development of the commercial site and connect to the
sewage collection system, provided the Owner contracts with the ACSA to expand or replace the
existing sewage collection system at the Owner's cost, if necessary to meet the Property's
wastewater needs.
AGREEMENT
NOW THEREFORE,for and in consideration of the above premises, and other good and
valuable consideration, the receipt and sufficient of which is hereby acknowledged by the
parties,the parties hereto agree as follows:
1) Prior to commencement of the Project, the Owner shall submit to the ACSA the number
and type of units proposed to be constructed. Within sixty(60)days of the submittal,the
ACSA agrees to issue an advisory memorandum that provides the following information,
including,but not limited to, information concerning other approved site development plans
in place upstream of the Project: (a) the current capacity of the sewage system prior to
development of that phase of the Project; and(b)projections of the capacity of the sewage
system upon completion of that phase of the Project.
2) The ACSA agrees that the Owner may discharge wastewater from the Project's hotel
units to the sewage collection system and receive sewer service until 80% of the capacity of
the sanitary sewer system is reached. The ACSA, in sole discretion, will determine when
80% of the capacity is reached.
3) The ACSA shall have no obligation to provide additional sewer service to the Project
when 80%of the capacity of the sanitary sewer is reached in the sewer serving the specific
property. At the time, additional sewer service may not be available for the Project until such
time as a replacement sewer or expanded sewer is constructed to ACSA specifications, and
the new or expanded sewer is accepted by ACSA under its then existing terms and conditions.
This agreement in no way obligates the ACSA to bear any costs of design and construction of
any necessary improvements for the Project.
4) All customers served by the new sewer shall be customers of the ACSA and shall pay all
then applicable ACSA rates, fees and charges, including,but not limited to, sewer connection
fees and system development fees,except as specifically provided for herein. Further, all
customers served through the Project shall be subject to all applicable ACSA Rules and
Regulations. Nothing in this Agreement is intended to preclude the ACSA from operating
within constraints which are now imposed,or which may be imposed by any governmental
body, agency or authority, without any legal liability to the ACSA. Further, nothing in this
Agreement will obligate the ACSA to provide sewer service to the Project if inadequate
capacity at facilities and sewers downstream from the Project.
5) This Agreement in no way constitutes a vested interest for planning and zoning purposes.
This Agreement in no way affects the ACSA's "first come first served"wastewater allocation
policy. This Agreement does not constitute a vested interested to the Owner for sewer service
to the Project by the ACSA.
6) Any notices required shall be mailed to ACSA and the Owner by certified mail, return
receipt requested,or by express mail to:

If the Owner conveys portions of the Property to others, who in turn will develop
residential units on the Property,the Owner shall designate,in writing to the ACSA,one person
to receive notice hereunder during the term of this Agreement.
7) This Agreement contains the entire understanding of the parties hereto with respect to the
subject matter contained herein. There are no restrictions,promises, warranties,covenants or
undertakings other than those expressly set forth herein. This Agreement supersedes all prior
agreements between the Owner and the ACSA with respect to the subject matter hereof. This
Agreement may not be amended except by a writing executed by all parties hereto.
8) No waiver of any default by the Owner or the ACSA with respect to this Agreement shall
act as a waiver of any subsequent default.
9) This Agreement and the terms set out herein shall run with the land and shall inure to the
benefit of and be binding upon the heirs,executors,administrators, successors and assigns of
the ACSA and the Owner.
10) Venue for the purposed of resolving any legal dispute shall be the Circuit Court of the
County of Albemarle, Virginia. This Agreement shall be interpreted under the laws of the
Commonwealth of Virginia.
