presents do hereby make, constitute and appoint RALPH E. MAIN, JR., with offices at
415 Fourth Street, N.E., Charlottesville, Virginia 22902, my true and lawful attorney-in-
fact (hereinafter referred to as "my attorney"), who is hereby authorized for me and in my
name to do the following acts:
1. To act for and on my behalf with respect to all matters relating to the
sale and conveyance of the below described real property to Mark MacDonald, or
assigns. The property is located in Albemarle County, Virginia and contains 15.221 acres,
more or less, and consists of Albemarle County Virginia Tax Map Parcels 05600-00-00-
03000, 05600-00-00-03100, and 05600-00-00-032B0 (hereinafter the"Property").
2. To execute, acknowledge, and deliver any deed, note, deed, affidavit,
settlement statement, 1099-S real estate transaction form or any other document that may,
in the opinion of my attorney, be necessary or desirable in connection with the sale of the
Property. Specifically, and not by way of limitation, my attorney is authorized to sign on
my behalf any plat or plats execution of which is or may be required by the County of

Albemarle necessary for the description of the Property, the conveyance thereof, or for
any other lawful purpose.
3. To execute and perform any other act or thing that is necessary, or in
the opinion of my attorney, ought to be done in connection with the sale of the Property.
This Power of Attorney shall not terminate in the event of my disability. I
hereby confirm all lawful acts that may be taken by my attorney pursuant to this Power of
Attorney. An affidavit executed by my attorney, setting forth that he has not, or had not,
at the time of doing any act pursuant to this Power of Attorney, had actual knowledge or
had received actual notice of the revocation or termination of this Power of Attorney by
death, disability, or otherwise, or notice of any facts indicating the same, shall, in the
absence of fraud, be conclusive proof of the non-revocation or non-termination of this
Power of Attorney at such time, except as specifically set forth below. I further declare
that, as against me or persons claiming under me, everything that my attorney shall do
pursuant to the Power of Attorney shall be valid and binding in favor of any person or
entity claiming the benefit hereof until there has been recorded in the Clerk's Office of
the Circuit Court of Albemarle County, Virginia, a written notice of revocation executed
by me.
