Jamison, recorded in the Clerk's Office on August 24, 2007, in Deed Book 3479, page 649, Second Grantees are the fee simple owners of that certain real property consisting of 10.042 acres, more or less, and more commonly known as Albemarle County Tax Map Parcel 07200-00-00-036C0 (the "Jamison Property"); WHEREAS, the parties have caused the above-described parcels to be surveyed and platted by Roudabush, Gale & Associates, Inc., as evidenced by that certain survey entitled "BOUNDARY LINE ADJUSTMENT AND CONSOLIDATION PLAT WYANT LANE TAX MAP 72 PARCELS 36C, 36C1 & 36C5 SAMUEL MILLER MAGISTERIAL DISTRICT COUNTY OF ALBEMARLE, VIRGINIA," dated July 31, 2019 (the "Plat"), which Plat is attached hereto as Exhibit A and incorporated herein by this reference; and WHEREAS, the parties hereto desire to reconfigure the boundary lines of the Errecart Property, the Schoeb Property, and the Jamison Property as hereinafter set forth. NOW, THEREFORE, for and in consideration of the sum of ONE HUNDRED TEN THOUSAND AND NO/100 DOLLARS ($110,000.00) cash in hand paid by the First Grantees to the Grantor and other good and valuable consideration, the receipt and sufficiency of which 2 ' 201900013149.005 are hereby acknowledged, Grantor hereby GRANTS, BARGAINS, SELLS, AND CONVEYS with SPECIAL WARRANTY unto First Grantees all of Grantor's right, title and interest in and to that certain real property consisting of 2.744 acres, more or less, and shown as "Parcel A" on the Plat, said Parcel A to be combined with and to become a part of the Schoeb Property. NOW, THEREFORE, as a gift and for no other consideration, Grantor hereby GRANTS AND CONVEYS with SPECIAL WARRANTY unto Second Grantees all of Grantor's right, title and interest in and to that certain real property consisting of 2.745 acres, more or less, and shown as "Parcel B" on the Plat, said Parcel B to be combined with and to become a part of the Jamison Property. Accordingly, and in conjunction with the aforesaid conveyance, the Plat and the courses, distances, adjustments and easements shown thereon, are hereby confirmed and submitted for record in the Clerk's Office by each of Grantor, First Grantees, and Second Grantees. Grantor and First Grantees hereby VACATE that certain boundary line between the Schoeb Property and Parcel A, shown on the Plat as being vacated, and confirm the new boundary lines as shown on the Plat. As a result of the conveyance made herein, the Schoeb Property, as adjusted, shall consist of 35.099 acres, more or less, all as more specifically shown on the Plat. Grantor and Second Grantees hereby VACATE that certain boundary line between the Jamison Property and Parcel B, shown on the Plat as being vacated, and confirm the new boundary lines as shown on the Plat. As a result of the conveyance made herein, the Jamison Property, as adjusted, shall consist of 12.787 acres, more or less, all as more specifically shown on the Plat. First Grantees and Second Grantees, for themselves and their successors in title, each 3 • 201900013149.006 agree never to build any improvements on their respective portions of the Errecart Property which improvements in any way constitute a permanent or temporary residence or dwelling. This agreement shall run with the land and shall be binding on the heirs, personal representatives, successors, and assigns of the First Grantees and Second Grantees. Full power, right and authority is granted unto the First Grantees, or their successors in trust, by the above-described Trust to sell, lease, exchange, encumber, and/or convey the said Schoeb Property, either in whole or in part, upon such terms and conditions and for such consideration, or no consideration, as First Grantees may in the discretion of First Grantees deem advantageous, with the further right to subdivide and re-subdivide said Schoeb Property and to dedicate such portions thereof for public use as First Grantees shall deem desirable, together with the right to grant licenses and easements for utility or other purposes across, over and under said Schoeb Property, and First Grantees are hereby empowered to execute, acknowledge and deliver such deeds, deeds of trust, leases, and other instruments necessary to carry out the foregoing powers, and there shall be no obligation or liability upon any purchaser or purchasers, lessee or lessees of said Schoeb Property, or any part thereof, or upon any party or parties making any loans secured by deed or deeds of trust upon said property, or any part thereof, to see to the proper application of the proceeds of such sale, lease or loan. Every deed, deed of trust, lease or other instrument executed by First Grantees, or their successors in trust, on behalf of the Trust and in relation to the Property shall be conclusive evidence in favor of every person claiming any right, title, or interest thereunder that: (i) at the time of the delivery of such instrument the Trust was in full force and effect; (ii) that such instrument was executed in accordance with the terms and conditions of the Trust, as the same may be amended from time to time, and is binding upon all beneficiaries under said Trust; and 4 201900013149.007 (iii) if such instrument is executed by successor(s) in trust to First Grantees, that such successor(s) in trust has been properly appointed and are fully vested with all the title, estate, rights, powers, duties and obligations of First Grantees, provided such successor(s) in trust certifies in said instrument that such successor(s) has been properly appointed. These conveyances are made subject to any easements, reservations, restrictions and conditions contained in duly recorded deeds, plats, and other instruments constituting constructive notice in the chain of title to any of the Errecart Property, the Schoeb Property, or the Jamison Property which have not expired by a time limitation contained therein or have not otherwise become ineffective.
