THIS DEED dated the 15`h day of November; 2016, by and between SSO, LLC, a
Virginia limited liability company, indexed and hereinafter defined as "Grantor", and
STCVILLE HOTEL. INC., a Virginia corporation, indexed and hereinafter defined as
"Grantee", whose address is 1005 Bullard Court, Suite 101,, Raleigh, North Carolina
27615;
WITNESSETH:
FOR AND IN CONSIDERATION of the exchange of like -kind property between
SSQ, LLC, a Virginia limited liability company, and Investment Property Exchange
Services, Inc., a California corporation ("Qualified Intermediary"), pursuant to the terms
of a certain unrecorded Exchange Agreement dated November.14, 2016, in a transaction
qualifying under Section 1031 of the Internal Revenue Code of 1986, and at the direction
of said Qualified Intermediary, the Grantor does hereby GRANT, BARGAIN,
EXCHANGE, and CONVEY with GENERAL WARRANTY . and ENGLISH

COVENANTS OF TITLE unto STCVILLE HOTEL, INC., a Virginia corporation, the
following described real property (the "Property"):
All that certain tract or parcel of land, with the improvements thereon and
the appurtenances thereto belonging, situated on the east side of U.S. Route
29, North of Charlottesville, in Albemarle County, Virginia, fronting 195.20
feet, more or less, on said U.S. Route 29, North, containing 3.703 acres,
more or less, shown as Tract No. 3 on a Plat made by Frank A. Gregg,
C.L.S., dated July 1, 1998, recorded in the Clerk's Office of the Circuit
Court of Albemarle County, Virginia, in Deed Book 1002, page 479; and
BEING the real property conveyed to SSQ, LLC, a Virginia limited liability
company, by deed dated January 25, 2008, from Robert D. Brugh, of record
in the Office of the Clerk of the Circuit Court for Albemarle County,
Virginia, in Deed Book 3551, page 164-166.
TOGETHER WITH those certain easements recorded in said Clerk's Office
("Easements"): (i) those certain 20' drainage easement conveyed by Deed
of Easement dated September 12, 1991, recorded in said Clerk's Office
Deed Book 1181, page 532, labeled. as "A", "B", and "C" on the plat
attached thereto; (ii) that certain 30' access easement, 20' sanitary sewer
easement, and 15' drainage easements conveyed Deed of Easement dated
May 30, 1991, recorded in said Clerk's Office, Deed Book 1182, page 63,
as specifically described therein; and (iii) Deed of Easement dated January
22, 2002, recorded in said Clerk's Office, Deed Book 2152, page 140,
labeled as "Proposed 20' Storm Drainage Ease." on the plat attached
thereto.
The Easements are shown on that certain boundary survey titled "Boundary
Survey Tax Map 61Z-03 Parcel 2, Rio District, Albemarle County, VA",
prepared by Dominion Engineering, dated July 1, 2016 (the "Boundary
Survey"). The Grantor does hereby GRANT, BARGAIN, EXCHANGE,
CONVEY and QUITCLAIM, the property as shown on the Boundary
Survey, with no warranty, express or implied. Grantor attaches the
Boundary Survey to this instrument solely as a convenience to Grantee and
makes no representations or warranties as to the dimensions of the Property
or the boundaries of the Easements as shown on the Boundary Survey.
Grantor herein warrants and covenants that Grantor will not buy, sell, lease,
or otherwise make available any land either now controlled by Grantor or
acquired subsequent to the date of this deed, within two (2) miles of the
Property for use as a motel/hotel or lodging facility for a period of five (5)
years from the date of the opening of the Grantee's hotel facility to be
constructed on the Property. This covenant shall be binding upon Grantor,
its successors, assigns, or beneficiaries, and shall run with the land.

This conveyance is subject to easements, conditions, restrictions and reservations
contained in duly recorded deeds, plats, and other recorded instruments, if any, constituting
constructive notice in the chain of title to the Property, which have not expired by a
limitation of time contained therein or have not otherwise become ineffective, there being
no intent by this deed to reimpose any such easement, condition, restriction or reservation.
