The grantor by the execution of this instrument acknowledges that the plans
for the aforesaid project as they affect its property have been fully explained
to its authorized representative.
The said grantor covenants that it is seized of the land in fee simple
herein conveyed; that it has the right to convey the said land to the grantee;
that it has done no act to encumber the said land; that the grantee shall have
quiet possession of the land, free from all encumbrances, and that it will
execute such further assurances of the said land as may be requisite.
The said grantor covenants and agrees for itself, it successors and assigns,
that the consideration hereinabove mentioned and paid to it shall be in lieu of
any and all claims to compensation for land, and for damages, if any, to the
remaining lands of the grantor which may result by reason of the use to which
the grantee will put the land to be conveyed, including such drainage facilities
as may be necessary.

DEED OF EXCHANGE
This DEED OF EXCHANGE is dated the i.l#1, day of May 2016, by the
COMMONWEALTH OF VIRGINIA, DEPARTMENT OF CONSERVATION AND
RECREATION, "Grantor", and SOUTHWOOD CHARLOTTESVILLE, LLC, a Virginia
limited liability company, "Grantee".
WITNESSETH:
THAT FOR AND IN CONSIDERATION of the exchange of certain property between
the parties of even date herewith, together with the release of restrictions upon the below-
described property as well as other good and valuable consideration, the receipt and sufficiency
of which are acknowledged hereby, Grantor does hereby grant, bargain, exchange and convey,
with SPECIAL WARRANTY,to the Grantee,the following described property (the"Property"):
ALL that certain lot or parcel of land, together with any improvements thereon
and all appurtenances thereunto appertaining, situate, lying, and being in the
Scottsville Magisterial District, Albemarle County, Virginia, containing 23.333
acres according to survey, be the same ever so much more or less, and more
particularly described on that certain plat of survey made by Roudabush, Gale &
Associates, Inc., dated June 24, 2015, last revised July 22, 2015, entitled "PLAT
SHOWING A BOUNDARY LINE ADJUSTMENT OF PARCEL 'X,' 21.954
AC. A PORTION OF PARCEL 5 OF TAX MAP 90 ADDED TO PARCEL 1 E
OF TAX MAP 90 LOCATED ON STATE ROUTE 631, OLD LYNCHBURG
ROAD BISCUIT RUN STATE PARK, SCOTTSVILLE MAGIESTERIAL
DISTRCIT, ALBEMARLE COUNTY, VIRGINIA", a copy of which is attached
hereto. Reference to said plat is hereby made for a more particular description of
the property herein conveyed.
BEING a portion of the same property conveyed to the Commonwealth of
Virginia, Department of Conservation and Recreation, by Deed of Bargain and
Sale dated December 28, 2009, of record in Deed Book 3835, Pages 706-713, in
the Office of the Circuit Court Clerk of Albemarle County(the "Source Deed").
The Property is conveyed in its "AS IS" condition,without warranty or representation as
to its acreage, boundary lines, condition, value or permitted use, and without any warranty or
representation with regard to the presence of any toxic or ha7 dous substances or materials of
any nature (including but not limited to petroleum, lead, radon, asbestos or asbestos-containing
materials).
This conveyance is made expressly subject to (i) any and all rights, privileges, covenants,
easements, conditions, restrictions and agreements as are of record, insofar as they may be
lawfully applicable to the Property, (ii) any unrecorded utility easements, including any relocated
easements for utilities and any relocated utility lines and related facilities, on, under or across the
Property, and (iii) any and all prior grants, conveyances and/or reservations of the coal, oil, gas,
including coal methane gas, stone, sand, minerals, and/or other subsurface rights or interests, as
are of record, insofar as they may be lawfully applicable to the Property;and,to the extent of any
such prior grants, conveyances and/or reservations of coal, oil, gas, including coal methane gas,
stone, sand, minerals and/or other subsurface rights and interests therein, the same are excluded
from this conveyance. By Amended Order of the Circuit Court of Albemarle County, entered
March 29, 2016, and recorded April 4, 2016, in the Clerk's Office of said Court in Deed Book
4742, Page 183,the Conservation Restrictions contained in the Source Deed were released.
This transaction has been approved by the Governor of Virginia, acting through the
Secretary of Administration, pursuant to Virginia Code § 10.1-109, and other applicable law, as
evidenced by the following or attached approval,which is incorporated herein by reference.
