DEED OF VACATION OF PORTIONS OF SUBDIVISION PLATS
THIS DEED OF VACATION is made as of this 15 day of i7, , 2005, by and
between the COUNTY OF ALBEMARLE, VIRGINIA (the "County," and Grantor for indexing
purposes) and SHEOU -JONG CHIANG and LI YUN CHIANG, whose address is 110
Commonwealth Circle, Charlottesville, Virginia 22901 (together, "Chiang," and Grantee for indexing
purposes).
WITNESSETH:
R -1. Chiang owns certain property in Albemarle County, Virginia, commonly known as
Albemarle County TMP 061W0 -01 -0A -00400 (the "Property"), which is depicted on a drawing by
McKee Carson entitled "Pet Supplies Plus Fasement Plan" dated April 18, 2005 and attached as
Exhibit A hereto (the "Exhibit ").
R-2. A 20' drainage easement crosses the northern portion of Property and is shown on
plats of record in the Clerk's Office of the Circuit Court of Albemarle County, Virginia, in Deed Book
403, page 315, Deed Book 423, page 347, Deed Book 524, page 590, Deed Book 1548, page 39, and
Deed Book 1667, page 110.
R -3. Chiang desires to vacate the portion of the said 20' drainage easement that crosses the
Property, which portion is more particularly depicted on the Exhibit as "Existing 20' Drainage
Easement To Be Abandoned. ".
R -4. Chiang further desires to vacate and relocate a portion of an existing 20' drainage
easement that runs through the center of the Property parallel to Greenbrier Drive, which
easement is depicted on a plat recorded in said Clerk's Office in Deed Book 1548, page 39, and
shown on the Exhibit as "Existing 20' Easement to be Vacated and Relocated ", to the location
shown on the Exhibit as "Proposed 43' Drainage Easement." The Proposed 43' Drainage
Easement shall be established and dedicated to public use on the site plan entitled "Pet Supplies
Plus Albemarle County, Virginia Final Site Development Plan," prepared by McKee Carson,
Consulting Engineers, Landscape Architects and Land Planners, dated December 23, 2004 and
last revised 5 ! 8 / o .
R -5. Chiang and the County agree that, after due investigation and with the
establishment of the Proposed 43' Drainage Easement, the vacation of the two 20 -foot easements
described herein (hereinafter, the "two 20 -foot easements ") will not impede or alter drainage
across any lot except that parcel identified in the Albemarle County tax records as Tax Map and
Parcel Number 061W0-01-0A-005A0, owned by Chaxu, Inc., a Virginia corporation, to which
drainage is merely altered at the point at which it exits that parcel.
R -6. Chaxu, Inc. consents to the vacation of the two 20 -foot easements described
herein.
NOW, THEREFORE, for and in consideration of TEN DOLLARS ($10.00) cash in hand
paid, and for other good and valuable consideration, the receipt and sufficiency of which is hereby
acknowledged, Chiang and the County do hereby take the following actions:
1. Vacation of Two 20 -Foot Easements. The parties agree that the two 20 -foot
easements may be vacated and the County does hereby VACATE and RELEASE all of its right, title
and interest in and to the two 20 -foot easements depicted on the Exhibit as "Existing 20' Drainage
Easement to be Abandoned" and "Existing 20' Drainage Easement to be Relocated," so that title to the
said vacated easements is henceforth solely vested in Chiang without claim of the County.
2. Joinder of County. The County hereby joins in this Deed on behalf of its
governing body, and the signature of the County's subdivision agent, which is authorized by Albemarle
County Code § 14- 240(G), evidences the County's consent to the vacation of the two 20 -foot
easements.
3. Joinder of Chaxu, Inc. Chaxu, Inc. hereby joins in this Deed as the owner of the only
lot immediately adjoining or contiguous to the two 20 -foot easements being vacated, and by its
signature evidences its consent hereto. Chiang shall reimburse, indemnify and/or hold Chaxu harmless
for any claim, cost or expense incurred by Chaxu as a result of the vacation and relocation herein
4. Survival Except as specifically vacated herein, the force and effect of the
easements, covenants, conditions and restrictions contained in prior plats and other duly recorded
instruments in the chain of title to the Property, including the instruments referenced in R-2 and R-4
above, shall be unchanged by this instrument and remain in full force and effect.
5. Counterparts. This Deed may be executed in counterparts, each of which shall
constitute an original and all of which taken together shall constitute a fully executed instrument.

2 S ■
1. Right to construct, reconstruct, install, maintain, repair, change, alter and replace the
Improvements. The County shall have the right to construct and install Improvements
(consisting of all stormwater management facilities, ditches, pipes and other improvements and
appurtenances within the Easement established for the purpose of conveying stormwater) in the
future it deems necessary and appropriate. The County also shall have the right to reconstruct,
install, maintain, repair, change, alter, and replace existing and future Improvements (hereinafter
collectively referred to as "inspecting, maintaining and operating" or derivations thereof) for the
purposes of collecting stormwater and transmitting it through and across the Parcel, protecting
property from flooding, protecting water quality, and otherwise controlling stormwater runoff.
2. Ownership of the Improvements. All Improvements within the Easement, whether they
were constructed or installed by the Owners, the County, or any predecessor in interest, shall be
and remain the property of the County.
3. Right of ingress and egress. The County shall have the right and easement of ingress and
egress over any lands of the Owners adjacent to the Easement between any public or private
roads and the Easement, to inspect, maintain and operate the Improvements.
4. Right to inspect, maintain and operate the Improvements. The County may enter the
Easement to inspect, maintain and operate the Improvements.
5. Right of County to disturb and maintain the Easement premises. The County shall have
the right within the Easement to trim, cut or remove any trees, brush or shrubbery, remove
fences, structures or other obstructions, and take other similar action reasonably necessary to
provide adequate and fully functioning Improvements; provided, however, that the County, at its
own expense, shall restore as nearly as possible, the premises to their original condition. This
restoration shall include the backfilling of trenches, the replacement of fences and shrubbery, the
reseeding or resodding of lawns or pasture areas, and the repair or replacement of structures and
other facilities located outside of the Easement that were damaged or destroyed by the County.
However, the County shall not be required to repair or replace any structures, trees, or other
facilities located within the Easement, but be required only to repair or replace groundcover
within the Easement that was disturbed, damaged or removed as a result of installing or
maintaining any of the Improvements. In addition, the County shall remove from the Easement
all trash and other debris resulting from the installation, maintenance or operation of an
Improvement, and shall restore the surface thereof to its original condition as nearly as
reasonably possible. Notwithstanding the foregoing, the County shall not be required to repair or

replace anything identified in this paragraph if to do so would be inconsistent with the proper
maintenance or operation of the Improvements. In addition, neither the County nor any other
public agency, including the Virginia Department of Transportation shall be responsible for
conducting routine maintenance as described in paragraph 6 except as expressly provided in this
paragraph.
6. Right of Owners to maintain the Easement premises. The Owners shall have the right to
perform routine maintenance of the Easement premises, including the removal of trash and
landscaping debris, mowing and manicuring lawns and groundcovers, and making any other
aesthetic improvements desired by the Owners that are not inconsistent with the rights herein
conveyed, and which do not adversely affect the proper operation of any Improvement. The
right to maintain the Easement premises does not include the right to maintain the
Improvements.
7. Temporary construction easement. The County shall have a temporary construction
easement on the parcel on which the Easement is located in order to inspect, maintain or operate
an Improvement. This temporary construction easement shall expire upon completion of the
work.
8. Exclusivity; restrictions. The Easement conveyed herein is an exclusive easement.
Neither the Owners nor any person acting under the Owners' express or implied consent shall
modify, alter, reconstruct, interfere with, disturb or otherwise change in any way the land within
the Easement or any Improvement located within the Easement; and further provided that such
persons shall not construct or maintain any roadway, or erect any building, fence, retaining wall
or other structure within the Easement.
9. County's right to assign. The County shall have the right to assign this Easement as its
interests may require.
