''ll' This is the entire balance now owned by the Grantor of the tract of 225.24 acres conveyed to her by deed of Mrs. Adelaide R. Jones, trustee, dated March 15, 1927, and recorded in the Clerk's Office of the Circuit Court of said County, in Deed Book 196, page 299. By deed dated May 3, 1939, and of record in Deed Book 243, page 243, page 461, the Grantor made herself and 1 her husband, Raymond D. York, joint tenants of this land with rights of j survivorship, and upon the death of her said husband on February 24, 1951, the Grantor again became the sole owner of this property. As appurtenant to both tracts the Grantor conveys all her right, title and interest, if any there be, in a fencing agreement between the Chesapeake and Ohio Railway Company and Henry N. Carey dated June 9, 1899, ofl record in Deed Book 114, page 243, and as appurtenant to tractB she conveys all, her right title and interest in a drainage easement reserved by herself and husband in a deed dated November 29, 1950, of record in Deed Book 293, page 179, conveying 0.75 acres to Charlottesville Realty Company. The pro- perty hereby conveyed is subject to an easement granted to Virginia Electric and Power Company by deed of the Grantor and her husband dated February 18, 1950, of record in Deed Book 288, page 488. This easement probably affects Tract B only, but possibly may also affect Tract A. For abandonment by the Commonwealth of Virginia of old portion of State Route 250 near the northern boundary of this property reference is made to State Highway Plat Book 1, page 14, and since the Grantor is the sole owner of the land abutting upon said abandoned part of the road no private right of way is deemed to now exist in favor of either tract hereby conveyed over the other tract along said abandoned roadway. Kirtley agrees at his expense to maintain the roadway presently improved and located • within the Access Easements until such time as Christian Aid • develops its property either with structures or a connecting roadway and commences to utilize the Access Easements. There- after, the cost of maintenance of the Access Easement shall be borne jointly by Kirtley and Christian Aid in a.ratio agreed upon by them. In the event that they are unable to agree upon the ratio for division of the maintenance, each shall appoint a licensed civil engineer or certified land surveyor, and the two so appointed shall select a third, and the decision of a ma0ority of the three shall be binding until either party requests a redetermination based upon a change in intensity of use, provided that no such redetermination shall' be made .g more often than annually. Kirtley and Christian Aid shall each bear the expense of the - engineer or surveyor it selects and shall evenly divide the expense of the third. The phrase "cost of maintenance" shall include the annual reimbursement to Woodvale of an amount equal to the pro -rata real estate taxes assessed 1 against Woodvale for that portion of its property on which is located a portion of the Aoceee Easement, which sum Kirtley • 4 and Christian Aid (to the extent it is obligated to participate in the maintenance) do hereby agree to pay to Woodvale on or before January 31 of each year for the proceeding year. 3. Extension of Railroad Siding. Kirtley consents to I the extension of the existing railroad siding across his property to the Christian Aid Property, such extension to be made without expense to Kirtley, and Kirtley hereby GRANTS unto Christian Aid a permanent, non - exclusive easement 24 feet in width for the extension of such railroad siding. } Christian Aid agrees to coordinate with Kirtley the movement of any railroad cars to Christian Aid's Property in order not to interfere with the unloading of cars on the Kirtley Property. 5. Release of Dower. Helen W. Kirtley joins herein for the sole purpose of releasing her inchoate dower interest i in the easements conveyed over the Kirtley Property. ' 6. Subordination of Liens. Tax Exempt: 58.1 -811 (A)(2) and 58.1- 811(C)(5) W I T N E S S E T H: That for and in consideration of the sum of $500,000.00, of which the sum of $300,000.00 is cash in hand paid, the receipt of which is hereby acknowledged, and the balance of $200,000.00 is evidenced by a bond secured by a deferred purchase money deed of trust executed cotemporaneously herewith and recorded as part of the same transaction, the Grantor, subject to a reserved easement of right -of -way as set forth herein, does hereby GRANT, BARGAIN AND SELL and CONVEY with GENERAL WARRANTY and ENGLISH COVENANTS OF TITLE unto the Grantees, all that certain tract or parcel of land, with the appurtenances thereto belonging, situated in Albemarle County, Virginia, containing 3.848 acres, more or less, shown and described as Parcel B on plat prepared by Wm. Morris Foster, C.L.S., dated April 17, 1979, recorded in the Clerk's Office of the Circuit Court for said County in Deed book 684, page 613, and being the same property conveyed to the Grantor herein by deed from Book:3063,Page:110 (Page 4 of 5) Woodvale Land Company, Inc., a Virginia corporation, dated September 28, 1979, of record in said Clerk's Office in Deed Book 684, page 610. The Grantor reserves a unexclusive easement of right -of way for ingress from and egress to U. S. Route 250, 50' in width along the northernmost boundary of Parcel B and 30' in width along the easternmost boundary of Parcel B, for the benefit of the adjoining approximately 12.175 acre tract now identified as Albemarle County, Virginia Tax Map 59 -23G1. The Grantee, as evidenced by its acceptance and recordation of this deed, agrees to be responsible for the cost of the maintenance of the road within said easement as defined in that certain Agreement, dated October 3, 1979, of record in said Clerk's Office in Deed Book 684, page 619. The Grantor further conveys to the Grantee for the benefit of Parcel B an unexclusive easement of right -of -way, 50' in width, for ingress from and egress to Broomley Road running along the northernmost boundary of Albemarle County, Virginia Tax Map 59- 2361. The Grantor will be responsible for the cost of the maintenance of the road within said easement. Dezio, Trustees, in trust to secure a Bond in the sum of $200,000.00 to the order of Christian Aid Mission; and WHEREAS, the parties hereto wish to modify the repayment provisions of the Bond as set forth below.
