WHEREAS, attached to the recorded Original Deed of Easement is a plat entitled "Plat

of two sheets (the "Sheet 3 Replacement Plat").
WHEREAS, the parties desire to vacate the easements shown on Sheet 3 of 9 of the
Original Plat to the extent replaced by the easements shown on the Sheet 3 Replacement Plat, as
shown on the plat attached hereto and recorded herewith entitled "Plat Showing a RWSA
Permanent Waterline Easement, Permanent Access Easement and Temporary Construction
Easement to be Vacated by Rivanna Water and Sewer Authority on the land of University of
Virginia Foundation," prepared by Rinker Design Associated, P.C., dated June 17, 2019,
consisting of two sheets (the "Easement Vacation Plat").
WHEREAS, as shown on the Sheet 3 Replacement Plat, the proposed relocated easements
cross a portion of the property conveyed to Property Owner by deed recorded in the Clerk's Office
of the Circuit Court of the County of Albemarle in Deed Book 1055, page 271, and Property Owner
is the fee simple owner of the said property as of the date hereof.
WHEREAS, the Authority has completed the initial construction and installation of
waterlines comprising the SFRR to RMR — 36-inch Raw Water Main; Phase I — Birdwood Golf
Course Project (the "Project").
NOW, THEREFORE, for and in consideration of the sum of ONE DOLLAR ($1.00) and
other good and valuable consideration, the receipt of which is hereby acknowledged, Property
Owner does hereby GRANT and CONVEY with GENERAL WARRANTY and ENGLISH
COVENANTS of TITLE unto the Authority, the easements shown on the attached Sheet 3
Replacement Plat, subject to the same terms and conditions set forth in the Original Deed of
Easement.

FURTHER, the Authority does hereby VACATE, RELEASE and EXTINGUISH all of its
right, title and interest in and to the easements shown on the attached Easement Vacation Plat.
FURTHER, the Authority confirms that the Project is complete and that the term has
expired for the Temporary Construction Easements (as defined in the Original Deed of Easement).

NOW, THEREFORE, for and in consideration of the sum of ONE DOLLAR ($1.00) and
other good and valuable consideration, the receipt of which is hereby acknowledged, Property
Owner does hereby GRANT and CONVEY with GENERAL WARRANTY of TITLE unto the
Authority a perpetual right of way and easement to construct, install, operate, maintain, repair,
and replace a water line consisting of pipes and related appurtenances, such as air release valves,
water meters, vents, sample ports, blow -off assemblies, and fire hydrants (the "Water
Facilities"), under and across the real property of Property Owner located in the County of
Albemarle, Virginia (the "Property"), and to access any other adjacent easement held by the
Authority, the location and width of the easement hereby granted and the boundaries of the
property being more particularly described and shown on the Plat as "RWSA PERMANENT

Further, Property Owner does hereby GRANT and CONVEY with GENERAL
WARRANTY and ENGLISH COVENANTS of TITLE unto the Authority a Temporary
Construction Easement for a term so long as necessary to construct and install those certain
water lines comprising the South Fork Rivanna Reservoir to the Ragged Mountain Reservoir
Project (the "Project') of which the water line to be constructed in the Waterline Easement is a
part and to do all things reasonably necessary and incident to such initial construction, the
location and size of the Temporary Construction Easement hereby granted and the boundaries of
the property being more particularly described and shown on the Plat as "TEMPORARY
CONSTRUCTION ESMT. (HEREBY GRANTED)" (the "Temporary Construction Easement').
Reference is made to the Plat for the exact location and dimension of the Temporary

Construction Easement hereby granted and the property over which the same crosses. The
Temporary Construction Easement shall all automatically terminate upon the expiration of the
above -described term, but in any event not later than December 31, 2030.
Should the Authority fail to materially complete construction of the Project by December
31, 2030, the Authority does thereby SURRENDER, QUITCLAIM, RELEASE, and CONVEY
unto Property Owner all of its right, title, and interest in and to the Waterline Easement and
Temporary Construction Easement. Consideration paid to the Property Owner for the Waterline
Easement and the Temporary Construction Easement will remain with the Property Owner
without offset or refund to the Authority.
EASEMENT OBSTRUCTIONS:
Property Owner, its successors or assigns, agree that trees, shrubs, fences, buildings,
overhangs or other improvements or obstructions shall not be located within the Waterline
Easement or the Temporary Construction Easement (during the term thereof); provided,
however, that Property Owner may, with prior written notice to and approval by the Authority
which will be granted on a timely basis, construct, install and maintain roads, walkways, parking,
paths, certain trees and shrubs, fences, and any existing or future utilities, including stormwater
management facilities, for which plans comply with Rivanna Water and Sewer Authority
(RWSA) Design and Construction Standards and have been approved by the Authority, within
the easements hereby granted. Notwithstanding RWSA Design and Construction Standards'
typical requirement of a minimum of 10 feet of horizontal separation between the Authority's
water mains and sanitary sewer lines or large stormwater infrastructure and a minimum of 5 feet
of horizontal separation between the Authority's water mains and all other utilities, Property
Owner's utilities may encroach into the Waterline Easement as follows: storm water detention

system up to 3.5 feet and all other utilities up to 8.5 feet, both measured from the western
boundary of the easement. Further, Property Owner may use the Property within said easements
for any other purpose consistent with the rights hereby granted, provided such use does not
interfere with the use of said easements by the Authority for the purposes set forth herein.
Specifically, Property Owner's sanitary sewer line and all other necessary utilities required for
development of the Property may cross above or below the waterline. Property Owner agrees to
submit all plans for such use after the date hereof to the Authority for review and prior approval
by the Authority. The Authority agrees to submit all plans for work on the Property to Property
Owner for review before plans are finalized, and after such review the Authority will provide
Property Owner with six months' advance written notice before construction commences. To the
extent possible, the Authority agrees to design and install the water line at a depth sufficient for
Property Owner to construct future utilities, stormwater management facilities, and other site
improvements approved by the Authority at the time the water line is constructed. Grading and
erosion and sediment control measures will be permitted in the easement before and after the
water line is constructed to the degree those measures do not impact the proper functioning of the
water line.
The Waterline Easement and the Temporary Construction Easement (during the term
thereof) shall include the right of the Authority to cut any trees, brush and shrubbery, remove
obstructions and take other similar action within the easements (during the term thereof)
reasonably necessary to provide economical and safe water line construction, installation,
operation, maintenance, repair or replacement. Except as provided for in that certain
Compensation Agreement entered into by and between Property Owner and the Authority prior
to the recordation of this Deed of Easement, the Authority shall have no responsibility to

Property Owner, its successors or assigns, to replace or reimburse the cost of trees, brush,
shrubbery, or other obstructions located in the Waterline Easement or the Temporary
Construction Easement (during the term thereof) if cut or removed or otherwise damaged.
Nevertheless, all cut trees, branches, brush and shrubbery shall be removed from the Property by
the Authority promptly after being cut.
EASEMENT ACCESS AND MAINTANENCE
As part of the Waterline Easement and the Temporary Construction Easement (during the
term thereof) the Authority shall have the right to enter upon the above -described property within
the Waterline Easement and the Temporary Construction Easement (during the term thereof) for
the purpose of installing, constructing, operating, maintaining, repairing and replacing the above -
described water line, within the Waterline Easement and in addition, the Authority shall have the
right of ingress and egress thereto as reasonably necessary to construct, install, operate, maintain,
repair, replace, relocate and extend such water lines. If the Authority is unable to reasonably
exercise the right of ingress and egress over the right-of-way, the Authority shall have the right
of ingress and egress over the Property of Property Owner adjacent to the right-of-way after
providing reasonable notice to Property Owner, and shall restore surface conditions of such
Property adjacent to the right-of-way as nearly as practical to the same condition as prior to the
Authority's exercise of such right.
EXCAVATION
Whenever it is necessary to excavate earth within the Waterline Easement or the
Temporary Construction Easement (during the term thereof) , the Authority agrees to backfill
such excavation in a proper and workmanlike manner so as to restore surface conditions as
nearly as practical to the same condition as prior to excavation and consistent with the provisions

of the section titled "Easement Obstructions" above, including but not limited to restoration of
such paved surfaces as may be damaged or disturbed as part of such excavation.
OWNERSHIP OF FACILITES
The Water Facilities constructed within the Waterline Easement shall be the property of
the Authority, its successors and assigns, which shall have the right to inspect, rebuild, remove,
repair, improve and make such changes, alterations and connections to or extensions of its Water
Facilities within the boundaries of the Waterline Easement as are consistent with the purposes
expressed herein.
ALTERNATIVE DISPUTE RESOLUTION
If any dispute related to this agreement cannot be settled by negotiation between the
parties, it shall be submitted to mediation before a mutually agreed upon mediator in
Charlottesville or Albemarle County, Virginia. Such mediation is a condition precedent to any
litigation related to this this agreement, unless mediation is waived in writing by both parties.

WHEREAS, the Property Owner has agreed to grant the Authority the various easements
shown on the plat attached hereto and recorded herewith entitled "Plat Showing A RWSA
PERMANENT WATERLINE EASEMENT AND TEMPORARY CONSTRUCTION
EASEMENT to be acquired by RIVANNA WATER AND SEWER AUTHORITY on the land
of JPA TOWER INVESTORS, LLC, Samuel Miller Magisterial District; Albemarle County,
Virginia", prepared by Rinker Design Associates, P.C., dated May 7, 2019, and last revised on
February 7, 2020 (the "Plat"); and
WHEREAS, as shown on the Plat, the proposed easements cross a portion of the property
conveyed to Property Owner by deed recorded in the Clerk's Office of the Circuit Court of the
County of Albemarle in Deed Book 05268, page 0449, and Property Owner is the fee simple
owner of the said property as of the date hereof.
NOW, THEREFORE, for and in consideration of the sum of ONE DOLLAR ($1.00) and
other good and valuable consideration, the receipt of which is hereby acknowledged, Property

but in any event not later than December 31, 2040.
EASEMENT OBSTRUCTIONS:
Property Owner, its successors or assigns, agree that trees, shrubs, fences, buildings,
overhangs or other improvements or obstructions shall not be located within the Waterline
Easement or the Temporary Construction Easement (during the term thereof); provided,
however, that Property Owner need not remove existing trees or shrubs if the removal of such
trees and shrubs is not necessary for construction of the improvements contemplated by these
Easements, provided further that Property Owner may construct, install and maintain roads,
walkways and paths, with prior written notice to the Authority, within the easements hereby
granted. In particular, Property Owner may construct, install, and maintain an access road
connecting the above described property with the neighboring property located immediately to
the west. The proposed waterline will cross this connecting road and the design of the waterline
will accommodate the access road, as approved via the County site plan process. The Authority
shall design and install the water line, at its sole expense, at a depth sufficient for Property
Owner to build the road without requiring any adjustments to the water line by the Property
Owner, or without requiring the Property Owner to design and build the road to accommodate
the water line, provided however that the Authority and Property Owner shall agree upon the
location of the road prior to the Authority's completion of design for the water line installation.
The Waterline Easement and the Temporary Construction Easement (during the term thereof)
shall include the right of the Authority to cut any trees, brush and shrubbery, remove
obstructions and take other similar action reasonably necessary to provide economical and safe
water line construction, installation, operation, maintenance, repair, replacement, relocation and

extension. Except as provided for in that certain Compensation Agreement entered into by and

The approved 50-year Community Water Supply Plan includes the construction of a raw water
line from the South Rivanna Reservoir (SRR) to the Ragged Mountain Reservoir (RMR). This water
line will replace the existing Upper Sugar Hollow Pipeline and increase raw water transfer
capacity, redundancy, and resiliency in the Urban Water System.
RWSA is in the final stages of designing the next phase of our project which is the continuation of
the mile of SRR to RMR 36" raw water pipeline previously built on the Birdwood Golf Course.
This upcoming phase will extend from the Birdwood Golf Course to University of Virginia
Foundation (UVAF) property north of Old Garth Road and will include trenchless crossings of
Route 250 (Ivy Road) and the railroad. Four easements are needed for this project and three
have been acquired. The outstanding easement is with UVAF on TMP 60-24A.
RWSA presented a final revised easement package to UVAF in October 2022, however, it is still
under legal review. To keep our project on schedule, RWSA is submitting the VSMP plan to the
County to begin the review process while the UVAF easement acquisition process runs
concurrently. RWSA understands that final VSMP approval is contingent upon having recorded
easements on all parcels and we will forward a copy of the recorded easement as soon as it is
available.
