As you can see, Omega has agree to give on other issues (e.g. interference, indemnity, insurance, etc.) and we are hoping this is a good compromise that will get the agreement finalized. I've attached a clean and marked version that is acceptable to Omega. I can have this signed if it will be acceptable to the municipality. Issues are: 1. Omega will not agree to make reps/warranties of any kind in this deed. If the municipality wants to do investigations about title or any other aspect of the easement area to get comfortable, it will need to do that. 2. There should be no right for the municipality to be able to assign the easement. What need would the municipality have to assign? 3. All construction would be at the municipality's cost. As you can see, Omega has agree to give on other issues (e.g. interference, indemnity, insurance, etc.) and we are hoping this is a good compromise that will get the agreement finalized.
