THIS DEED dated this 22nd day of December, 2008, by and between ALBEMARLE
HOTEL, LLC, a Virginia limited liability company, the Grantor; and PANTOPS HOTEL, LLC,
a Virginia limited liability company, the Grantee, whose address is P. O. Box 3535,
Williamsburg, VA 23185;
WITNESSETH:
FOR AND IN CONSIDERATION of the sum of TWO MILLION EIGHT -EIGHT
THOUSAND FOUR HUNDRED EIGHTY AND NO/100 DOLLARS ($2,088,480.00), cash in
hand paid, the receipt and sufficiency of which is hereby acknowledged, the Grantor does hereby
GRANT, BARGAIN, SELL, and CONVEY with GENERAL WARRANTY and ENGLISH
COVENANTS OF TITLE unto Pantops Hotel, LLC, a Virginia limited liability company, the
following described property (the "Property"):
ALL that certain lot, piece or parcel of land lying and being in Rivanna District,
Albemarle County, Virginia, containing 2.40 acres, more or less, and designated
as "Lot D, A Portion of Parcel 9" on a plat of survey prepared by Dominion
Development Resources, LLC, dated October 4, 2007, last revised February 12,
2008, and entitled "Plat Showing Subdivision and Boundary Adjustment of Tax
Map 78, Parcels 9 & 11 Town and Country Commercial, Rivanna District,
Albemarle County, Virginia", a copy of which plat is recorded in the Clerk's
Office, Circuit Court, Albemarle County, Virginia, in Deed Book 3657, Pages
564-579, and to which plat reference is hereby made for a more particular
description of said real estate.
TOGETHER WITH AND SUBJECT TO the rights, privileges, easements and
restrictions created in that certain "Declaration of Easements, Covenants and
Restrictions" dated December 5, 2008 and recorded in the Clerk's Office of the
Circuit Court of Albemarle County, Virginia, in Deed Book 3672, Pages 148-174
and to the "New 30' Access and Temporary Turnaround Easement" described
within the Deed recorded in Deed Book 3339, Page 710, and as shown on the
above referenced plat and that certain plat of survey prepared by Dominion
Development Resources, LLC, dated September 12, 2008, and entitled "Plat
Showing Drainage Easements for Tax Map 78, Parcels 9C, 9D and 11, Town and
County Commercial, Rivanna District, Albemarle County, Virginia" which is
recorded in the aforesaid Clerk's Office in Deed Book 3665, Pages 100-114,
AND TOGETHER WITH AND SUBJECT TO the rights, privileges, easements
and restrictions created by the nonexclusive Declaration of Cross -Access
Easement dated October 28, 2008, and recorded in the Clerk's Office of the
Circuit Court of Albemarle County, Virginia, in Deed Book 3657, Page 584, and
as more particularly shown as "30' Access Easement" on the above -referenced
plat recorded in Deed Book 3665, Pages 100-114.
BEING a portion of the same property conveyed to ALBEMARLE HOTEL,
L.L.C., a Virginia limited liability company, by Deed from Albemarle Hotel
Limited Partnership, dated July 1, 2002, and recorded July 2, 2002, in the Clerk's
Office, Circuit Court, Albemarle County, in Deed Book 2224, Page 249.
This conveyance is subject to easements, conditions, restrictions, reservations and other
matters contained in duly recorded deeds, plats, and other recorded instruments, if any,
constituting constructive notice in the chain of title to the Property, which have not expired by a
limitation of time contained therein or have not otherwise become ineffective, there being no
intent by this deed to reimpose any such easement, condition, restriction or reservation.
