CLIFTON McCLURE and ROBERT M. CALLAGHAN, Trustees of the WOODBURN LAND TRUST under Agreement dated March 3 , 1992 , provides as follows: M. Clifton McClure and Robert M. Callaghan are the owners of parcels of real estate situated in Albemarle County, Virginia, which are shown as Lots 1-6 Woodburn Ridge on plat of Roger W. Ray & Assoc. , Inc. , dated December 28, 1994 , revised March 27 , 1995 and recorded in the Clerk' s Office of the Circuit Court of Albemarle County, Virginia, just prior hereto; which lots are served by a 50 foot private access easement known as Woodburn Ridge Drive as shown on said plat, and desire to subject these lots to a joint road maintenance agreement as more fully set forth below. PRIVATE ROAD: The road is a private road serving Lots 1-6 as shown on said plat and shall require maintenance by the owners of said lots. The costs of maintenance, upkeep or replacement of such road will not be borne by the County, the Commonwealth of Virginia or any other Public Agency. There are six lots affected by this agreement and the costs of maintaining the said road serving these six lots shall be borne equally by each of the lot owners, one- sixth of said cost to be paid by each owner. There shall be no obligation to upgrade the road to a superior state than its original construction. At such time as a majority of the lot owners determine that the said road is in need of maintenance or repair to keep the road up to the same standards as its original construction, or to standards to which the road may be improved in the future by agareement of all owners, the costs of making such repairs and maintenance shall be borne equally by the six lot owners. In the event that any owner fails to pay his pro-rata share of the cost of maintenance of the road, those owners that determine that maintenance is reasonably necessary may have the maintenance performed and record in the Clerk' s Office of the Circuit Court of Albemarle County a notice of lien against the owner or owners refusing to pay for his or their pro-rata cost of said maintenance, which filing shall create a continuing lien against said parcel of the refusing owner, the amount of which shall include interest at the legal rate for judgments then prevailing plus any costs of collecation, including reasonable attorney' s fees. Said lien shall be subordinate to any prior liens of record affecting the property. At any time prior to the foreclosure of such lien, the lot owner against whose such lot such a notice of lien has been filed may bring suit in the Circuit Court of Albemarle County, Virginia, to quash such a lien with said Court determining whether or not such maintenance was, in fact, reasonably necessary.
