Associates Limited Partnership (the "Property")
Dear Mr. Rathburn:
In response to your request for a letter of compliance with zoning, subdivision and other
requirements regarding the above -referenced Property, please be advised of the following:
1. The Property is situated on a parcel of land lying in the County of Albemarle,
Virginia, consisting of 250.722 acres.of land, more or less, and improvements, as
more particularly shown as Tract A on the survey prepared by Roudabush, Gale &
Associates, Inc., dated March 18, 2002, revised April 4, 2002.
2. The Property is in compliance with the subdivision laws of the County of Albemarle,
Virginia. Any resubdivision of land would have to comply with the subdivision
ordinance at that time.
3. The Property is zoned PRD on the County's official zoning map and code, and all
regulations promulgated thereunder (collectively, the "Zoning Code") and, thus, is
consistent with the designated proposed uses for the Property which is a private
country club with clubhouse, dining and banquet facilities, 18 hole golf course, tennis
and paddle tennis courts, fitness facility, maintenance facilities and the equipping and
operation of the Property for such proposed use (the "Current Uses"). As of the date
of this letter, the Current Uses are among the uses permitted by right within the PRD
zoning designation.

4. There are no violations of the Zoning Code with respect to the encroachment on any
building setback requirements applicable to the Property. Accordingly, the Property
and Current Uses do not violate any existing Zoning Code in effect on the date
hereof.
5. All requirements of the Zoning Code related to ingress and egress from the Property
to a public street have been satisfied.
6. No application for rezoning of the Property, or special permits, conditional use or
variance request in connection with this Property, is now pending.
7. There are no proffered conditions applicable to or enforceable against the Property
that would prevent use of the Property for the Current Uses.
8. There are no special conditions or time constraints applicable to or imposed on the
development of the Property for the Current Uses.
9. There are no proceedings, pending or threatened, to revoke, rescind, alter, or declare
invalid any laws, ordinances, codes, approvals, permits or certificates applicable to or
issued in connection with the Property by the County of Albemarle, Virginia.
