VE RYTH1 r ..TC>DAY June .13,2008 Mr.Mark Green Rivanna Plaza 109 Robinson Woods Charlottesville,VA 22903 Re: Required easements for the development of Rivarma Plaza Dear Mark: This letter will confirm that Schewel-Charlottesvine,a Virginia General Partnership,has reached an agreement in principal with Rivanna Plaza,11.,C to permit the necessary access and construction easements for the development of Rivanna Plaza as currently planned. The agreement is subject to finalizing the details on a Development Agreement acceptable to the parties, including but not limited to agreement on a final site plan for construction on property owned by Schewel-Charlottesville,agreement on compensation for Schewel's loss of revenue during such construction,and the drafting and execution of the requisite easements. We are not currently aware of any material issues standing in the way of completing this process.
