The County Attorney's office has now completed its revision of the approval process for forest and open space
easements.
Here is a summary of what that means for this project:
1. The stormwater management maintenance agreement must be revised using this template:

Please contact Ana Kilmer(ext. 3246) because she will format this document for you, which needs to be
recorded prior to the deed (and it will also be an exhibit to the deed when the plat is recorded).This agreement
will reference the approved WPO plan, WP0201600038.
2. A deed for the plat (SUB201600139) must be approved to form by the County Attorney's office and then signed
by the Interim County Executive. Please use this template to provide a deed for review:

JT,
I have placed the final plans in the digital submittal folder. We previously had approval from all departments except
VDOT and ARB. I have coordinated final review with VDOT based on the changes they wanted and they gave a
"Preliminary Approval"to help streamline approval of this submittal. I will send Justin with VDOT this plan set in an
email as well. I have addressed all the ARB comments and coordinated with Margaret, except the lighting. The Architect
is working on finding some information out and replacing one light that was not full cutoff, but all lighting locations and
specifications will be provided by the architect when they submit for ARB approval hopefully this week. They will submit
these Civil Site Plans with that submittal for their review.
The only other loose end item is the easement letter. Please provide that to me as soon as you all have a final version so
that I can get the client to sign it and get it back to you for approval.

Thanks for submitting the notice fee and the easement plat/deed for County signatures. In following the process to get
the County Executive's signature on the deed, Community Development was made aware that the County Attorney's
office has modified our process for approving these plats.
Frank Pohl (the County Engineer) and I would like to speak with you over the phone about how to meet their revised
process without impacting the time to construction for this project.

can see what the client's lawyers changed. I also added the below note on the Plat and revised all references on the plat
and the letter to be "Forest and Open Space Easement". The lawyer's markup letter has the old easement wording in it.

In the last month we have moved to placing a note on the plat as opposed to having a separate deed for the Forest and
Open Space Easement.As the Crozet Business Office easement plat is still under review, I thought you may want to go
this route as it should make the review go a little easier/faster. If you use the following note while showing the limits
and acreage of the easement(and label it as a "Forest and Open Space Easement"), it should satisfy DEQ requirements:
"The Forest and Open Space Easement is subject to the guidance set forth by DEQ in the Virginia Storm water
Management Program. The areas will remain undisturbed in a natural, vegetated state, except for activities as approved
by the local program authority, such as forest management, control of invasive species, replanting and revegetating,
passive recreation (e.g., trails), and limited bush hogging to maintain desired vegetative community(but no more than
four times a year)."

forth in the Recitals, and the restrictions are as follows:
1. Industrial or commercial activities are prohibited,with the exception of activities to restore
or enhance wetlands or streams or restore, enhance, or develop other ecosystem functions
on the SWM Open Space Easement Let including, but not limited to, stream bank
restoration,wetland and stream mitigation,biological carbon sequestration and biodiversity
mitigation, provided that such activities are not in conflict or inconsistent with the
conservation purpose of the Declaration or the restrictions set forth herein.
2. Provided that the SWM Open Space Easement bet remains in a natural, vegetated state,
educational, scientific, religious, or passive recreational activities are permitted on the
SWM Open Space Easement bet, provided that they are consistent with the purposes of
this Declaration and do not impair the purposes stated forth herein. Recreational activities
may include use of all or any portion of the SWM Open Space Easement bet as a park for
passive recreational activities, such as hiking, photography, bird watching, and nature
study.
3. No buildings, structures,or permanent roads(public or private)are permitted on the SWM
Open Space Easement bet, provided, however, that the SWM Open Space Easement bet
may be subjected to various easements for subsurface utilities (public or private) serving
the remainder of the Property or other adjacent parcels,all as may be deemed commercially
reasonable by Declarant or Albemarle County (the "County"), provided, however, that

or potential problem that outweighs any positive effects the fallen tree or trees may have on the

or assigns, from engaging in such other forest, land, water, wildlife management and
environmental activities and undertakings as such party deems appropriate for sound farming or
land management practices.

SECTION FOUR FIVE
ENFORCEMENT
Although it is not a party to this Declaration, the County is an intended third party
beneficiary of the terms, conditions and restrictions imposed herein and shall have all of the
rights to enforce such terms, conditions and restrictions as the same are set forth in this Section.
Declarant hereby creates, reserves for itself, and grants to the County, a perpetual right and
license, without obligation, for their respective authorized employees and agents to enter upon
the SWM Open Space Easement bet at reasonable times and upon reasonable notice to the owner
to inspect for compliance with the limitations set forth in Section 1. In the event the County
determines that a violation of this Declaration exists, it may pursue any and all remedies available
at law or in equity against the then owner of the SWM Open Space Easement Let to enforce this
Declaration, including, seeking to enjoin the violation and to require corrective action.Any costs
which the County reasonably incurs in taking enforcement action under this Declaration shall,
upon the County's written demand, be promptly reimbursed by the owner of the SWM Open
Space Easement Lot or that portion thereof which is determined to be in violation until paid.
Enforcement action shall be at the County's discretion and delay or forbearance by the County
in exercising its rights hereunder in the event of a breach shall not constitute a waiver by the
County of the right thereafter to take action with respect to the same or any subsequent breach.
Nothing contained herein shall be construed to grant any right of access over the SWM Open
Space Easement Let to the general public.
SECTION FIVE MX
GENERAL PROVISIONS
1. Duration.This Declaration shall be perpetual.It is a Declaration in gross that runs with the
land as an incorporeal interest in the Property. The covenants, terms, conditions, and
restrictions contained in this Declaration are binding upon, and inure to the benefit of, the
parties hereto and their successors and assigns, and shall continue as a servitude running
in perpetuity with the Property. The rights and obligations of an owner of the Property
under this Declaration terminate upon proper transfer of such owner's interest in the

Property,except that liability for acts or omissions occurring prior to transfer shall survive
transfer.
2. Termination. If prohibited future development or activity as set forth in section 1 is
desired, then the easement shall be adjusted accordingly with the proposed disturbance
being treated in accordance with the current Virginia Stormwater Management Handbook
requirements. In addition to meeting these requirements, the beneficiary of the proposed
activity shall be responsible to offset for the proposed disturbed area any prior treatment
accounted for in the stormwater calculations for the property described in this Declaration.
Upon termination of any portion of this easement, any residue easement shall still be
subject to this Declaration.
3. Access.Although this Declaration may benefit the public,nothing herein shall be construed
to convey to the public a right of access to, or use of the SWM Open Space Easement Lot.
Subject to the terms hereof and any other covenants,restrictions or conditions which affect
the SWM Open Space Easement Lot, the Declarant retains the exclusive right to such
access.
4. Authority. Declarant represents and warrants that it has all right and authority to grant and
convey this Declaration, and that the Property is free and clear of all encumbrances(other
than restrictions, covenants, conditions, and utility and access easements of record),
including, but not limited to, any mortgages or deeds of trust not subordinated to this
Declaration.
5. Interaction with Other Laws.This Declaration does not permit any use of the Property that
is otherwise prohibited by federal, state, or local law or regulation.
6. Construction. Any general rule of construction to the contrary notwithstanding, this
Declaration shall be liberally construed in favor of the grant to effect the purposes of the
Declaration and purposes of Declarant. If any provision of this Declaration is found to be
ambiguous, an interpretation consistent with the purpose of this Declaration that would
render the provision valid shall be favored over any interpretation that would render it
invalid. Notwithstanding the foregoing, lawful acts or uses consistent with the purpose of
and not expressly prohibited by this Declaration are permitted on the SWM Open Space
Easement Imo.
7. Reference to Declaration in Subsequent Deeds. This Declaration shall be referenced by
deed book and page number, instrument number or other appropriate reference in any deed
or other instrument conveying any interest in the Property.Failure of any grantor to comply
with this requirement shall not impair the validity of the Declaration or limit its
enforceability in any way.
8. Amendment. Declarant may amend this Declaration to enhance or clarify the SWM Open
Space Easement's Lot's conservation values or add to the restricted property by an amended
declaration, provided that no amendment shall (i) affect this Declaration's perpetual
duration unless terminated as set forth above, or (ii) conflict with or be contrary to or
inconsistent with the purpose of this Declaration. No amendment shall be effective unless
documented in a notarized writing executed by Declarant, or its successors or assigns, as
applicable, and recorded in the Clerk's Office.

mitigation, provided that such activities are not in conflict or inconsistent with the
conservation purpose of the Declaration or the restrictions set forth herein.
2. Provided that the SWM Open Space Easement Lot remains in a natural, vegetated state,
educational, scientific, religious, or passive recreational activities are permitted on the
SWM Open Space Easement Lot, provided that they are consistent with the purposes of
this Declaration and do not impair the purposes stated forth herein. Recreational activities
may include use of all or any portion of the SWM Open Space Easement Lot as a park for
passive recreational activities, such as hiking, photography, bird watching, and nature
study.
3. No buildings, structures,or permanent roads(public or private)are permitted on the SWM
Open Space Easement Lot, provided, however, that the SWM Open Space Easement Lot
may be subjected to various easements for subsurface utilities (public or private) serving
the remainder of the Property or other adjacent parcels,all as may be deemed commercially

In the last month we have moved to placing a note on the plat as opposed to having a separate deed for the Forest and
Open Space Easement. As the Crozet Business Office easement plat is still under review, I thought you may want to go
this route as it should make the review go a little easier/faster. If you use the following note while showing the limits
and acreage of the easement (and label it as a "Forest and Open Space Easement"), it should satisfy DEQ requirements:
"The Forest and Open Space Easement is subject to the guidance set forth by DEQ in the Virginia Stormwater
Management Program. The areas will remain undisturbed in a natural, vegetated state, except for activities as approved
by the local program authority, such as forest management, control of invasive species, replanting and revegetating,

Here are Planning comments on the easement plat:
1. Section 14-302(A)(2)—Please show a vicinity map.
2. Section 14-302(A)(4)—Please show the proposed 35' private access easement as depicted on the final site plan
currently under review (SDP201600031).
3. Section 14-302(A)(4)—Please add the information to comply with this section.
4. Section 14-302(6)(5)—Please note this property is zoned Highway Commercial (HC) and also lies in the Entrance
Corridor(EC) overlay district.
5. Section 14-302(6)(6)—Please note this property does lie in a water supply protection area and specifically lies in
the South Fork Rivanna River water supply watershed.
6. Section 14-303(A)—Please add the statement required by this section verbatim.
7. Section 14-303(0)—Please add signature panels for the property owner and the County's Subdivision Agent.
8. Section 14-303(P)—Please add a notary panel for the owner's signature panel.
I will send the revised plat and clean deed version to the County Attorney's office as soon as they're ready. A.pdf of the
revisions emailed to me would work well.

Do you know the status of the Tier 3?

Just an update email. Please let me know if I am incorrect on any of this. We have had every department approval for a
while now except ARB, but I have gone over with Margaret on those changes and have reflected them in the plans which
will be represented in the next submittal. I just want you to be aware that the reason I have not done another submittal
is because the Architect is still working out a few things on the building and on the bid side of things, so I want to be sure
this next submittal is final and reflects anything they may change if they even do since it will most likely be the approved
set. The loose ends I have is the Health Department. Did we get approval on that? Also what is the status of the
Easement Plat? The bonds are currently being worked on for the WPO submittal.
