THIS DEED OF EASEMENT, dated this if& day of
January, 1988, by and between H.C.M.F. XV LIMITED PARTNERSHIP,
a Virginia limited partnership, Grantor, and the ALBEMARLE
COUNTY SERVICE AUTHORITY, Grantee;
WITNESSET H:
THAT FOR AND IN CONSIDERATION of ONE DOLLAR ($1.00),
and other good and valuable consideration, the receipt of all
of which is hereby acknowledged, the Grantor does hereby GRANT
and CONVEY with GENERAL WARRANTY and ENGLISH COVENANTS OF
TITLE unto the ALBEMARLE COUNTY SERVICE AUTHORITY, its
successors and assigns, a perpetual right of way and easement
to construct, install, maintain, repair, and replace and
extend sanitary sewer and/or water lines, consisting of pipes
and appurtenances thereto, within the easement as shown and
described on plat thereof prepared by R. 0. Snow, Inc., dated
August 26, 1987, with latest revision dated January 12, 1988,
captioned "Plat showing 20' water line and sanitary sewer
easements on Parcels 26 and 26C, T.M. 45, the property of
Heritage Hall XV, Albemarle County, Virginia," attached hereto
and made a part hereof.
Reference is made to the plat attached hereto for the
exact location and dimensions of.said easements.

Grantor, its successors and assigns, agrees that new
trees, shrubs, fences, buildings, overhangs or other
improvements or obstructions shall not be placed within the
easement conveyed herein.
As a part of the easement, the Grantee shall have the
right to enter upon the above-described property within the
easement for the purpose of installing, constructing,
maintaining, repairing, replacing and extending sewer lines
and appurtenances thereto, and water lines and appurtenances
thereto, within such easement and the right to ingress and
egress thereto as reasonably necessary to construct, install,
maintain, repair, replace and extend sewer lines and such
water lines in the easement. The easement provided for herein
shall include the right of the Grantee to cut any trees,
brush, and shrubbery, remove obstructions and take other
similar action reasonably necessary within the easement to
provide economical and safe water and sewer installation,
operation and maintenance. The Grantee shall have no
responsibility to the Grantor, its successors and assigns, to
replace or reimburse the cost of said trees, brush, shrubbery
or obstructions if cut, removed or otherwise damaged.
Whenever it is necessary to excavate earth within the
easement, the Grantee agrees to backfill and compact such
excavation in a proper and workmanlike manner so as to restore
surface conditions as nearly as practical to the same

condition as prior to the excavation and to eliminate future
depressions, including the restoration of such vegetative
cover as may be damaged or disturbed as part of such
excavation so as to eliminate erosion.
The facilities constructed within the easement shall
be the property of the Grantee, which shall have the right to
inspect, rebuild, remove, repair, improve and make such
changes, alterations and connections to or extensions of its
facilities within the boundaries of the easement as are
consistent with the purposes expressed herein.
The easement herein conveyed crosses a portion of the
real property located in Albemarle County, Virginia, conveyed
to the Grantor by Deeds dated January 20, 1986, recorded in the
Clerk's Office of the Circuit Court of Albemarle County,
Virginia, in Deed Book 867 , page 750 , and dated January 28, 1986,
recorded in said Clerk's Of i> cin Deed Boa-§5117 page 664.

MODIFICATION TO DEED OF EASEMENT
THIS MODIFICATION TO DEED OF EASEMENT is made and entered into this
2nd day of April, 2014, by and between MEDICAL FACILITIES OF AMERICA LXXVI
(76) LIMITED PARTNERSHIP, a Virginia limited partnership, hereinafter referred to as
Grantor, and OAKLEIGH ALBEMARLE LLC, a Virginia limited liability company,
hereinafter referred to as Grantee.
WITNESSETH:
WHEREAS,Grantor owns that certain lot or parcel identified in the land records of
Albemarle County,Virginia, as Tax Map Parcel 45-26, and more particularly described on
the attached Exhibit A(the"Property");and
WHEREAS, by Deed of Easement dated September 7, 2010, and recorded in the
Albemarle County Circuit Court Clerk's Office on September 22, 2010, in Deed Book •
3931, page 428 (the "Deed of Easement"), Grantor granted and conveyed to Grantee a 20
foot private drainage easement across the Property on the terms and conditions more
particularly described therein;and
WHEREAS,to facilitate Grantor's refinancing of a loan to be secured by a Deed of •
Trust on the Property,the parties have agreed to modify the Deed of Easement to meet the •
requirements of Grantor's lender.
NOW, THEREFORE, for valuable consideration, the receipt and sufficiency of
which is hereby acknowledged,the parties hereto agree as follows:
1. Section 11 of the Deed of Easement is deleted in its entirety and replaced
with the following:
11. Indemnification. Grantee shall indemnify, defend
and•hold..Grantor;•its.partners;"'officers,.-directors;'agents and employees
harmless from and against all claims, liabilities, losses, damages and
expenses of whatever nature, including those to the person and property of
Grantor, its employees, agents, invitees, licensees and others, arising out of
or in connection with the exercise of the rights and duties under this
Easement, except for any claims arising out of Grantor's gross negligence or
willful misconduct.

Grantor shall indemnify, defend and hold Grantee, its
partners, officers, directors, agents and employees harmless from and
against claims, liabilities, losses, damages and expenses of whatever
nature, including those to the person and property of Grantee, its
employees, agents, invitees, licensees and others, arising out of or in
connection with the exercise of the rights and duties under this Easement,
except for any claims arising out of Grantee's gross negligence or willful •
misconduct.
Notwithstanding the foregoing, if the United States
Department of Housing and Urban Development ("HUD") is ever deemed
the "Owner" of all or part of the property described on Exhibit A, HUD
shall not be subject to the indemnification provisions set forth in this
Section. HUD prohibits and does not authorize any expenditure which
would violate 31 USC 1341 (the "Anti-Deficiency Act"). Any provision of
this Agreement which violate(s)(d) the Anti-Deficiency Act, in the past,
present or future, will not be enforced against HUD. Notwithstanding any
other provision of this Agreement, HUD whether in the capacity of subsidy
provider, loan insurer, lender, owner, lessee or mortgagee in possession,
shall have no obligation of reimbursement, indemnity, or holding harmless,
of any nature whatsoever,to any governmental entity,private entity,person
or party, either now or in the future.
2. Except as modified herein, all of the terms and conditions of the Deed of
Easement remain in full force and effect.

DEED OF EASEMENT
THIS DEED OF EASEMENT is made and entered into this 7th day of
September ,2010,by and between MEDICAL FACILITIES OF AMERICA LXXVI
(76)LIMITED PARTNERSHIP,a Virginia limited partnership,hereinafter referred to as Grantor,
and OAKLEIGH ALBEMARLE,LLC,a Virginia limited liability company,hereinafter referred
to as Grantee.
WITNESSETH:
WHEREAS,Grantor owns that certain lot or parcel of land identified in the land
records of Albemarle County,Virginia as tax map parcel 45-26 (hereinafter referred to as the
'Property");and
WHEREAS,it is the desire and intent of the Grantor to grant and convey to Grantee a
private drainage easement,twenty feet in width(hereinafter referred to as the"Easement"),across
that portion of the Property shown and designated as"New 20'Private Drainage Easement"onthe
plat of Lincoln Surveying,dated December 8,2009,and titled"Plat Showing a New 20'Private
Drainage Easement Across Tax Map 45 Parcel 26 Located on Rio Road Rio District,Albemarle
County,Virginia,"a copy of which is attached hereto to be recorded with this deed(hereinafter the
"Plat").Reference is made to the Plat for a more particular description of the Easement conveyed
herein.
WHEREAS,it is the desire and intent of the Grantor to grant and convey all rights,
title and interest in all existing stormwater management facilities, ditches, pipes and other
improvements and appurtenances within the Easement established for the purpose ofconveying and
collecting stormwater(hereinafter collectively referred to as the"Improvements,"whether refening
to existing Improvements or those to be established in the future by the Grantee).
NOW THEREFORE,in consideration ofthe premises and TEN DOLLARS($10.00),
cash in hand paid, and other good and valuable consideration, the receipt of which is hereby
acknowledged,the Grantor hereby GRANTS and CONVEYS with GENERAL WARRANTY and
ENGLISH COVENANTS OF TITLE unto the Grantee, its successors and assigns,a perpetual
easement as shown on the Plat and referred to herein as the Easement. The Basement shall be for the
purpose of constructing,reconstructing,installing,maintaining,repairing,changing,altering,and
replacing present or future Improvements(hereinafter referred to as"Work")for the purposes of
collecting storm water and transmitting it through and across the Property,protecting property from
flooding,protecting water quality and otherwise controlling stormwater runoff. The Easement and
the Improvements thereon shall be installed and function for the benefit of the property of the
Grantor and the adjacent property of the Grantee.
Itis understood and agreed,in the future,Grantor,its successors or assigns may desire
to pursue further development or modifications to the existing structures on the property adjacent to
the Easement,and that any such development or modification may require that the Grantor and
Grantee each benefit from the Work,as the same may be modified in conjunction with Grantor's
project. In such case Grantor and Grantee will fully cooperate in the design of any necessary
modifications to the Easement;each of Grantor and Grantee shall be responsible for its pro rata share
of costs of the modification to the Easement as determined by runoff calculations made by the
parties.Any such modifications will comply with the requirements of the County of Albemarle(the
"County")or any other regulatory authority.
FURTHER, for no additional consideration, the Grantor hereby GRANTS and
CONVEYS to Grantee all existing Improvements located within the Easement.
FURTHER,The Easement shall be subject to the following terms and conditions:
1. Ownership of the Improvements.All Improvements within the Easement,whether
they were installed by Grantee or any predecessor in interest,shall be and remain the property of
Grantee.
2. Non-interference. Grantee agrees that the Work shall be performed so that it shall
not unreasonably interfere in any way with operation of Grantor's current facility or future
improvements on the Property and in coordination with all government agencies including but not
limited to the County.
3. Maintenance of Easement and Improvements. Grantee shall owe a duty to Grantor
to maintain the Easement and the Improvements in good condition.In the event that the Work is
modified due to Grantor's further development or modifications as provided above,the continued
maintenance of the Easement and the Improvements shall be borne by the Grantee and the Grantor
on a pro rata basis determined by the=off calculations made by the parties in connection with the
original modification to the Easement.
4. permits and Performance of Work.Grantee shall obtain all necessary permits from
the County and any other applicable regulatory agencies for the installation,maintenance and repair
of the Improvements. The Work hereunder shall at all times be performed by the Grantee in
accordance with the terms of the plans approved by the County or any other regulatory authority and
all applicable laws,regulations,or ordinances. All contractors engaged by the Grantee shall be
bondable, licensed contractors. Grantee shall be responsible for any damages caused to the
Easement or the Property as a result of the exercise of the rights and duties hereunder.
5. Right of Ingress and Egress. Grantee shall have the right and easement of ingress
and egress over any lands of Grantor immediately adjacent to the Easement and between any public

or private roads and the Easement,to inspect,maintain and operate the Improvements.
6. Right to Inspect.Maintain and Operate the Improvements. The Grantee may enter
the Easement to inspect,maintain and operate the Improvements.
7. ;Right of Grantee to Digiutb and Duty of Grantee to Maintain the Easement
Premises. The Grantee shall have the right within the Easement to trim,cut or remove any trees,
brush or shrubbery,remove fences,structures or other obstructions,and take other similar action
reasonably necessary to provide adequate and fully functioning Improvements;provided,however,
that the Grantee,at its own expense,shall restore as nearly as possible,the premises to their original
condition. This restoration shall include the backfilling of trenches,the replacement of fences and
shrubbery,the reseeding or resodding of lawns or pasture areas,and the repair or replacement of
structures and other facilities located outside of the Easement that were damaged or destroyed by the
Grantee. However,the Grantee shall not be required to repair or replace any structures,trees,or
other facilities located within the Easement, but shall be required only to repair or replace
groundcover within the Easement that was disturbed,damaged or removed as a result of installing or
maintaining any of the Improvements. In addition,the Grantee shall remove from the Basement all
trash and other debris resulting from the Work,and shall restore the surface thereof to its original
condition as nearly as reasonably possible. Notwithstanding the foregoing,the Grantee shall not be
required to repair or replace anything identified in this paragraph if to do so would be inconsistent
with the proper maintenance or operation of the Improvements. In addition,the Grantee shall not be
responsible for conducting routine maintenance as described in paragraph 8 except as expressly
provided in this paragraph.
8. Right of Grantor to maintain the Easement premises. The Grantor shall have the
right to perform routine maintenance of the Easement premises,including the removal of trash and
landscaping debris,mowing and manicuring lawns and groundcovers,and making any other aesthetic
improvements desired by the Grantor that are not inconsistent with the rights herein conveyed,and
which do not adversely affect the proper operation of any Improvement The right to maintain the
Easement premises does not include the right or duty to maintain the Improvements,except as
provided in Section 3 above in connection with modification ofthe Easement due to Grantor's future
development or modifications of the Property.
9. Temporary construction easement. The Grantee shall have a temporary
construction easement over any portion of the Property immediately adjacent to the Easement in
order to construct,install,maintain,repair,change,alter,or replace an Improvement.
10. Mechanics Liens. If any lien shall at any time be Med against the Easement,the
Easement premises,the Improvements or the Property by reason of work,labor,services or materials
furnished by,for or to Grantor,or to anyone acting through or under Grantee,then if Grantee does
not dispute the lien,Grantee will cause the lien to be discharged within ten(10)days after Grantee
receives notice of the lien but in any event prior to foreclosure proceedings or,if Grantee disputes the
lien,Grantee shall within thirty(30)days after the lien has been filed(but in any event prior to the
commencement of foreclosure proceedings),bond or post adequate security reasonably satisfactory
to Grantor over such lien prior to the commencement of any foreclosure proceedings.

11.Indemnification. Grantee shall indemnify,defend and hold Grantor,its partners,
officers,directors,agents and employees harmless from and against all claims,liabilities,losses,
damages and expenses of whatever nature,including those to the person and property of Grantor,its
employees,agents,invitees,licensees and others,arising out of or in connection with the exercise of
the rights and duties under this Easement,except for any claims arising out of Grantor's gross
negligence or willful misconduct.
Grantor shall indemnify,defend and hold Grantee,its partners,officers,directors,
agents and employees harmless from and against all claims,liabilities,losses,damages and expenses
of whatever nature,including those to the person and property of Grantee,its employees,agents,
invitees,licensees and others,arising out of or in connection with the exercise of the rights and
duties under this Easement,except for any claims arising out of Grantee's gross negligence or willful
misconduct.
12.Insurance. Grantee shall cause its general contractor("General Contractor")and
subcontractors to secure,pay for and maintain during performance of the Work the following
insurance in the following amounts,with respect to claims and liabilities arising from the Work by
the General Contractor, subcontractors or any of their subcontractors or by anyone directly or
indirectly employed by any of them:
(A) Worker's Compensation and Employer's Liability Insurance,with limits of not less than
$500,000.00,and such additional coverages as may be required by any Employee Benefit
Acts or other statutes applicable where the Work is to be performed;and
(B) Commercial General Liability Insurance(including coverage against bodily injury or death,
property damage and contractual liability and also including explosion and collapse
coverage)in an amount not less than$2,000,000.00 combined single limit.
13. Exclusivity:restrictions. The Easement conveyed herein is an exclusive
easement.Neither the Grantor nor any person acting under the Grantor's express or implied consent
shall modify,alter,reconstruct,interfere with,disturb or otherwise change in anyway the land within
the Easement or any Improvement located within the Easement; and further provided that such
persons shall not construct or maintain any roadway,or erect any building,fence,retaining wall or
other structure within the Easement.
14. Grantee's right to assign. The Grantee shall have the right to assign this
Easement as its interests may require subject to the consent of the Grantor which consent shall not be
unreasonably withheld or unduly delayed.
15. Binding effect. The Easement and the rights and obligations established herein
shall run with the land in perpetuity,and shall be binding upon the Grantor,the Grantee,and their
successors and assigns,consistent with Paragraph 14.All references herein to the"Grantor"and the
"Grantee"include their respective successors and assigns. All references to the"Grantee,"when
exercising any right or obligation herein,includes the Grantee's officers,employees and agents.
