Pursuant to Reg. Sec. 1.6045-4(e)(5) of the Internal Revenue Code of 1986 the Seller's attorney is hereby designated as the "real estate reporting person" with respect to this transaction and shall be responsible for filing Form 1099-S, if required by Reg. Sec. 1.6045-4(a). This Closing Statement shall be deemed to be a Designation Agreement within the meaning of Reg. Sec. 1.6045-4(e)(5). 7. Seller's attorney shall be responsible for complying with the reporting requirements of Section 58.1-317 of the Code of Virginia, if applicable. 8. The payment of the balance due Seller shown above is delivered to Seller's attorney in escrow pending notification by Purchaser's attorney that title to the property has been updated with no objections found and that all documents have been recorded. Such title update, document recordation and notification to Seller's attorney shall be done promptly. In the event that objections to title are found upon update of title, Purchaser's attorney shall redeliver the original deed to the property to the Seller's attorney and Seller's attorney shall redeliver to Purchaser's attorney the cashier's checks noted above, and Seller shall remedy such objections to title to the extent that Seller is required to do so pursuant to the terms of the contract of sale.
